This article by our Partner, Asish Abraham, Principal Associate, Bhusan Porwal, and Associate, Aastha Sahay discusses a Bombay High Court ruling in the case of Asset Auto India Pvt. Ltd. v. Union of India, which clarifies the power of the Regional Director’s (“RD”) in the Fast Track Merger process provided under Section 233 of the Companies Act, 2013. In this case, the RD had rejected a merger scheme on the ground that the companies were not solvent as per the balance sheet filed, even though the companies involved had complied with all pre-conditions. The court analysed Section 233(5) of the Act, which mandates that if the RD believes a merger is against public interest or the interest of the creditors, the matter must be referred to the Tribunal for formal adjudication.
