Husnu Al Suood is a Justice of the Supreme Court of the Maldives. In the past, he has served in such distinguished capacities as the Chief Judge of the Civil Court and as the Attorney General of the Maldives. He has also served as the Chairman of the National Law Reform Commission, President of the Clemency Board, Member of the Judicial Services Commission, and Member of the Human Rights Commission. A founding member of the Maldives Center for Human Rights and Democracy, and the Maldives Law Institute, Mr. Suood was also the first principal referee of the Maldives Law Review – the first and only peer-reviewed academic journal published in the Maldives.
This article discusses the evolution of company law in the Maldives, with particular emphasis on ... more This article discusses the evolution of company law in the Maldives, with particular emphasis on the impact of transplanting English company law principles in the Maldivian legal system as part of a broader law reform program undertaken by the government of Maldives in 1988. This article also discusses challenges faced by the Maldivian courts in dealing with an alien set of laws borrowed from a jurisdiction entirely different from the local legal system and traditions. Notwithstanding the challenges, the Maldives is making steady progress in adapting to the alien law and developing it within a relatively short period. It is argued that the decision to codify English common law principles into local statutes will ultimately benefit the country in many ways, such as building confidence in the business sector and developing its jurisprudence in the long term.
