I am a researcher in business law at the University of Bologna, where I teach corporate law and financial market regulation. I hold a Ph.D. in corporate law and financial markets regulation from the University of Bologna and an LL.M. from the Harvard Law School. Before joining the Bologna Law School in 2012, I taught international commercial law at the School of Economics of the University of Bologna and I have been Research Fellow at the University of Florence. My scholarly interests range from comparative corporate law to financial market regulation, and include topics such as corporate disclosure, group law, financial derivatives, insider trading, takeover law.

Vengono analizzati i diversi percorsi ricostruttivi attraverso cui è possibile affermare la responsabilità civile dell'insider e ne vengono discusse le principali implicazioni. Ad esito di una tale analisi, si riconosce la possibilità di configurare una responsabilità civile dell’insider a titolo precontrattuale. Viene affrontato il tema della responsabilità della società emittente per omessa diffusione dell’informazione e vengono mossi rilievi critici ad alcune statuizioni della Corte nel caso commentato, fra cui l’estensione del diritto al risarcimento a tutti i “contemporaneous traders”.

After a recognition of the major dynamics of information production and dissemination in the stock market, the analysis moves to the interactions between the information that a firm is tipically interested in keeping confidential, such as trade secrets or the data usually covered by patent protection, and the countervailing demand for disclosure arising from finacial markets. The analysis demonstrates that despite the seeming divergence between informational contents tipically disclosed to investors and information usually covered by intellectual property protection, the overlapping areas are nonetheless wide and the conflict between transparency in financial markets and the firm's need for confidentiality arises frequently and sistematically. This is a draft chapter for a forthcoming volume, The Oxford Handbook on Financial Regulation, ed... more This is a draft chapter for a forthcoming volume, The Oxford Handbook on Financial Regulation, edited by Eilis Ferran, Niamh Moloney, and Jennifer Payne, (Oxford University Press). It provides an overview of the role of mandatory disclosure in financial markets. Focusing mainly on issuer disclosure, we discuss the various goals that academics and policymakers associate to disclosure-based regulatory techniques and the rationales in support of mandatory, as opposed to voluntary, disclosure. We highlight the limits of disclosure as a regulatory technique and the costs – both direct and indirect – it involves. We conclude by addressing a few selected issues that, in our view, are particularly representative of the challenges that today’s policymakers face in the area of mandatory disclosure.

The Article addresses two intertwined issues: how the growing concentration of public equity ownership in the hands of such institutional investors may have contributed to wage stagnation and the degradation of labor conditions more generally, and how the established presence of such institutional investors as stable, long-term shareholders in today's public firms might help improving those conditions in the future.
