Please review our Conditions of Use which govern your use of our website (the "Agreement") and our services, along with our Privacy Policy. Your use of the Site or purchase of goods denotes your agreement to be bound by the Agreement and our Privacy Policy. We reserve the right to update or modify this Agreement at any time without prior notice. Transactions, via site or by consultation:

We reserve the right to refuse any order you place with Adaptive Specialties, LLC. We may, at our sole discretion, limit or cancel quantities purchased per person, per household or per order, including orders under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event we make a change to or cancel an order, we will attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You and we agree to comply with all applicable laws related to the sales and use of products. For all products defined as FDA classified prescription medical device, you agree to use the medical device only under the order of a healthcare provider licensed by your state. We require a copy of a prescription for the medical device prior to the sale.

Proposals (Quotes) provided are valid for a limited number of days as indicated on the Proposal document provided. Approved quotes( verbal or written) constitute agreement for purchase of the product and payment of quote total.

Some purchases are billed by the issuance of an invoice to the client. Invoices are due upon receipt, a late payment fee of 2% per month of the unpaid balance will be added for all unpaid invoices after 45 days unless delay is agreed upon. The late payment fee will be retroactive to the invoice receipt date.

Notice: Adaptive Specialties is NOT a Medicare or Insurance Provider. If you purchase a product from us and submit a claim to Medicare for the products, Medicare will not pay for the product. You are responsible for payment for any products purchased from Adaptive Specialties. Should you choose to self submit a purchase to insurance we can assist with some of the documentation needed.

Limitation of Liability:

Adaptive Specialties does not support or endorse any products' manufacturer warranty. Manufacturers warranties are offered solely and explicitly by the manufacturer of each product. Customers should complete and mail-in the warranty support card on each product purchased when applicable. Customers should call the product manufacturer directly when requesting product warranty support. Except for the manufacturer’s warranty Adaptive Specialties makes no warranties of any kind to Buyer. TO THE EXTENT APPLICABLE, SPECIFICALLY EXCLUDED ARE ANY IMPLIED WARRANTIES ARISING BY OPERATION OF LAW, CUSTOM OR USAGE, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OR USE. In no event shall Adaptive Specialties be liable for any direct, incidental or consequential damages incurred by Buyer as a result of any breach of the manufacturer’s warranties. In the event of any breach of the manufacturer’s warranties set forth elsewhere in this contract, buyer's remedies against the manufacturer are the sole and exclusive remedy of owner. In no event shall Adaptive Specialties be liability for direct, incidental, consequential or other damages exceeding the original purchase price of the goods.

Electronic Communications

When you send us electronic communications; (like emails, text messages, chat messages) you consent to receive electronic communications from Adaptive Specialties. You agree all electronic communications meet legal requirements as to written communications.

Right to Change Site

Adaptive Specialties' website is an "as is" site and reserves the right to change the site at any time without notice. We reserve the right, at any time in our sole discretion, to: modify, suspend or discontinue the Site or any service, content, feature or product offered through the Site, with or without notice; charge fees in connection with the use of the Site; modify and/or waive any fees charged in connection with the Site; and/or offer opportunities to some or all users of the Sites. Pricing, Taxes and Payment

Prices on the website, quotes, documents and marketing information are current as of the date of posting and publishing. Prices are in U.S. dollars and are valid for purchase only in the United States. Accepted payment types are: Visa, Mastercard, American Express, Discover, Paypal, or check/money order by mail in US funds. Orders placed via check require a written proposal prior to mailing to assure correct amounts. Please note proposal number on check or mail a copy of the proposal with the check. Orders placed with international credit cards or PayPal or in non-US funds are not accepted.

Prices and product availability are subject to change or cancellation at the sole discretion of Adaptive Specialties due to cost and other factors including errors. Applicable taxes will added to your order during the check out process and you agree to pay any tax in addition to the purchase price.

Please note: several product Brands require minimum advertised prices, called MAP. MAP pricing establishes the lowest price we can put on our website, marketing pieces or discounts for specific products. MAP pricing is not applicable once you have established a client relationship with Adaptive Specialties. Call us to establish client status.

Indemnification

You agree to defend, indemnify and hold Adaptive Specialties, LLC. harmless from and against any and all claims, damages, costs and expenses, including attorneys' fees, arising from or related to your use of the Site and/or your breach of any representation, warranty, or other provision of the Agreement.

Dispute Resolution

To expedite resolution of any disputes, you and Adaptive Specialties, LLC agree to the following dispute resolution procedure:
In the event of any claim or dispute arising out of or related to any transaction conducted on the Site, or the breach, enforcement, interpretation, or validity of this Agreement or any part of it ("Dispute"), the party asserting the Dispute will first try in good faith to settle such Dispute by providing written notice to the other party describing the facts and circumstances (including any relevant documentation) of the Dispute and allowing the receiving party 30 days in which to respond to or settle the Dispute. Notice shall be sent
(1) to Adaptive Specialties, LLC  at 470 Olde Worthington Road, Suite 200, Westerville, Ohio  43082  or
(2) to you at: your last-used billing address or the billing and/or shipping address in your online profile.
Both you and Adaptive Specialties, LLC agree that this dispute resolution procedure is a condition precedent which must be satisfied prior to initiating any litigation or filing any claim against the other party.

Choice of Law

This Agreement shall be construed in accordance with the laws of the State of Ohio, without regard to any conflict of law provisions. Any dispute arising under this Agreement shall be resolved exclusively by the state and/or federal courts of the State of Ohio, County of Delaware and/or the Fifth District of Ohio. The waiver of any provision of the Agreement shall not be considered a waiver of any other provision or of Adaptive Specialties, LLC's right to require strict observance of each of the terms herein. If any provision of the Agreement is found to be unenforceable or invalid for any reason, that provision shall be severable, and all other provisions shall remain in full force and effect. Each party expressly waives all rights to a jury trial in connection with any dispute arising under these Terms. This Agreement constitutes the entire agreement between us relating to your use of the Site.

Termination

These terms are effective unless and until terminated by Adaptive Specialties, LLC. Adaptive Specialties, LLC may terminate this Agreement at any time without notice, and accordingly may deny you access to the Site, if in our sole judgment you fail to comply with any term or provision of the Agreement. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this Agreement for all purposes.
