Jurisdiction 1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. 1334. This matter
is a core proceeding within the meaning of 28 U.S.C. 157(b)(2). 2. 3. Venue is proper pursuant to 28 U.S.C. 1408 and 1409. The statutory bases for the relief requested herein are section 107(b) of the
Bankruptcy Code, 11 U.S.C. 101-1330 (the Bankruptcy Code), and Rule 9018 of the Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules). Background 4. On May 17, 2005 (the Petition Date), the Debtors filed their voluntary petitions for
relief under chapter 11 of the Bankruptcy Code. The Debtors are operating their businesses and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these cases. On the Petition Date, the Court entered an order jointly administering these cases pursuant to Bankruptcy Rule 1015(b). 5. On May 24, 2005, the United States trustee appointed the official committee of
unsecured creditors (the Committee). 6. As the Debtors have disclosed to the Court and publicly, to maximize the value of the
Debtors estates and save jobs, the Debtors are pursuing a cooperative sale process, which the Debtors expect will culminate with the confirmation of a plan. In connection with this process, over the last several weeks, the Debtors have worked very hard with the agents for the Debtors senior, secured prepetition and postpetition lenders (collectively, the Agents) and the Debtors major customers, including DaimlerChrysler Corporation, Ford Motor Company, General Motors Corporation and Auto Alliance International, Inc. (collectively, with their applicable affiliates, the Customers) to negotiate an agreement that will form the basis of a plan. The Debtors are now pleased to report that they have reached a comprehensive agreement with DaimlerChrysler

Corporation and General Motors Corporation, which are two of the Debtors largest customers, and the Agents that, among other things: (a) provides for a framework to facilitate the orderly sale of a majority of the Debtors businesses with the support of the Agents and the Customers; (b) provides a meaningful opportunity to save thousands of jobs; (c) memorializes an agreement among the Debtors, the Agents and the Customers on the substantive terms of a chapter 11 plan; and, ultimately, (d) provides a clear framework toward a consensual resolution and conclusion to these highly complex cases.2 7. Contemporaneously herewith, the Debtors filed the Motion (seeking, among other
things, approval of the Customer Agreement) and a motion for an expedited hearing on the Motion before this Court on December 14, 2006 at 2:00 p.m. prevailing Eastern Time. A copy of the Customer Agreement is attached as an exhibit to the Motion. The following confidential exhibits to the Customer Agreement, however, have not yet been filed with the Court (collectively, the Exhibits): Exhibit B - Plastics & Convertibles Production Payments and Obligations Budget; Funding Protocol Exhibit C - Administration Expenses and Professional Fees and Expenses Budget Exhibit D - Retention Bonus Budget Exhibit F - Prepetition Payables/Customer-Specific Resolution Exhibit G - Sale Facilities & Determination Dates Exhibit H - Administrative Expenses and Priority Claims that May be Absorbed by the Estate and Secured Lenders Collateral Exhibit K - Non-Participating Customer Letter Exhibit L - Inventory Bank Build Schedule

Assuming the Court approves this Ex Parte Motion, the Debtors will file the Exhibits with the Court under seal before the hearing on the Motion. Relief Requested 8. Pursuant to section 107(d) of the Bankruptcy Code and Bankruptcy Rule 9018, the
Debtors seek an order from the Court (a) authorizing the Debtors to file the Exhibits under seal and directing that the Exhibits shall remain under seal and confidential and (b) ordering that any portions of pleadings with respect to the Motion filed by any party that references the Exhibits be filed under seal with respect thereto. Basis For Relief Requested 9. Section 107(b) provides bankruptcy courts with the power to issue orders that will
protect entities from potential harm that may result from the disclosure of certain information. This section provides, in relevant part: On request of a party in interest, the bankruptcy court shall, and on the bankruptcy courts own motion, the bankruptcy court may (1) (2) 11 U.S.C. 107(b). 10. Bankruptcy Rule 9018 defines the procedures by which a party may move for relief protect an entity with respect to a trade secret or confidential research, development, or commercial information; or protect a person with respect to scandalous or defamatory matter contained in a paper filed in a case under this title.

Tenn. 2000); see also In re Orion Pictures Corp., 21 F.3d 24, 27 (2nd Cir. 1994) (commercial information defined as information which would cause an unfair advantage to competitors by providing them information as to the commercial operations of the debtor). 11. The Debtors submit that good cause exists for the Court to grant the relief requested
herein. In particular, outside of the bankruptcy process, the information contained in the Exhibits generally is held to be confidential because the Debtors and the Customers believe that, otherwise, they would be competitively disadvantaged in a sale process and in the operation of their businesses by the disclosure of such information. If the Debtors competitors or potential buyers knew the terms of the Exhibits, it could provide them with a competitive advantage in their dealings with the Customers or the Debtors, as the case may be. Further, if the Debtors customers other than the Customers were aware of the terms of the Exhibits, it could provide them with a competitive advantage in negotiating agreements with the Debtors. Accordingly, the Debtors seek to seal the Exhibits and any portion of any pleading filed with respect to the Motion that references the information in the Exhibits to prevent the disclosure of confidential commercial information that could substantially harm the Debtors, their estates and stakeholders, and the Customers. 12. Moreover, interested parties have been provided with sufficient information to
analyze the Motion and make an informed judgment, without disclosure of each and every term of the Exhibits.3 13. Therefore, to protect the business operations of the Debtors and the Customers and
the ability of the Debtors to reorganize, it is critical that the Exhibits be placed, and remain, under seal. WHEREFORE, the Debtors respectfully request the entry of an order, substantially in the form attached hereto as Exhibit A, (a) authorizing the Debtors to file the Exhibits under seal,
