Agreement Terms
1. This Agreement
This Agreement consists of the following
sections:
the Parties & Signatures;
the Agreement Details; and
these Agreement Terms.
2. The parties
The parties to this Agreement include the
Service Provider (referred to as we, our or us)
and the Service Recipient (referred to as you
or your).
3. Services
You engage us to provide the Services, from
the Start Date, specified in the Agreement
Details.
4. Individual service providers
We will ensure the Services are provided by
the Individual Service Providers specified in
the Agreement Details. However, we may vary
or substitute the Individual Service Providers if
it is reasonable and will not adversely affect
the Services.
5. Service hours
We will provide the Services during the
Service Hours specified in the Agreement
Details. However, we may vary the hours if it is
reasonable and will not adversely affect the
Services.
6. Service location
We will provide the Services at the Service
Location specified in the Agreement Details
and any other locations you reasonably
request.
7. Service fees and expenses
You must pay our Service Fees, in accordance
with the Payment Terms, specified in the
Agreement Details.
You must also pay, or reimburse us, for any
expenses that we reasonably incur in
connection with providing the Services. We will
seek your prior consent before incurring the
expenses and we will give you receipts or
other documents to evidence the amounts.

8. GST
Unless otherwise stated, you must pay goods
and services tax (GST) in addition to and at
the same time as the Service Fees and other
amounts due under this Agreement. We will
give you a tax invoice showing the GST
applicable.
9. Intellectual property
In relation to any intellectual property that we
(or any Individual Service Providers) discover,
create or develop in the course of providing
the Services:
we assign all our present and future rights in
it to you and it will be your property on
creation; and
if requested, we will sign any documents
that you reasonably require to evidence
your rights in it.
However, this does not apply in relation to:
background intellectual property that we (or
any Individual Service Providers) discover,
create or develop prior to, or independently
of, providing the Services to you; or
third party intellectual property that we (or
any Individual Service Providers) notify you
that we will use in the course of providing
the Services.
Intellectual property includes materials that
may be pr otected by patents, designs,
copyrights, moral rights, know how, trade
secrets, rights in confidential information and
any other intellectual property rights, whether
registered or unregistered.
10. Confidential information
In relation to your confidential information, we
will:
only use or disclose it for the purposes of
performing the Services;
ensure it is securely safeguarded;
if requested, including after the Agreement
ends, return or destroy it and delete any
electronic copies saved on our computers;
and
However, may disclose your confidential
information to our professional advisors, as
required by law or with your consent.
