FILM CLIP LICENSE

This agreement (hereinafter referred to as the "Agreement") is entered into as of


XXXXXXXXXX by and between XXXXXXXXXX (the "Production Company") and
XXXXXXXXXX (the "Licensor") regarding the use of a film clip from the motion
picture "XXXXXXXXXX" (the "Film Clip"), released domestically in XXXXXXXXXX
by XXXXXXXXXX.

1. GRANT OF LICENSE: Subject to the provisions set forth in this Agreement and to the
performance of all of the obligations by the Licensor to be performed hereunder, the
Licensor hereby grants to the Production Company a non-exclusive license ("License") to
use the Film Clip described in Exhibit "A" (attached hereto and incorporated herein) for
the term, purpose, payment and territory specified. In connection therewith, the Licensor
agrees to make the Film Clip available to the Production Company at no expense to the
Licensor for use by the Production Company subject to the terms and conditions set forth
in this Agreement below.

2. LICENSOR'S REPRESENTATIONS & WARRANTIES: The Licensor hereby


represents and warrants that it is the legal owner of the Film Clip and warrants and
represents that it has the right and power to enter into and perform this Agreement and to
grant the License herein contained; provided, however, that the Production Company
acknowledges that the Licensor makes no representations or warranties with respect to
the rights of the Production Company to use any footage which contains the
performances of any recognizable actor or actress without first obtaining the written
consent of such person or persons.

3. LIMITED LICENSE: The Film Clip will be used solely for the term, purpose and
territory specified in Exhibit "A", and for no other term, purpose or territory whatsoever.
The Production Company will not make or permit the making of any reproduction of or
from the Film Clip whatsoever, in whole or in part, except in connection with the purpose
herein specified. The Production Company shall have no right to edit or otherwise alter
the Film Clip or any portion thereof. The Production Company does not hereby gain a
license or have the right to use the Film Clip or the right to license others to use the Film
Clip to advertise or promote the Production Company or the Production Company's film
which incorporates the Film Clip.

4. COMPLIMENTARY COPIES OF THE FILM: The Production Company hereby


agrees to provide to the Licensor a print of the Production Company's film which
incorporates the Film Clip for the purpose of verification of the Film Clip used. To the
extent that the Licensor has provided the Production Company with physical materials of
any sort, the Production Company shall return such physical materials to the Licensor
within sixty (60) days of the domestic theatrical release of the film or the commercial
exploitation of the film in any media or market. Concurrently therewith, the Production
Company shall certify to the Licensor in writing, how many copies of such physical
materials, if any, were made by the Production Company, and return all such copies to
the Licensor or destroy the same and furnish to the Licensor a signed affidavit of
destruction.

5. AUTHORIZATIONS, CONSENTS & RELEASES: The Production Company shall


obtain all required written authorizations, consents and releases, in form and substance
satisfactory to the Licensor, necessary for the use of the Film Clip hereunder including,
without limitation, consents from those who appear recognizably in the Film Clip and
those the results and proceeds of whose services are utilized in the Film Clip, as well as
consents from unions and guilds including, if applicable and without limitation, the
American Federation of Television and Radio Artists, the Screen Actors Guild, the
Writers Guild of America and the Directors Guild of America, to the extent required
under applicable collective bargaining agreements. If and to the extent required, the
Production Company shall also obtain music synchronization agreements or licenses
from the owners of the music and consents from those performing music in the Film Clip
(including musicians), if any.

6. MUSIC LICENSES: It is also expressly understood and agreed that the Production
Company shall not broadcast or cause to be broadcast any music contained in the Film
Clip unless each local station, system or entity broadcasting the same shall have
appropriate licenses therefor from ASCAP, BMI, SESAC or such other performing rights
society having the right to license the performance and broadcast of such music, or the
publisher of such music.

7. COPIES TO LICENSOR: The Production Company hereby agrees to deliver to the


Licensor copies of all authorizations, consents, releases and licenses required to be
obtained under clauses 5 and 6 above.

8. RESERVATION OF RIGHTS: Notwithstanding the limited license granted hereby,


the Licensor reserves all of the Licensor's other rights in the Film Clip and the motion
picture from which it came. The Licensor shall at all times, anywhere in the world and
whether or not in conflict or competition with the Production Company, have the right to
use or authorize others to use the Film Clip in any way the Licensor may choose.

9. CREDIT: The Production Company agrees that there shall be included in any use of
the Film Clip a credit as specified and provided in Exhibit "A".

10. REPRESENTATIONS & WARRANTIES:

(a) The Production Company represents and warrants that the motion picture
incorporating the Film Clip will have the notice required for copyright protection under
the United States Copyright Act and in accordance with the requirements of the Berne
and Universal Copyright treaties. Any copyright in the motion picture in which the Film
Clip is used shall be held in trust for the Licensor and/or the copyright proprietor of the
motion picture from which the Film Clip was taken, if other than the Licensor, to the
extent that such Film Clip is used in such motion picture.
(b) The Production Company represents and warrants that nothing contained in the
context in which the Film Clip is used will be in any way derogatory to the motion
picture from which the Film Clip was taken, any person connected with the production
thereof or depicted therein, the Licensor and/or the literary material upon which the Film
Clip was based. Furthermore, the Film Clip will not be used in any way so as to
constitute and express or implied endorsement of any product or service by, or a
commercial tie-up involving, anyone associated with the motion picture from which the
Film Clip was derived.

11. INDEMNIFICATION: The Production Company hereby agrees to indemnify, defend


and hold the Licensor, its parent, affiliates, subsidiaries, agents, representatives and
associates, and the officers, directors and employees of each of them harmless from and
against all losses, costs, damages, judgments, liabilities and expenses (including, without
limitation, attorneys' fees and any payments that may be due any music publisher,
musician, writer, director, actor, union, guild or other party) arising from any claim
whatsoever and whenever brought, which may be brought based directly or indirectly
upon the Production Company's use of the Film Clip.

12. EQUITABLE RELIEF: The Production Company understands that a breach by the
Production Company of any of its representations, warranties or undertakings hereunder
may cause the Licensor damage which could not readily be remedied by an action at law
and might, in addition, constitute an infringement of the Licensor's copyright. Any such
breach would, therefore, entitle the Licensor to equitable remedies, costs and attorneys'
fees in addition to any other rights provided for herein or by law.

13. TERMINATION OF LICENSE:

(a) The Production Company hereby agrees that upon its failure to comply with any of
the foregoing terms and conditions, the License given the Production Company hereunder
shall be automatically terminated and shall be deemed null and void relating back to the
creation of this Agreement.

(b) The Production Company also agrees that the Licensor shall have the right to
terminate this Agreement and withdraw the authorization it has granted hereby in the
event any claim by a guild or other legal entity is submitted to the Licensor based upon
the rights granted to the Production Company under this Agreement.

14. MISCELLANEOUS PROVISIONS:

(a) This Agreement contains the full and complete understanding and agreement between
the parties with respect to the within subject matter, and supersedes all other agreements
between the parties, whether written or oral, relating thereto, and may not be modified or
amended except by written instrument executed by both of the parties hereto.
(b) A waiver by either party of any of the terms and conditions of this Agreement in any
instance shall not be deemed or construed to be a waiver of such term or condition for the
future or of any subsequent breach thereof.

(c) The parties agree that in the event of any dispute arising hereunder, such dispute shall
be governed under the laws of the state of XXXXXXXXXX. The parties further agree to
be subject to the jurisdiction thereof.

(d) This Agreement shall not be binding on the parties until accepted by both parties and
executed by a duly authorized officer of each such party. No additions, amendments or
modifications to this Agreement shall be effective until accepted in a similar manner.

Exhibit "A"

DESCRIPTION OF THE FILM CLIP: That certain XXXXXXXXXX


(XXXXXXXXXX) second segment of film from the motion picture "XXXXXXXXXX"
produced by XXXXXXXXXX and released in XXXXXXXXXX by XXXXXXXXXX
and consisting of the scene located approximately XXXXXXXXXX minutes into the
film in which the XXXXXXXXXX, including the music, lyrics and all other audio
content.

TERM: Perpetuity.

PURPOSE: Said Film Clip will be incorporated into the Motion Picture entitled
"XXXXXXXXXX" produced by XXXXXXXXXX and based on the screenplay written
by XXXXXXXXXX and starring XXXXXXXXXX which is intended to be exploited in
all markets and media worldwide in perpetuity.
CREDIT: An end title credit of a similar size and type of other similar end title credits as
determined by the Production Company and substantially in the following form shall be
accorded to the Licensor:

"'XXXXXXXXXX' film clip courtesy of XXXXXXXXXX."
