KNOW ALL MEN BY THESE PRESENTS:

We, the undersigned incorporators, all of legal, have this day voluntarily agreed
to form a non-stock, non-profit, religious society under the laws of the Republic of the
Philippines;

AND WE HEREBY CERTIFY:

Article I. That the name of this society shall be:

THE CHURCH IN CALUMPIT, BULACAN, INC.

Article II. That this religious society is an independent religious body and not a
part or affiliate of any church or sect, not sectarian nor
denominational, nor nondenominational, nor interdenominational and
stand on the unique ground of oneness of all believers in each locality
and recognize all the blood-redeemed and Spirit-regenerated believers
in Christ as members of the one church in each city not having any
headquarters having its local administration but the fellowship with
other local churches is universal.

Article III. That two-thirds (2/3) of its membership have given written consent
and voted to incorporate during a meeting of the society.

Article IV. That the incorporation of this religious entity is not forbidden by the
competent authority or by the constitution, rules, regulations or
discipline of the church of which it forms a part.

Article V. That the purpose of this religious society is to administer its affairs,
properties and estate. Further, that this non-stock, non-profit religious
society is organized and operated exclusively for religious purposes.
Such purpose shall include the following:

1. To carry on the God Ordained Way which includes gospel


preaching, in the Philippines and other countries;

2. To practice the Church Life, gathering of the believers for the


expression of the Lord, based purely from the Bible and
bringing them into the full experience and enjoyment of the
Lord’s riches;

3. To support established churches in nearby localities in the
practice of Begetting, Nourishing, Perfecting and Building of the
Church;

4. To conduct training, conferences and lectures in various


agencies and institutions on moral enhancement and spiritual
development programs;

5. To equip church leaders in the ministry work by way of


relevant print, audio and video materials;

6. To perform wedding rites and other ceremonies by qualified


ministers appointed by the president of the corporation; and

7. To do such other things as are necessary for the furtherance of


the purposes of this entity.

Article VI. That the religious society shall have its principal office at

Article VIII. That no part of the net income which the religious entity may obtain as
an incident to its operation shall belong to or inure to the benefit or be
distributed to any member, organizer, trustee, officer or any specific
person.

Article IX. That the Trustees of this non-stock, non-profit religious society do not
receive any compensation or remuneration.

Article X. That any profit obtained by the religious entity as a result of its
operation, whenever necessary or proper shall be used for the
furtherance of this religious entity’s purpose, subject to the provisions
of Title XI of the Corporation Code of the Philippines.

Article XI. That the religious society makes utilization of its resources directly for
the active conduct of the activities constituting the purpose or function
for which it is organized and operated.

Article XII. That the level of administrative expenses shall on an annual basis does
not exceed thirty percent (30%) of the total expenses and of the total
gifts or donation for the taxable year.

Article XIII. That the Incorporators and Trustees undertake to change the name of
the religious entity as herein provided, or as amended thereafter,
immediately upon receipt of notice or directive from the Securities and
Exchange Commission that another corporation, partnership or
person has acquired a prior right to the use of that name or that name
has been declared as misleading, deceptive, confusingly similar to a

registered name, or contrary to public morals, good custom or public
policy.

Article XIV. That in the event of dissolution or winding up of the religious entity its
remaining assets after payment, or provision for payment of all debts
and liabilities of the Corporation, and after the distribution of assets
having conditions and subject to limitations, shall be distributed or
passed on as the Board of Trustees may so determined through
fellowship to a non-stock, non-profit religious corporation who holds
and follows the same basic truths of this religious entity and
participate in harmonious fellowship with the local churches.

Article XV. Amendment of Articles of Incorporation - Any provision or matter


stated in the articles of incorporation may be amended by a majority
vote of the trustees and the vote or written assent of at least two-
thirds (2/3) of the members.
