STATEMENT OF PROBLEM
In this project we try to highlight what is a holding company, subsidiary company and find
out consolidated balance sheet and profit and loss account of subsidiary company which
merged with holding company and also treatment of goodwill which appears in the balance
sheet of the subsidiary company.
1) The reference has been taken from "Company Law and Practice” by Dr G.K Kapoor and
Sanjay Dhamija.
2) The book of Anoop Jain on “Company Law” for CS Executive is a brief note to get the
idea of companies act 2013 and how it govern the companies in India. The book contains
various case laws and short commentaries on various issues and case laws.
IDENTIFICATION OF ISSUES
Investments in shares represent the cost paid by the holding company to acquire the shares of
the subsidiary company. The investments entitle the holding company to share the net assets.
Therefore, in the consolidated balance sheet the assets and liability have to be merged with
that of the holding company eliminating the investments in the shares if the subsidiary
company.
The project work limits to the understanding of the companies act 2013 and its framework of
holding company and subsidiary company in the corporate sector as well as society and
critical analysis on how it evolve in the corporate world and how it becomes law in India and
its process behind that.
RESEARCH METHODOLOGY
The research methodology adopted in this project report is Doctrinal Method. In this research
project, the research is going to be subjective in nature and the method adopted for the project
is descriptive. The main source of the research is secondary source. Mainly the research is
done through the library and from various internet sources and legal websites. The analysis of
data is collected from various sources such as books, journals, newspapers and law reporters.
PROBABLE OUTCOME
By the discussion above we have come upon outcome that holding company is a company
which has its major or partial share holding in a subsidiary company , whereas a subsidiary
company is company which is formed from a another parent company, For eg-
TATA(Holding/Parent company) & TCS (Subsidiary company). In India, although a holding
company is not required by law to prepare a consolidated Balance Sheet or Consolidated P/L
A/C is of much help to the holding company to show clear picture. Goodwill of the
subsidiary company in balance sheet will be shown alone holding company.
