Residual Net Revenue Sharing

The sources of the Distribution Side (50%) commission revenue are:


1. Cardholder Usage Fees on cards less costs from the bank and the processor.
This revenue for the Distribution Side is typically less than $4-5 per card per
month since GIVE’s Cardholder Usage Fees are reasonable to promote usage.
2. FX (Foreign Exchange) fee of, typically, 1% for the entire channel Distribution
Side (from the Master Distributor side and down). This source of revenue can be
significant; if in a certain month, a cardholder spends $2,000, subjecting to FX,
using the card, this source of this commission can then amount to $20 per that
card in that month.
3. Interchange fees on bankcard spending. This fee is paid by the card acquiring
merchant, and not by the cardholder. This commission revenue can fluctuate
depending on the spending of the cardholders and the geographic locations of
the cardholders. This commission is, typically, 1.0% for the entire channel
Distribution Side (from the Master Distributor side & down). Therefore, if in a
certain month, a cardholder spends $2,000 using the card, this source of
commission can then amount to $20 per that card in that month.
