This Joint Venture Funding Agreement of United States Dollar (USD) against the Hong Kong
Dollar (HKD) (Hereinafter referred to as “Agreement”) is entered into and executed on this day
the 31st March, 2020 by and between the following parties:

WHEREAS, “Party A” confirms with full personal authority and legal responsibility, that she
is ready, willing and able to provide genuine, USD, clean and clear and none of criminal
origin, no mortgage, pledge, Free from Liens and Encumbrance and duty-paid to “Party B”.
“Party A” also provides his Bank Deposit account, with banking details attached hereto as
Appendix A.
鉴于“甲方”以完全充分的已证实授权和法律责任,已做好准备,愿意和能够提供真实的,干净的, 和洁净的, 没
有犯罪来源的, 没有任何抵押、质押、留置障碍和己完税的美元给“乙方”,并提供附录 A所附的银行坐标数
据。

WHEREAS, “Party B” confirms with full personal authority and legal responsibility, that he
is ready, willing and able to provide good, clean and clear, and of non-criminal origin HKD to
“Party A”, and “Party B” also provides his bank deposit Account, with banking details
attached hereto as Appendix A.
鉴于“乙方”,以完全充分的已证实授权和法律责任,已做好准备,愿意和能够提供真实的,干净的,和洁净的,没有
犯罪来源的港币给“甲方” , “乙方”并提供银行存款账户,如附录 A 所附的银行坐标资料。

NOW THEREFORE, In consideration of the mutual interests and covenants, “Party A”

and “Party B” hereby confirm with full personal and corporate and legal responsibility,
under penalty of perjury, and unconditionally agree to the following terms and conditions
stipulated hereunder:

1. SPECIFICATION 概要

“Party A” Currency : United States Dollar (USD)–Legal currency in the banking system of
Hong Kong.
“甲方”的货币 美元–在香港的银行系统的合法货币。

“Party B” Currency : Hong Kong Dollar (HKD) –Legal currency in the banking system of
Hong Kong.
“乙方”的货币 港币–在香港的银行系统的合法货币。

Quantity : USD One Hundred (100) Billion with Rollover and Extensions.
“数量 壹仟(1,000)亿美元 , 可继续循环并延展。

Process Quantity : USD Ten (10) Billion per tranche per day as Schedule of Delivery as
Appendix D.
“兑换数量 每日每笔壹佰(100)亿美元如附录D。

Exchange Rate : The middle price of the Banking Exchange Rate between USD and
HKD of the transaction day.
“兑换率 按银行当天挂牌价以美元对港币的中间价。

Process Location : The Hongkong and Shanghai Banking Corporation Limited.

香港上海汇丰银行有限公司。

Payment : On a Bank to Bank basis.

“付款方式 以银行对银行的方式。

2. ATTESTATION 表述
1. “Party A” and “Party B” are entitled to enter into this Joint Venture Funding Agreement.
“Party A’” is able to provide the United States Dollars to “Party B” and receive HKD
payment from “Party B”.
“甲方”和“乙方”有权签订资金合作协议书。“甲方”是能够提供美元给“乙方”,并领取“乙方”的
港币付款。

2. “Party A” has his bank account in The Hongkong and Shanghai Banking Corporation
Limited for payment of USD and for receiving of HKD; “Party B” has his bank account in
The Hongkong and Shanghai Banking Corporation Limited for payment of HKD and for
receiving of USD.
“甲方”在香港上海汇丰银行有限公司拥有付款美元和接收款港币的银行账户。 “乙方”在在香港上海
汇丰银行有限公司有接收款美元和付款港币的银行账户。

3. PAYMENT 付款
1) “Party A” makes a payment of One Hundred (100) Billion United State Dollars to “Party B’s”
bank account.
“甲方”付款壹仟(1,000)亿美元到“乙方的”账户上。
2) “Party B” makes payment of HKD currency which is equivalent to One Hundred (100) Billion
United State Dollars to “Party A’s” bank account.
“乙方”付款以等值壹仟(1,000)亿美元的港币存入“甲方的”账户上。

4. PROCEDURES 程序

1. “Party A” and “Party B” sign this Agreement face to face and/or electronically, the
electronic signatures are deemed acceptable to both parties.
双方签此合约用面对面或电子签, 电子签双方确认接受此合约。

2. Thereafter within Two (2) banking days, “Party B” provides a copy of Irrevocable
Unconditional Bank’s Payment Guarantee (IUBPG) which is issued by The Hongkong and
Shanghai Banking Corporation Limited, in the amount of Ten (10) Billion United States
Dollar to confirm with full bank responsibility to guarantee for the payment on a bank to
bank basis after the funds has been transferred from “Party A’s” account to “Party
B’s”account of the agreement as per Transaction Code:MOUSXX.
随后在贰(2)个银行工作日内, “乙方”提供由香港上海汇丰银行有限公司,出具的不可撤销无条件银行保
付函 (IUBPG), 金额为壹佰 (100)亿美元, 确认以负有银行全责保证当资金从 "甲方"的账户转账(汇)入到
“乙方” 的账户后, 将依照交易代码:MOUSEXX , 以银行对银行的方式立即将资金兑付给"甲方"。

3. Thereafter “Party A” and “Party B” lodge the signed Agreements to their respective
banks.
“Party A’s” Bank officer will issue a Notification Letter to state this agreement already
accepted by his bank to “Party A” forward to “Party B” for acknowledgement, then “Party
B” issues the confirmation letter to the “Party A” Party A and B then will agreed on a
date and time to commence the transaction.
随后双方将签订的合约放入各自的银行, “甲方 ”的银行官员发出正式受理通知书后 , "乙方"发出确认信
给"甲乙双方"确定时间开始交易程序

4. On the appointment day during the window time. “Party A’s” bank officer shall
directly contact “Party B’s” bank officer to verify and authenticate “Party B’s” a copy of
Irrevocable Unconditional Bank’s Payment Guarantee (IUBPG) on a bank to bank basis.
Thereafter “Party B’s” bank officer confirms the Irrevocable Unconditional Bank’s
Payment Guarantee (IUBPG) issued from The Hongkong and Shanghai Banking
Corporation Limited for the transaction of the agreement known as Transaction
Code:MOUSEXX is real, and is valid for the guarantee payment after the funds has been
transferred from “Party A’s” account to “Party B’s” account
在约定银行窗口时间里,“甲方”银行官员联络“乙方”银行官员, 以银行对银行的方式查核及验证“乙
方”的不可撤销无条件银行保付函, 以确认由香港上海汇丰银行有限公司出具给交易代码:MOUSEXX的
不可撤销无条件银行保付函 (IUBPG), 是真实的, 有效地保证付款, 当资金从"甲方"的账户转账(汇)入到
“乙方” 的账户后。

5. Once “Party A’s” bank officer accepts the “Irrevocable Unconditional Bank Payment
Guarantee” (IUBPG), “Party B’s” bank officer provides the original of “Irrevocable
Unconditional Bank Payment Guarantee (IUBPG)” to “Party A’s” bank officer; then on the
next Two (2) banking hours, “Party A’s” bank officer shall transfer the funds of Ten (10)
Billion United States Dollars from The Hongkong and Shanghai Banking Corporation
Limited, Hong Kong main office as the first tranche to “Party B’s” designated account,
which is The Hongkong and Shanghai Banking Corporation Limited. “Party A” shall
immediately hand over the copy of receipt of transfer to “Party B” as evidence.
一旦“甲方”银行官员接受“不可撤销银行无条件保付函“后, “乙方” 将正本不可撤销银行无条件保
付函给甲方,” 因此在贰(2)个银行工作日内, “甲方”银行官员将壹佰(100)亿美元从香港上海汇丰银行
有限公司转账(汇)到香港上海汇丰银行有限公司“乙方”指定的账户上作为第一笔交易, 同时递交银行
入账单复印件给“乙方”作为凭证依据。

6. Thereafter within Two (2) hours in the same day, when Ten (10) Billion United States
Dollars has been transferred to "Party B's" account, “Party B” shall transfer the funds of
HKD currency which is equivalent to Ten (10) Billion United States Dollars to “Party
A’s”account in The Hongkong and Shanghai Banking Corporation Limited as agreed by
both parties, and “Party B” shall immediately hand over the receipt of transfer to “Party
A” as evidence.
随后在同一天的贰(2)个小时内,当壹佰(100)亿美元已经转账(汇)入“乙方”账户, 经双方同意“乙方”
将等值壹佰(100)亿美元的港币转账(汇)到 “甲方”在香港上海汇丰银行有限公司“的账户上。并同时
递交银行入账单复印件给“甲方”作为凭证依据。

7. After Ten (10) Billion United States Dollars has been transferred by “Party A” to “Party
B”, and also “Party B” completes to make a payment of HKD Currency which is
equivalent to Ten (10) Billion United States Dollars to “Party A”; the execution of the
agreement as per Transaction Code:MOUSE4XX is defined as completed.
在“甲方”將一百（100）十億美元轉移到“乙方”，並且“乙方”完成以港幣貨幣付款後，相當於一
百（100）億美元 美元兌“甲方”； 根據交易代碼執行協議： MOUSE4XX 被定義為
已完成.
8. The Consultant Fee for all paymasters of beneficiaries will be paid at the same day by
“Party A” according to the Irrevocable Consultant Fee Payment Order of the Agreement
as per Transaction Code: MOUSEXX.
“甲方” 将根据协议不可撤销的顾问费支付令, 依照交易代码 MOUSE77，在同一天支付所有中介受益
人的顾问费。

9. The remaining of funds will be continued to carry out by both parties by following the
schedule of exchange until One Hundred (100) Billion United State Dollars has been
exhausted as per Transaction Code:MOUSEXX.
其剩余之款项将继续由甲乙双方按照交换时程表进行，直到交易代码 :MOUSEXX的壹仟(1000)亿美元
的资金已经用尽为止。

10. “Party A” will return the Irrevocable Unconditional Bank’s Payment Guarantee (IUBPG)
and to “Party B” when the trading of the agreement has been completed.
当合约的交易完成后, ”甲方"会将不可撤销无条件银行支付承诺书原件还给“乙方”。

11. Further deliveries of size and frequency of lifts is to be discussed and followed, if any,
according to the Agreement after the exchange of funds of One Hundred (100) Billion
United State Dollars (USD100,000,000,000.00)has been completed as per Transaction
Code: MOUSEXX.
为了进一步和持续的交易，依据双方程序逐步进行，至此交易代码:MOUSEXX的合约壹仟(1000) 亿美
元的金额交易完成后可以继续展延。

5. BANKING COORDINATES 银行坐标

“Party A’s” Banking Detail and “Party B’s” Banking Detail, is attached in Appendix A.
“甲方的 ”银行详细坐标和“乙方的 ”银行详细坐标。附在附录A。

6. TIME LIMITATION 时间限制

It is understood that within Ten (10) Banking days after signing of this Joint Venture
Investment Funding Agreement, “Party B” is obliged to provide copy of Irrevocable
Unconditional Bank’s Payment Guarantee (IUBPG) in the amount of Ten (10 Billion
United States Dollars to “Party A”. Should “Party B” be unable to perform the

mentioned above within these Ten (10) Banking days, this Joint Venture Funding
Agreement shall be automatically rendered null and void, without any written
notification.
非常明确,在合作投资协议合约书签署后的拾(10)个工作日内,”乙方”向”甲方”提供金额壹佰亿
(100)亿美元的人民币不可撤销无条件银行保付函 (IUBPG),如果”乙方”在拾(10)个工作日内不能提
供如以所述, 那此协议将自动失效,无须任何其它的通知。

7. CONFIDENTIALITY / NON-CIRCUMVENTION 保密条款

All parties, including “Party A” / “Party A’s” Mandate, “Party B” / “Party B’s” Mandate
and any and all representatives, consultants and intermediaries involved in this
transaction shall agree to act in complete confidentiality and shall not disclose the
Agreement to any other party except on a need to know the basis and shall strictly
observe the rules of the International Chamber of Commerce, Paris, France, latest
edition, related to Non- Circumvention and Non-Disclosure. This shall be valid for five
(5) years.
在此所有各方,包括“甲方”/“甲方的”委任方,“乙方"/“乙方的”委任方和任何参与这交易各方的所有
代表、顾问和中介机构应完全同意,并确保完全保密和不得透露协议的第三方,除非需要知道的基础上,并
应严格遵守法国巴黎国际商会最新版的严格规定和有关保密和不予披露的条款,此有效期为五(5)年。

8. OTHER CONDITIONS 其它条件

1 Both parties agreed that only both parties' bank officers can communicate with each other
except those communications are allowed by both parties. In the event any third-party
person of either party communicates with other party's bank officer, this Agreement shall
be automatically terminated.
双方同意只有双方的银行官员可以相互沟通, 除在本协议中所指明的方式。在发生任何一方的第三者与另
一方的银行官员沟通，本协议将自动终止。

2 “Party A” and “Party B” accepted all legal responsibility of the source of funds for the
transaction of the agreement as per Transaction Code:MOUSEXX under the laws of Hong
Kong, SAR.
“甲方”和”乙方”接受交易代码: MOUSEXX每一笔所有资金来源的合法性, 并根据香港特别行政区法
律的规限下负责承担所有法律责任。

9. APPENDIX 附录
