MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT entered into by and between----

SHELLA VALLADOLID, Filipino, of legal age,


single and with residence and postal address at Negros
Occidental, herein after referred to as the PARTY OF
THE FIRST PART,

-and-

MICHAEL PAREJA, Filipino, of legal age,


married, and with residence and postal address at Brgy.
Julugan, Municipality of Tanza, Province of Cavite,
hereinafter referred to as THE PARTY OF THE
SECOND PART,

WITNESSETH: THAT---

WHEREAS, PARTY OF THE FIRST PART, during his lifetime,


acquired and are the registered owner of a parcel of land classified as Agricultural
covered by TCT NO. 057-2015043580 located in Brgy. Alapan II, City of Imus,
Province of Cavite with a total land area of 11,615 sq m.

WHEREAS, the PARTY OF THE FIRST PART want to avoid the long and
tedious process of court litigation before their desired just compensation is finally
determined and paid to them and has expressed their desire to be promptly paid a
reasonable compensation for the parcel of land aforementioned in the amount of
Seven Hundred (700) Pesos per square meter;

WHEREAS, THE PARTY OF THE FIRST PART has offered to assign to


the PARTY OF THE SECOND PART all their rights, titles, interests and
participation in the parcel of land above-cited, including their right to litigate,
prosecute and/or defend the aforementioned civil case for expropriation and
receive the just compensation thereto, for the amount of Seven Hundred (700)
Pesos per square meter and the PARTY OF THE SECOND PART has agreed
thereto.

NOW THEREFORE, FOR AND IN CONSIDERATION of the


foregoing and the covenants and conditions hereinafter contained, the PARTY OF
THE FIRST PART, by virtue of this Agreement, hereby ASSIGN, TRANSFER
and CONVEY as they have now ASSIGNED, TRANSFERRED and
CONVEYED, in favor of the PARTY OF THE SECOND PARTY, all their rights,
interests and participation in the above-described parcel of land, together with the
right to litigate, prosecute, and/or defend the aforementioned civil case for
expropriation and receive, in full, the just compensation for the expropriation
thereof, subject to the following terms and conditions:

1. THE PARTY OF THE FIRST PART shall be paid by the PARTY OF


THE SECOND PART the total amount of Php _____________ for the entire
parcel of land affected, totaling ________ square meters at the price of Seven
Hundred (700) Pesos per square meter upon payment of the full just compensation
from the DPWH;

2. Upon execution of this Agreement, the PARTY OF THE SECOND


PART, by virtue hereof, is designated as the Attorney-in-Fact of the PARTY OF
THE FIRST PART with authority to appear for, prosecute, defend and/or litigate
civil case of expropriation mentioned above until final judgment; sign and execute
whatever papers, documents or pleadings is necessary for the prompt disposition
thereof; and receive accept, encash or deposit, in his own name, whatever amounts
may be decreed as just compensation for the parcel of land aforementioned. For
this purpose, the PARTY OF THE FIRST PART shall sign and execute a Special
Power of Attorney designating the PARTY OF THE SECOND PART as such
Attorney-in-fact, with the powers and authority herein mentioned and all other
powers incidental to or inherent thereto;

3. All expenses that may be incurred in connection with the civil case for
expropriation, including expenses in connection with the parcel of land, such as but
not limited to commissions, taxes, court related expenses and attorneys fees and
litigation expenses shall be shouldered by and for the account of the PARTY OF
THE SECOND PART;
IN WITNESS WHEREOF, the parties hereto have signed this Agreement
this ____ day of ________ 2019 in ________________, Province of Cavite.

SPECIAL POWER OF ATTORNEY

I, SHELLA VALLADOLID, of legal age, Filipino, single and with residence and postal address
at Negros Occidental, do hereby designate and appoint MICHAEL PAREJA, of legal age, Filipino,
married and with residence and postal address at Brgy Julugan, Municipality of Tanza, Province of
Cavite, to be my true and lawful Attorney-in-Fact, for my name, place and stead, to wit:
1. To represent me in any Court proceedings and/or juridical authority for and in behalf of the
herein Defendant relative to the case, covering a parcel of the registered land in the name of
the herein Defendant.

2. To request, sign, receive and/or submit pertinent papers/documents for the compliance of
Court processes pertaining to cases covering the parcel of the registered land in the name of
the herein Defendant.
3. To execute, sign motion/pleadings and/or other related documents with party concern,
provided with direct supervision and control of the regular Court for judicious resolution on
the case at bar.

4. To deposit, withdraw, receive money/monies and/or in cash check/checks representing


as monetary compensation on the aforesaid property.

5. To hire the services of Legal Counsel to assist on legal matters and the same to represent
in a proper Court prescribed under the Rules.

HEREBY GIVING AND GRANTING unto my said attorney-in-fact full power and authority to
do and perform any and every act and thing whatsoever requisite, necessary and proper to be done in and
about the premises as fully to all intents and purposes as I might or could do if personally present and
acting in person; and
HEREBY RATIFYING AND CONFIRMING all that the said attorney-in-fact shall lawfully do
and cause to be done under and by virtue of these presents.
