General Services Agreement
RECITALS
This Agreement is governed and controlled by the following Recitals which the Parties hereto
acknowledge to be true, to wit:
1. The AUTHOR is the creator and writer of that certain book currently entitled
____________________________________________ (the “Work”).
2. The Publisher has offered to publish and promote the Work, pursuant to the terms and
conditions contained herein; and
3. The Author wishes to accept the offer from the Publisher to publish the Work do all other
services as indicated in the indices herein.
NOW, THEREFORE, in consideration of the mutual promises herein contained, the Parties hereto agree
as follows:
SERVICES
That the AUTHOR engages the PUBLISHER to perform the following services, described and outlined in
the annexes hereafter attached:
2. Demographic Search
SERVICE CANCELLATION
a. The author may cancel the Publisher’s service, with guaranteed full refund, at any time before the
production process of the book begins. For the purposes of this agreement, production process shall
begin immediately after the author submits the manuscript through the Fulfillment Officer but before
the work is published or listed for sale to the general public.
b. In cases wherein author cancels the service within the production stage of the book, the amount of
refund shall depend upon the services that has already been done. If in case of installment payments by
the author and he has not fully paid the total amount yet during the cancellation, the publisher may
forfeit all of the installments being paid, if such amount is equal to or more than the services that has
already been done to the book. If such installment exceeds the amount of service done thus far, the
remaining will be refunded to the author.
c. The author agrees that no refund of whatever amount shall be allowed from the date that the Work is
published or listed for sale to the general public.
e. Cancellation shall only be allowed in case of non-substantial compliance by the publisher in terms of
the quality of the service it will provide, as it was proposed to the author prior to the execution of this
agreement. A mere change of mind on the author’s part will not suffice as to warrant cancellation.
GENERAL PROVISIONS
a. Should either party hereto, or any heir, personal representative, successor or assignee of either Party
hereto, resort to legal proceedings in connection with this Agreement, the prevailing party shall be
entitled to the payment of its costs, attorneys’ fees and litigation related expenses.
b. Authenticated Electronic signature shall be deemed the original signatures of the parties. The
Agreement may be signed in counter-parts.
c. This Agreement shall be governed by and construed in accordance with the laws of the State of
California without regard to conflict of law principles with venue and jurisdiction in San Francisco City.
d. All notices required to be given under the provisions of this Agreement shall be sent by personal
delivery or registered or certified mail.

However, the parties shall have the right to designate different addresses by means of notice to such
effect, duly sent by registered, certified or electronic mail. The date of receipt of notice, if personally
delivered, or mailing, whichever shall be first, shall be deemed the date of service (except that notice of
change of address shall be deemed served only upon receipt thereof).
IN WITNESS WHEREOF, the parties have caused the foregoing to be entered into as of the date first
written above.

INDEX A
1. The PUBLISHER engages the services of a third party work for hire to do, in behalf of the author, the
press release intended for the latter’s book.
2. The press release shall contain among others, the synopsis of the book.
3. The parties understand that Press Release Writer position is that of an independent contractor. The
latter may appoint or engage other persons, firms or corporations to perform any and all services (both
routine and non-routine) that this Agreement states Publisher shall perform. Press Writer services are
not exclusive – Press Writer is now and shall continue to perform somewhat similar services for other
Authors.

DEMOGRAPHIC SEARCH
1. As part of the demographic search agreement, author agrees to have his book title, book name, and
other personal information, except financial information, be made available in search engines like
google, operas, etc. for the sole purpose of online book visibility and continuous online presence.

PROMOTIONAL VIDEO
As part of this service, PUBLISHER agrees to create a 5 – 10- minute promotional motion picture video
wherein the author narrates, or tells something about his book. This video shall thereinafter be
uploaded on Youtube video site, and will be available as long as the author does not, by written
agreement, sought the cancellation of such.
