As regular employee of the Company, you will be entitled to the following


benefits:

1. Any other benefits such as, without limitation, ____, ____, _____ and ____
including bonuses, allowances and incentives that may be given by the Company,
other than those mandated by law, are subject to terms and conditions as may be
set forth in the existing or future policies of the Company and are understood to be
entirely discretionary and voluntarily given on its part, and is not guaranteed to be
given on a regular basis. You agree and acknowledge that, unless you are informed
in writing that a benefit or item of compensation will be provided by the Company
on a regular basis, any and all payments or benefits received by you in relation to
or during your employment with the Company is a discretionary benefit, which
you have no right to demand from the Company. These discretionary benefits
shall not form part of the terms and conditions of your employment, and may be
terminated, eliminated, reduced, modified, or replaced depending on business
considerations, market conditions, and financial performance of the Company.
Any existing or future policy of the Company granting such benefits, bonuses,
allowances or incentives may, from time to time, be amended, modified, reduced
or eliminated at the sole discretion of the Company

For client: We advise that the existing or future policy itself must
clearly state the grant of a particular benefit granted therein is
discretionary on the part of the Company and not a regular or
permanent benefit and that the terms and/or grant may be amended,
modified, or terminated by the Company.

2. By signing this Contract, you consent and agree, upon request from the
Company, to undergo, at a government-accredited institute to be nominated by the
Company, a medical/drug test at your expense. This is to be carried out for
purposes of determining your physical/mental fitness to perform the functions of
the job.

For client: If the purpose of the test is to determine fitness for


the position, then it should be conducted during the “application
stage” and, thus, there is no need to include this provision in the
contract.

However, if the test will be required from time to time during


employment, we suggest that it will be for the expense of the
Company.

3. You may be granted other miscellaneous benefits such as ______, ______


and other similar fringe benefits. Once granted, you shall ensure the proper use or
exercise of these benefits and avoid the abuse thereof. Further, these benefits
should not be construed as regular benefits or having permanency in nature of
application and the Company reserves the right to modify, reduce, withhold, cancel
or discontinue future grant thereof;

4. By signing this Contract, you manifest your acceptance of the Company’s


policy to review your performance regularly, based on reasonable performance
criteria dictated by performance targets set by the _______ Committee and the key
result areas performance objectives of the division or department for the evaluation
period. Such criteria shall be made known to you at the beginning of the evaluation
period, and the expected outputs clearly laid down by your superior. Further, you
recognize that failure to achieve a minimum satisfactory performance for ____ (__)
consecutive evaluation periods shall be a ground for disciplinary action, including
termination from employment.

5. Further, by signing this Contract, you consent and agree, upon request from
the Company, to undergo, at a government-accredited institute to be nominated by

6. You shall give your entire time and attention to the work assigned to you
during the established working hours of the Company and you shall be paid the
salary and other monetary benefits above-stated.

7. You agree to abide by all Company rules and regulations, which it shall be
your duty to study and know immediately upon hiring, and to refrain, during your
employment with the Company, from working for another employer or from
engaging in any activity which is prejudicial to the interests of the Company,
which will interfere with the performance of your job, whether within or outside
your working hours, without the prior written consent of the Company.

8. You agree to abide by the established working hours of the Company. The
normal work period shall be eight (8) hours per day, six (6) days per week. You
may be required to render work beyond the normal working hours subject to the
Company’s overtime policies. However, you shall not perform any overtime work
unless specifically directed in writing by your supervisor in each instance.

9. You agree, during the entire period of your employment, to be assigned to


any work, work schedule, work hours, workstation, or work site for such periods as
may be determined by the Company and whenever the operations thereof require
such assignment.

10. You shall perform the following functions:

For client: If you do not want to enumerate the functions in the


contract, we suggest that the same should be in a Job Description to
be attached to the contract since it is not enough to state in general
terms that the duties will be those required of the position. Have the
employee sign an acknowledgment of receipt of the Job Description
with the date of receipt which should be the same as date of this
Employment Contract and in no case later than the start date of
employment.

11. You agree that all records and documents of the Company and all
information pertaining to its business or affairs are confidential, and that no
unauthorized disclosure or reproduction of the same will be made by you at any
time during or after your employment with us.

12. You agree that all the Company records, documents, properties and
equipment in your custody or control shall be immediately surrendered to the
Company, if requested during the employment period, and at the termination
thereof, whether or not requested.

13. You agree that, during the term of your employment contract and for one (1)
year after the termination thereof, you shall not within the Philippines, directly or
indirectly, engage in business similar to the Company's business, nor engage in any
other employment, activity or business which would compete or conflict with the
business of the Company. You agree that any violation of this clause will cause
damage to the Company for which you shall be held liable.

14. In addition to expiration of the service, the Company may terminate this
Contract at any given time due to any of the following;

a. Commission of acts which are enumerated under the


Labor Code of the Philippines, as amended, and other
applicable provisions of law.
b. Commission of any offense defined and penalized under
the revised Penal Code or any Special Penal Law within
the premises of the Company.

c. You acknowledge to be aware of the Code of Conduct


mandated by the Company and all the rules and
regulations issued by the Company concerning the
employment contract between you and the Company.
Likewise, you acknowledge that it is your responsibility
to be aware of the Company’s Code of Conduct as well
as rules and regulations regarding your employment and
to fully comply in good faith.

You agree that the contents and provisions of this Contract have been
explained to you and that you have read and understood the same.

We welcome you into our organization and trust that your association with
us will be mutually beneficial.

Your signature in the space provided hereunder will signify your voluntary
acceptance of the foregoing terms.

I hereby confirm that I have received the original letter of this Contract of
Regular Employment, read and understood all the above terms and conditions of
