    MEMORANDUM OF AGREEMENT

    Purchase of Goods

    This Memorandum of Agreement is made and entered on May 2021, in the


    Municipality of Baliwag, Bulacan Philippines, by and between:

    JORDAN GOOD FOODS a company registered with the law of the Republic of the
    Philippines, with postal address at Benigno S. Aquino Avenue Baliwag Bulacan,
    represented by its owner, Jordan Calica Gutierez.

    and

    ZETH IVAN BAKERY a company registered with the law of the Republic of
    the Philippines, with address at Tarcan Baliwag, Bulacan Phillipines
    represented by it owner, Zeth Lion.

    Witnesseth that:

    JORDAN GOOD FOODS, which is engaged in the business of supplying Buchinoy,


    was agree with ZETH IVAN BAKERY to be the supplier for its store at Tarcan
    Baliwag, Bulacan;

    JORDAN GOOD FOODS commits to deliver the following goods on its first order
    at ZETH IVAN BAKERY pursuant to its formal quotation attached herewith

    ZETH IVAN BAKERY shall pay the total amount due to JORDAN GOOD
    FOODS on the same day the product is deliver and JORDAN GOOD FOODS shall
    immediately issue the corresponding official receipt or sales invoice regarding this
    transaction under the name of ZETH IVAN BAKERY.

    The next order of ZETH IVAN BAKERY to JORDAN GOOD FOODS will
    depend on the owner. The owner will contact the JORDAN GOOD FOODS thru text
    messages or voice call and he/she will indicate his/her order to JORDAN GOOD
    FOODS. The minimum order will be 10 boxes per transaction that agree between
    ZETH IVAN BAKERY and JORDAN GOOD FOODS.

    TERMS IN PRICE INCREASING

    1. The price will only increase if our raw material cost have changes or the price of
    each raw materials will also increase.

    2. We will give advance notice one week before we increase our price in each product
    and we will supply a new advertising materials with updated price of our product.
    TERMINATION OF THE MEMORANDUM OF AGREEMENT

    1. Grounds - Any time after the execution of this contract, this Agreement may be
    terminated at the instance of ANY OR BOTH PARTIES hereto or by reason of
    default described hereunder without prejudice to any other rights or remedies it is
    entitled under this Agreement and applicable law.
    2. Events of Default - Each of the following events shall constitute a valid ground for
    default:

    a. Any failure, neglect or inability on the part of either of the Parties


    to comply with any of the terms and/or conditions of this
    Agreement; and

    b. Any misrepresentation or breach of warranty made in connection


    herewith and proven to have been incorrect or misleading as of the
    time it was made.

    3. Procedure - Termination of this Agreement shall be by service to the other party


    of a written Notice of Termination, which shall take effect thirty (30) days after
    receipt of said written notice.

    ENTIRE AGREEMENT

    This agreement contains the complete understanding of both parties and may not be
    amended, supplemented or varied except by an instrument in writing signed by both
    parties. The validity and effectiveness of this agreement shall be governed by the
    Laws of the Republic of the Philippines.

    DISPUTE RESOLUTION AND VENUE OF ACTIONS

    In case of dispute, the parties will try to settle it amicably before resorting to other
    alegal remedies. Exclusive jurisdiction over and venue of suits arising from this
    Agreement shall be with the proper courts of the Province of Bulacan to the exclusion
    of other courts or tribunals. The Parties herein warrant that they have read and
    understood this Agreement and bind themselves to its full and proper execution.
