relevant documentation is valid, has not been revoked and has been duly issued in accordance
with all applicable laws at the relevant place of issue.

We confirm and acknowledge that all future contracts between NEOM and the Supplier may be
agreed through use of electronic signatures, digital signatures and/or virtual signatures such as
“Click-Through” execution mechanisms, without the need for any further approvals or

confirmations by the Supplier in this regard, and we confirm and will procure that only Authorized
Supplier Representatives will provide their agreement on behalf of the Supplier through such
execution mechanisms.

We confirm and acknowledge that NEOM has the right to rely on the Autho rized Supplier
Representatives’ signatures if, at any time, a case is brought where acceptance of any
agreements as signed by the Authorized Supplier Representatives is challenged. We hereby
represent, warrant and confirm that all such agreements entered into, accepted or signed by any
Authorized Company Employee will constitute, at such time of entry, acceptance or signing, valid,
binding and enforceable obligations on the Supplier.

We undertake to indemnify NEOM against all loss, damage or cost arising out of or in connection
with NEOM’s reliance on this Letter or any fraud or misrepresentation by the Supplier.

We agree to notify NEOM immediately in writing of any changes to the Authorized Supplier
Representatives.
