Deed of Rescission and Revocation
BETWEEN
(“TEG ASSETS”)
AND
(“The Tenant”)
BETWEEN
(i) TEG ASSETS SDN BHD (“The Landlord”), a company incorporated under the
Companies Act 1965 bearing the address of c/o TAYLOR’S EDUCATION SDN BHD,
Block B, Level 1, Taylor’s Lakeside Campus, No.1, Jalan Taylor’s, 47500 Subang Jaya,
Selangor, of one part,
AND
WHEREAS:-
Put recital
1. The Landlord and the Tenant hereby mutually agree to revoke and rescind the Tenancy
Agreement dated 27th July 2010 with effect from the date hereof subject to the terms and
conditions hereinafter contained.
2. The Agreement of the Parties hereto to the revocation and rescission of the Tenancy
Agreement is subject to : -
(a) the Landlord entering into a fresh tenancy agreement (“the New Tenancy
Agreement”) with the new Tenant for the tenancy of the said demised premise
subject to the terms and conditions as contained in the New Tenancy Agreement;
AND
(b) all deposits paid by the Tenant to the Landlord till this date pursuant to the
Tenancy Agreement shall be deemed to be treated as payment made by an
individual knows as LEE HUNGSUB (NO. Passport: M03169290) (“the said
individual”); AND
(c) upon the execution of this Agreement, parties hereby mutually agree that all the
deposits paid to the Landlord shall be transferred to said individual.
3. Upon the execution of this Deed, the Tenancy Agreement shall be deemed to have been
terminated and be null and void and neither party shall have any claim whatsoever
against the other in respect of and under the Tenancy Agreement.
4. In the event of the Tenant fails to enter into the New Tenancy Agreement with the
Landlord and/or vice versa, this Deed shall be treated as null and void and the Tenancy
Agreement shall continue to be binding on the Parties hereto with full force and effect as
if this Deed was never entered into between the Parties hereto.
5. The Parties hereto declare and represent that they have the power and capacity to
execute and perform the terms of this Deed and have taken all necessary corporate and
other action to authorize the execution and performance of this Deed.
6. This Deed shall be governed by and construed in accordance with the laws of Malaysia
and the Parties hereto hereby submit to the jurisdiction of the Courts of Malaya in all
matters connected with the obligations and liabilities of the Parties under this Deed.
8. This Deed shall be binding on the successors-in-title and assigns of the Landlord and the
heirs, personal representatives and successor-in-title of the Tenant.
