MEMORANDUM OF UNDERSTANDING

MOU No. ___, s.2022

KNOWN ALL MEN BY THESE PRESENTS:

This Memorandum of Understanding made and entered by and between:

GREENGEN INC., an energy company, a duly licensed and registered establishment


under the laws of the Philippines, with principal office address at, Unit 101, GreenGen Bldg.,
Maharlika Highway, Brgy. Valenzuela, Santa Rosa, Nueva Ecija, represented by its
______________, _______________________________________________, hereinafter
referred to as the “COMPANY”;

–AND–

NUEVA ECIJA UNIVERSITY OF SCIENCE AND TECHNOLOGY (NEUST), a


chartered state university in accordance with R.A. 8612, with office address at General Tinio
Street, Cabanatuan City, Nueva Ecija 3100, represented by its University President, DR.
FELICIANA P. JACOBA, hereinafter referred to as the “UNIVERSITY”

–WITNESSETH: That–

The UNIVERSITY has requested the COMPANY to accommodate its students in the
different field of discipline as TRAINEES in their respective curricular on–the–job trainees;

The COMPANY has agreed to accommodate the TRAINEES for the on–the –job
training, subject to the terms and conditions specified hereunder;

NOW THEREFORE, for and in consideration of the foregoing premises and the mutual
covenants set forth herein, the parties agree as follows:

TERM. The affectivity of this Agreement shall be for a fixed and specific period, which shall
commence on ______________ and shall last for a period of three (3) years or until
_________________ unless otherwise terminated in accordance with this agreement, or
modified by all parties in writing. The TRAINEES shall be complete the Training Program
within the Required OJT Hours.

DUTIES AND OBLIGATIONS

A. The UNIVERSITY

1. To formulate local school practicum policies and guidelines on selection, placement,


monitoring and assessment of the TRAINEES;
2. Pre–qualify TRAINEES in accordance with the school off campus training policies and
requirements as specified in CMO No. 23, Series of 2017 and from the COMPANY;
3. Set the criteria on the selection of a faculty Practicum academically qualified and
responsible as Faculty SIPP Coordinator per program for all aspects of the student
internship programs including program implementation, monitoring and evaluation;

4. Develop a Training Manual or Plan in accordance with the criteria set forth in CMO No.
23 series of 2009 for the TRAINEES in coordination with the COMPANY;
5. Jointly monitor and evaluate performance of the TRAINEES with the COMPANY based
on the prescribed Training Manual or Plan;
6. Conduct general orientation for the TRAINEES and their parents/guardians;
7. Conduct initial and regular visit of the COMPANY premises to ensure the safety of the
TRAINEES;
8. Subject the student TRAINEE to institutional disciplinary policies for any violations of
the guidelines set forth under CMO No. 23 series of 2009 after due investigations
conducted in connection thereto; and
9. Issue a final grade to the student trainee based on the TRAINEES performance
evaluation upon completion of requirements on prescribed period and the concomitant
Certificate of Appreciation of the completion of training of the student to the
COMPANY.

B. The COMPANY
1. To facilitate the processing of the documents of the student trainees/interns in
coordination with the UNIVERSITY;
2. Provides Supervised Applied Learning Experiences for the student trainees in
accordance with agreed Training Manual/Plan and schedule of activities;
3. Assigns a competent Training Supervisor responsible for the implementation of all
phases of the Training Plan;
4. Not to assign student trainees in unsuitable training venues and those that are hazardous
or may put the students in harm’s way;
5. Conduct a post training review and evaluation of the program and the performance as
well as with the UNIVERSITY;
6. Issue a Certificate of Completion of the TRAINEE one (1) week after the completion of
the training;
7. The COMPANY may opt to grant each TRAINEE an allowance equivalent to
___________ for every eight (8) hours of work per day, or ___________ per hour of
work, provided such work is not less than four (4) hours per day (‘OJT ALLOWANCE”)
8. The COMPANY will release the OJT Allowance to the TRAINEE for his/her training
hours actually rendered during the week, not later than the third working day of the
immediately succeeding week.

OBLIGATION OF TRAINEE.

The TRAINEE shall be liable to any damages through his fault or negligence such as breakage
of COMPANY properties after due notice and hearing in accordance with COMPANY rules.

SCHEDULE.

The TRAINEE shall be observing the following training schedule:

Mondays to Fridays Time: 8:00–5:00pm, without prejudice to a flexible and suitable schedule to
be agreed upon by the COMPANY and the UNIVERSITY which may include Saturdays and
Sundays;

The training hours shall not exceed eight (8) hours per day.

The COMPANY shall not require the TRAINEE to render overtime work or to report for
training on legal (regular) or special holidays.

JOINT MONITORING AND EVALUATION. The faculty SIPP Coordinator and/or Director,
On–the–Job Training and Career Development Office of the UNIVERISTY shall use standard
procedures, instruments and methodologies such as observations, monthly reports, and
interviews or conferences to the students.

The Faculty SIPP Coordinator’s report including the COMPANY evaluation report shall be the
basis of the TRAINEE’s final grade.

LEAVE OF ABSENCE. The TRAINEE shall seek prior approval from his/her supervisor in
case of absences from work or as provided in the company policies or Rules and Regulations
relative to leave of absence.

TERMINATION. The COMPANY upon prior notice and consultation with the UNIVERSITY
may terminate a TRAINEE at any time and with immediate effect, on account of the
TRAINEE’s improper conduct or behavior, any actual or the threatened violation of the
COMPANY’S rules and regulations, Code of Employment Discipline, or for any other cause
whatsoever which the COMPANY, in its discretion may deem proper or convenient.

CONFIDENTIALITY. The TRAINEE and the UNIVERSITY shall keep in strict confidence,
any and all information, data, communications, documents, and other form, gathered, accessed or
received by it in connection with the performance of this Agreement (including the terms and
conditions specified herein), and shall not disclosed the same to any third party without the prior
written approval of the COMPANY.

NO RELATIONSHIP. The parties agree that no employee–employer relationship shall exist


between the TRAINEE and the COMPANY, or between the UNIVERSITY and the
COMPANY, and accordingly, the TRAINEE and the UNIVERSITY, shall not be entitled to any
wages, salaries and other compensation and benefits whatsoever provided to employees of the
COMPANY, except solely for the OJT Allowance which may be provided, subject to the
conditions specified in this agreement.

Nothing in this agreement or any act committed and/or omitted in the performance of this
Agreement shall be construed as creating a relation of principal and agent, employer and
employee, joint venture, partnership, or any other relationship between the TRAINEE and the
COMPANY, nor between the UNIVERSITY and the COMPANY. The TRAINEE and the
UNIVERSITY shall not, in any manner, be deemed a partner or agent of the COMPANY, and
shall have no authority whatsoever, to assume or create any obligation, commitment or
responsibility for or on behalf of the COMPANY, or otherwise represent or bind the
COMPANY.

ENTIRE AGREEMENT. This agreement constitutes the entire understanding among the
parties concerning the subject matter hereof, and superseded all previous documents,
understanding, agreement, verbal, written or any other form, among parties on the subject matter
hereof.

Except that, the following documents shall be incorporated and form part of this Agreement, to
wit:

1. List of Names of Qualified Trainees certified and approved by the University

2. The Parental Consent

COMPLIANCE IN GOOD FAITH. The parties shall take all appropriate steps to ensure that
their respective obligations in this Agreement are complied with in good faith.

GOVERNING LAW.The provisions of CHED Memorandum Order (CMO) No. 23 Series of


2009 shall form part of this Agreement on matters not provided hereto.

This Agreement shall be construed and enforced in accordance with, and shall be
governed by, the laws of the Philippines.

IN WITNESS WHEREOF, the parties have carefully read, fully understood and
voluntarily agree, to terms and conditions of this agreement, and have caused this agreement to
be signed by their duly authorized representatives on the date and at the place above written.

including the page where this acknowledgement is written, who acknowledgment before me that
their respective signatures on the instrument were voluntarily affixed by them for the purpose
