    CONTRACT OF AGREEMENT

    KNOW ALL MEN BY THESE PRESENTS:

    This AGREEMENT made and entered this ____day of ____in Lagawe, Ifugao,
    Philippines.

    J.V LACAMBRA Development Corporation, a duly organized and registered


    corporation by the Security and Exchange Commission with business address at #
    262 SLU-SVP New Site, Bakakeng, Baguio City, represented by Jonathan B.
    Lacambra, hereinafter referred to as the SPECIALIST,

    And

    PROVINCE OF IFUGAO, represented by JERRY U. DALIPOG, The Honorable


    Governor of the Province Ifugao referred to as the CLIENT.

    WITNESSETH:

    WHEREAS, the CLIENT desires to undertake Soil Testing on the following


    proposed Government Buildings hereinafter referred to as the PROJECT and wants
    to engage the services the SPECIALIST for the purpose;

    WHEREAS, the CLIENT had contacted several Soil Testing Specialists, but due
    to the restrictions strictly imposed by the IATF, no other SPECIALIST heed the call
    of the CLIENT.

    WHEREAS, the CLIENT is in dire need of the services of of Soil Testing


    Specialist to jumpstart priority projects of the Provincial Local Government Unit of
    Ifugao, the CLIENT engaged the services of SPECIALIST due to extreme time
    constraints;

    WHEREAS, the SPECIALIST has long been engaged in the Soil Testing and
    possess the needed technical and financial capabilities to undertake the PROJECT.
    NOW THEREFORE, for and in consideration of the foregoing premises and
    mutual covenants and stipulations hereinafter sent forth, the parties hereto have
    agree as follows;

    ARTICLE I. SOPE OF WORK AND SPECIFICATIONS

    The SPECIALIST shall supply the needed materials, manpower and technical
    supervision in undertaking the PROJECT based on the attached Program of Work,
    Specifications, Items of Work and Approved Bid Amount herein.

    ARTICLE II. TIME FRAME OF THE PROJECT

    The SPECIALIST shall complete the PROJECT in a period of FORTY FIVE DAYS
    (45) calendar days per project site as agreed upon by both parties.

    ARTICCLE III. CONTRACT COST

    For and in consideration with services aforementioned to be performed by


    the SPECIALIST in undertaking the PROJECT, the CLIENT shall pay the SPECIALIST
    the sum of THREE HUNDRED SEVENTY THOUSAND AND EIGHT HUNDRED PESOS
    ONLY, (P 370,800.00).

    ARTICLE IV. MANNER OF PAYMENT

    The payment of Contract Cost stated in Article III shall be paid by the Client to
    the SPECIALIST upon completion and submission of the Soil Test Reports as output
    of the PROJECT.

    ARTICLE V. GUARANTEE OF WORK

    The SPECIALIST shall guarantee the quality of work on the PROJECT and shall
    undertake back jobs resulting from poor workmanship for a period of ONE (1) YEAR
    after the completion of the PROJECT. This will cover only portions where the
    micro-piles have been installed.
