(FPC) AS SUPPORT AGENCY FOR PROCUREMENT OF ONION UNDER PRICE
STABILIZATION FUND SCHEME OF GOVT. OF INDIA

invites Expression of Interest (EOI) in sealed cover from eligible Federation of Farmer
Producer Organization/ Farmer Producer Organization (FPO) / Farmer Producer
Company (FPC) for empanelment as Support Agency for Procurement of Onion under
Price Stabilization Fund Scheme of Govt. of India.

1. PURPOSE AND SCOPE OF WORK FOR WHICH EOI IS INVITED:

NAFED is one of the Central Nodal Agency of Department of Consumer Affairs


(DoCA), Ministry of Consumer Affairs, Food and Public Distribution, Government of India
for procurement of Onion under Price Stabilization Fund Scheme (PSF).

In order to undertake the work of Procurement of Onion in the Scheme, in


accordance with the guidelines and Agreement of Nafed/DoCA, NAFED seeks to
empanel eligible FPO Federation /FPO /FPC as Support Agency. In case of
Maharashtra only Federation of FPO can apply for empanelment of Support Agency. In
case of Madhya Pradesh and Gujarat FPO/FPC can also apply. An indicative scope of
work for Support Agency is as listed below: -

2. SCOPE OF WORK:

i. Support Agency will undertake procurement of Onion under PSF through its
members only.
ii. Support Agency will organize procurement operations on behalf of NAFED for
procurement of freshly harvested onion as per the quality parameters informed by
Nafed from time to time.
iii. Support Agency will identify and hire suitable chawls within the production hub for
storage of Onion.
iv. The Support Agency shall make arrangement of labor at procurement centre for
loading/unloading, sorting & grading, transportation of Onion

to storage godowns as well as jute/hessian bags (if required by NAFED), packing,
Weighment & loading of the stored Onion at the time of dispatch and other allied
activities in identified and verified godowns.
v. The Support Agency will ensure quality control and proper maintenance of stocks
during storage period.
vi. In case of implementation of automation of procurement through NAFED’s
engaged portal, it will be essential for the Support Agency to ensure that each
procurement centre is properly and adequately equipped with IT hardware and
manpower.
vii. It will be essential for the Support Agency to ensure that all procuring data of daily
procurement should be entered on the portal / procurement system.
viii. Support Agency should appoint Nodal Officer for each cluster of procurement
center operating in the Taluka in the Districts covered by the agency for all
operations related to procurement of Onion will be responsible for the activities in
the Tehsil and Nafed’s engaged Portal.
ix. Support Agency shall ensure that SOPs are followed at each center for farmer
registration including bank account details, entry and updating of land and crop
records. In case FPC/FPO is the support agency, they will ensure to follow the SOP
strictly and should maintain all the details like farmer registration including bank
account details, entry and updating of land and crop records.
x. Support Agency shall be responsible to ensure that farmer payments are strictly
done through online/RTGS or any other approved portal/system only and no offline
farmer payments shall be permitted.
xi. All transactions between the Support Agency and any third parties/farmers shall be
carried out as between the two principals without reference in any event to the
NAFED. The Support Agency undertakes to make such third parties fully aware of
the position aforesaid. All persons employed, whether directly or indirectly, by the
Support agency shall be engaged by Support agency as their own employee in all
respects and in no way, they shall be the employee of the Nafed. The Support
agency shall be liable for all payments to their employees and shall also follow the
labour and other statutory laws so applicable.
xii. Support agency shall, in its own individual capacity, be responsible to discharge all its
statutory and contractual obligations properly and promptly and shall be responsible for
any acts of omission or commission committed by its employees/agency.

xiii. Nafed will not be liable for any default or acts or omission or commission of the Support
agency towards third parties or the employees. It will be the responsibility of the Support
agency to indemnify NAFED if, any claim made by the Third Party against NAFED.
xiv. Support Agency will ensure to submit the purchase bills and other supporting
documents at Nafed Office on time and within one from the completion of procurement.
xv. There shall be no guarantee of work to be given to empanelled Support Agency. In
case of no work, the Support Agency shall have no claim for any losses or damages
whatsoever against NAFED or its nominated / assigned agency.
xvi. NAFED reserves the right to determine the number of Support Agency/ies for the given
work at any given point of time, based on turnover volume, efficiency of operations or
any other factors as determined by NAFED.
xvii. NAFED shall be at liberty to reimburse themselves of any damages, losses, charges,
costs or expenses suffered or incurred by it due to Support Agency’s negligence and
un-workmanlike performance of Services under the contract or breach of any terms
thereof. The total sum claimed shall be deducted from any sum then due or which at
any time hereafter may become due to the Support Agency under this or any other
contract with the NAFED. In the event of such sum being insufficient, the balance of
the total sum claimed and recoverable from the Support Agency as aforesaid shall be
deducted from the Performance Guarantee furnished by the Support Agency. Should
this sum also be not sufficient to cover the full amount claimed, the Support Agency
shall pay to the NAFED on demand the remaining balance of the aforesaid sum
claimed.
xviii. Size of gunny bags/packing may be kept uniform in all procuring states as required by
office of CAC/DoCA at the time of final vetting of commodities.
xix. Fifteen percent of service charges payable to Support Agency may be retained by
NAFED till the time final vetting of onion is concluded at the office of CAC/DoCA.
xx. The maximum permissible limit for qualitative and quantitative storage loss in case of
onion shall be upto 25% with maximum storage period of six months. Alternately, if the
storage period is less, the losses can be applied on pro-rata basis. In case losses are
more than maximum permissible limit the partnering Agency shall be liable to bear the
loss as per the agreement. The excess loss, if any, will have to be recovered from the
Support Agency.

3. Short listing and engagement:

NAFED reserves the right to shortlist and engage Support Agency/FPO at its sole
discretion and will not be liable to answer demands/queries from firms that are not
shortlisted or engaged. NAFED also reserves the right to cancel this Expression of
Interest, without assigning any reason. The support Agency (Federation/FPO/FPC)
who had already purchased the Onion on behalf of Nafed during the previous
operations also needs to apply in the empanelment process. Empanelment with
NAFED does not guarantee a Right to Work. No Agency empanelled with NAFED can
demand a contract.

4. ELIGIBILITY CRITERIA FOR EMPANELMENT WITH NAFED FOR SUPPORT


AGENCY FOR PROCUREMENT OF ONION UNDER PSF

Minimum Eligibility for Federation of Farmer Producer Organization for


Maharashtra, Gujarat & Madhya Pradesh
i. Any legal entity registered in India under the relevant Act or any institution
established under any Act of Government of India or State.
ii. The agency should have a minimum average turnover / utilization of funds of INR
50 Lakhs during the past years with positive net worth.
iii. The Federation should have minimum 10 Farmer Producer Company (FPC) as
its Members and should have Rs 25 Lakh working capital. The member Farmer
Producer Company should have minimum 100-member farmers and Rs. 2.5
Lakhs working capital. Farmer’s list along with their registration number, village,
District etc. may also be enclosed along with application certified with Company
Secretary.
iv. The Federation should not have been barred/ blacklisted at any time by any
Central Government Department Agency / Public Sector Unit (PSU) of the Central
Government or any State Government.
v. The Federation should have following professionals/experts at the time of
application& can do efficiently work at computer:
Accounts Staff – Minimum 02 Personnel
Marketing Staff – Minimum 04 Personnel
vi. The Federation should not engage ex-employee of Nafed in any form in their
procurement operation (Self Declaration).

vii. Federation of FPO & its member FPCs should have minimum arrangement of
Onion storage of 10,000 MT either own/hired. Each Storage Godown/Location
should not be less than 500 MT.
viii. Initial procurement quantity will be allocated on the basis of the storage
space provided at the time of submission of EOI, however allocation of
quantity depends upon discretion of NAFED.
ix. Federation and its member FPC’s should have PAN, GST number and other
statutory approvals for doing business in State.
x. Federation should have relevant experience (procurement of agri commodities
/sale of onion other perishable agri commodities). The copy of work orders/bills
along with self-declaration may be enclosed along with empanelment documents.
xi. Federation should submit the Bank Guarantee (Lien in the name of Nafed) of Rs
50 Lakh as performance Guarantee before commencement of procurement
operation with the validity of 02 year. In case of any losses/recovery/misconduct
of work/breach of EOI/agreement terms & conditions, Bank Guarantee will be
revoked. Whenever the performance Guarantee falls short of the specified
amount of Rs 50 Lakhs, the FPO shall, make good the deficit so that the total
amount of performance Guarantee shall not, at any time, be less than specified
amount of Rs 50 Lakhs. After completion of satisfactory work, submission of all
documents/information and no payment pending against Nafed for shortages etc,
the Bank Guarantee shall be returned.
xii. Only Federation of FPO registered in the respective State and fulfilling the
eligibility criteria shall apply for empanelment only for that State.
xiii. Authorized person who is applying on behalf of Federation should give the
Authority Letter (Resolution) along with the application.

Minimum Eligibility Criteria of Farmer Producer Organization (FPO) / Farmer


Producer Company (FPC) for Gujarat & Madhya Pradesh
i. Any legal entity registered in India under the relevant Act or any institution
established under any Act of Government of India or State.
ii. The FPC/FPO should have a minimum average turnover / utilization of funds of
INR 20 Lakhs during the past three years with positive net worth.
iii. The FPC/FPO should have minimum 100 member Farmers and should have Rs
10 Lakh working capital.

iv. FPC/FPO should have PAN, GST number and other statutory approvals for doing

business in State.
v. Support Agency should have relevant experience (procurement of agri
commodities /sale of onion other perishable agri commodities). The copy of work
orders/bills along with self-declaration may be enclosed along with empanelment
documents.
vi. The FPC/FPO should not have been barred/ blacklisted at any time by Nafed/any
Central Government Department Agency / Public Sector Unit (PSU) of the Central
Government or any State Government.
vii. The FPO/FPC should have following professionals/experts at the time of
application& can do efficiently work at computer:
Accounts Staff – Minimum 02 Personnel
Marketing Staff – Minimum 04 Personnel
viii. The FPO/FPC should not engage ex-employee of Nafed in any form in their
procurement operation (Self Declaration).
ix. FPO/FPC should have arrangement of Onion storage minimum 1000 MT either
own/hired. Each Storage Godown/Location should not be less than 500 MT.
x. Initial procurement quantity will be allocated on the basis of the storage
space provided at the time of submission of EOI, however allocation of
quantity depends upon discretion of NAFED.
xi. FPO/FPC should submit the Bank Guarantee (Lien in the name of Nafed) of Rs

the eligibility criteria shall apply for empanelment only for respective State.

xiii. .Authorized person who is applying on behalf of FPO/FPC should give the
Authority Letter (Resolution) along with the application.

5. TERMS & CONDITIONS OF EOI: Participating firms shall indicate acceptance of
terms & conditions as given below:

i.CONFIDENTIALITY
The Support Agency and its employees shall undertake to maintain absolute
confidentiality and shall not divulge in any way any information relating to the
conversations, events, ideas, concepts, know-how, techniques, data, facts, figures and
all information concerning or relating to agency of Govt. of India and its affairs to which
the Support Agency their employees etc have access, in the course of performance of
the contract.

ii.STATUTORY REQUIREMENTS
Support Agency will be responsible for fulfilling all the Statutory Liabilities by them
as well as by their procuring FPCs. The Empanelled Federation will have to enter
into an agreement with NAFED. In case FPCs/FPOs directly procuring, they will be
responsible for fulfilling all the Statutory Liabilities. The Empanelled FPCs will have
to enter into an agreement with NAFED.
iii.SUBMISSION OF EOI
NAFED invites Expression of Interest (EOI) from eligible and interested parties to
take up the assignment. The format of application is placed at Annexure-I(a) &
I(b) (Please fill the applicable annexure). EOI complete in all respect with all
supporting documents along with completely filled Annexure-I(a) & I(b)
(Whichever applicable) with page number in an envelope securely closed
(Sealed), Super scribed with EOI Ref No, Due Date, Time, and name of firm
addressed to following address wherein Support Agency FPOs wants to empanel
themselves.

The EOI document should be deposited on or before 00-00-0000 1530


hours, in the Tender Box at the above Nafed State Office. Only Support Agency
registered in the State where they want to work and fulfilling the eligibility criteria
shall apply for empanelment.

iv. Opening of EOI


The EOI received will be opened on 25-03-2022 at 1130 Hours in the respective
Nafed State Office. Participated agencies, who wish to remain present during the
EOI opening, should nominate on their company’s letterhead the name and
designation of one person authorized to remain present at the time of opening the
EOI.
v. Modification of EOI
At any time prior to deadlines for submission of proposals, NAFED may for any
reason, modify the EOI document. All such amendment shall become part of the
EOI and same will be notified on NAFED’s website. The respondents are required
to have a watch on NAFED’s website for any such amendment.
vi. Cost of Participation
The prospective vendors shall be at all costs associated with the preparation or
delivery of its EOI, participating in discussions etc. including costs and expenses
related with visits to NAFED’s office and the site(s). NAFED will in no case be
responsible or liable for those costs and expenses.

6. Assignment, Subletting and Outsourcing


i. The whole work included in the EOI shall be executed by the party and the party
shall not directly or indirectly transfer, assign sublet, the contract or any part
thereof or interest therein.
ii. Prior to the last date for receipt of Bids, the NAFED, may, for any reason,
whether at its own initiative or in response at any time to a clarification requested
by the Bidders, modify the EOI by issuing an addendum/corrigendum. Any such
amendment issued along with the original EOI document shall constitute
Revised Tender. The addendum/corrigendum shall be uploaded also on the
NAFED website.
iii. The Bidders are, therefore, requested to visit the NAFED website frequently to
check for any amendments.
iv. The parties are expected to adopt the ethics of highest standards and a very
high degree of integrity, safety and quality consciousness, commitment and
sincerity towards the work undertaken and dealing with NAFED in such matters.
Also, while participating in the EOI and performing the work, Support Agencies
are required to meet certain performance criteria and adherence to the terms
and conditions of the EOI/Agreement. NAFED shall have the right to remove
from the list of approved Support Agency or to ban business dealings, if any
agency has been found to have committed misconduct or fraud or poor
performance or anything unethical not expected from a reputed agency. The
guidelines and procedures for Holiday Listing as adopted by NAFED and
available separately in NAFED website shall be applicable in the context of all
tenders floated and consequently, all Orders / Contracts / Purchase Orders
placed, by NAFED.

7. Completeness of the contract
The contract shall be deemed as incomplete if any event is not completed within the
stipulated time period or the event is not successfully completed in the manner as specified by
NAFED or if any act/event/incident takes place which is attributable to Support Agency which
results in delay/incompletion of an event or which results in a financial, reputational or other
loss to the NAFED.
8. Notices
Any notice, request, or consent made pursuant to this Contract shall be in writing and
shall be deemed to have been made when delivered by post/e-mail/hand delivery under
acknowledgment to an authorized representative of the respective Parties. However, where
such communication is by way of e-mail, the same shall be only from the official E-Mail ID(s)
followed by written confirmation duly signed by authorized signatory.
9. Book examination
The Support Agency shall, whenever required, produce or cause to be produced for
examination by NAFED or any officer or person or independent authority authorized by the
NAFED in this behalf, any cost or other accounts books, account vouchers, receipts, letters,
memorandum or document in written or electronic form, or any copy of, or extract from, any
such document, and also furnish information and Returns, verified in such manner as may be
required, relating to the execution of this Contract. The decision of NAFED on the question of
relevancy of any document, information or Return shall be final and binding on the Support
Agency. The Support Agency shall produce the required documents, information and Returns
at such time and place as may be directed by NAFED.
10. Termination:
i. There would be a regular review of the performance of Support Agency in the panel.
In the event of the Support Agency having been adjudged insolvent or going into
liquidation or winding up his business or making arrangements with his creditors or
failing to observe any of the provisions of this contract or any of the terms and
conditions governing the contract, the NAFED shall be at liberty to terminate the
contract forthwith without prejudice to any other rights or remedies under the contract
and law and to get the work done for the unexpired period of the contract under risk
& cost and to claim from the Support Agency any resultant loss sustained or costs
incurred by the NAFED.

ii. NAFED shall also have without prejudice to other rights and remedies, the right, in
the event of breach by the Support Agency of any of the terms and conditions of the
contract to terminate the contract and/ or forfeit the Performance Guarantee or any

part thereof and/or invoke the Bank guarantee for the sum or sums due for any
damages, losses, charges, expenses or costs that may be suffered or incurred by the
NAFED due to the Support Agency negligence or deficiency or unwork-man like
performance of any of the services under the contract. The Support Agency shall not,
however, be entitled to any gain resulting from entrustment of the work to another
party. The decision of the NAFED shall be final and binding on the Support Agency.
iii. NAFED reserves the right to terminate the contract at any time by giving one month’s
notice in writing to the Support Agency if the policy guidelines, on which the contract
is dependent, are modified or other circumstances, in which event no fee, costs,
expenses, damages etc. shall be payable.

iv. If at any time during the currency of contract, it comes to the notice of NAFED that
the Govt/ Regulator has reported any default or violation of any
Rules/Regulations/Guidelines in respect of the services offered by the Support
Agency, Nafed reserves the right to summarily terminate the contract.
v. In case the performance of the Support Agency is not found to be satisfactory during
the currency of the agreement, Nafed can prematurely terminate the agreement after
giving one-month notice.
11. Indemnity:
The Support Agency shall indemnify NAFED and keep indemnified against any loss or
damage, claims, compensation, penalty, fine, levies, etc. on account of slackness, deficiency,
failure to observe any obligations under the contract, failure to comply with statutory/ mandatory
provisions pertaining to the contract by the Support Agency in respect of the services provided
etc., whatsoever.
12. Holiday Listing
The Agencies are expected to adopt the ethics of highest standards and a very high degree
of integrity, safety and quality consciousness, commitment and sincerity towards the work
undertaken and dealing with NAFED in such matters. Also, while participating in the EOI and
performing the contracts, Agencies are required to meet certain performance criteria and
adherence to the terms and conditions of the EOI / contract. NAFED shall have the right to
remove from the list of approved / empanelled Agencies or to ban business dealings, if any
agency has been found to have committed misconduct or fraud or poor performance or
anything unethical not expected from a reputed agency. The guidelines and procedures for
Holiday Listing as adopted by NAFED and available separately in NAFED website shall be
applicable in the context of all EOI floated and consequently, all Orders / Contracts / Purchase
Orders placed, by NAFED.

13. Integrity Pact (IP)
Integrity Pact may be an integral part of their in tender document as and when internally
finalize in NAFED. Bidders are requested check the NAFED website from time to time for any
corrigendum.
14. DISCLAIMER
a. All information contained in this, Expression of Interest (EOI) subsequently
provided/clarified is in good interest and faith. This is not an agreement and is
not an offer or invitation to enter into an agreement of any kind with any party.
NAFED reserves the right not to respond to questions raised or provide
clarification sought, in its sole discretion, if it considers that it would be
inappropriate to do so. Nothing in this section shall be taken or read as
compelling on the part of NAFED requiring to respond to any question or to
provide any clarification.
b. NAFED reserves the right to modify the terms and conditions of the EOI and
subsequent processes, NAFED may in its sole and absolute discretion,
independently verify any information in any submission. Each applicant should
conduct its own investigation and analysis & should check the accuracy,
reliability and completeness of the information in this Expression of Interest.
Applicants should make their own independent investigation in relation to any
additional information that may be required.
c. The participants must submit an undertaking that they will disclose the number
and details of the FPOs allocated to them by other Implementing Agencies other
than NAFED. The application stands rejected if the undertaking is not submitted
by the Agency along with the details of current allocation by other Implementing
Agencies.
ii. This EOI does not create a tender process. This EOI is not an invitation for bids.
15. Force majeure:
i. Force Majeure means any event or combination of events or circumstances beyond
the control of the parties hereto which cannot (a) by the exercise of reasonable
diligence, or (b) despite the adoption of reasonable precaution and/ or alternative
measures, be prevented, or caused to be prevented, and which adversely affects
the abilities of the parties to perform obligations under this Agreement, which shall
include but not be limited to: (a) Acts of God i.e. fire, drought, flood, earthquake,
epidemics, natural disasters; (b) Explosions or accidents, air crashes and
shipwrecks, act of terrorism; (c) Strikes or lock outs, industrial dispute; (e) War and
hostilities of war, riots, band, act of terrorism or civil commotion; (f) The promulgation

of or amendment in any law, rule or regulation or the issue of any injunction, court
order or direction from any Governmental Authority that prevents or restricts a party
from complying with any or all the terms and conditions as agreed in this Agreement;
(h) Any event or circumstances analogous to the foregoing.

ii. It is agreed between the parties that the performance of obligations under this
contract is subject to Force Majeure condition which shall mean any event or
combination of events or circumstances beyond the control of the parties hereto.

iii. Neither party will be liable for performance delays or for nonperformance due to
causes beyond its reasonable control, except for payment obligations.

iv. During the continuance of the Force Majeure, Nafed reserves the right to alter or
vary the terms and conditions of this agreement or if the circumstances so warrant,
the Nafed may also suspend the agreement for such period as is considered
expedient, Support Agency agree and consent that they shall have no right to raise
any claim, compensation of any nature whatsoever for or with regard to such
suspension.

v. The Support Agency agree and understand that if the Force Majeure condition
continues for a long period, then the Nafed in its own judgment and discretion may
terminate this Agreement and in such case Support Agency/FPO agree that the they
shall have no right or claim of any nature whatsoever and Nafed shall be released
and discharged of all its obligations and liabilities under this Agreement

16. Applicable Law Jurisdiction and Dispute Resolution:


a. The EOI document shall be constituted and the legal relation between the parties
hereto shall be determined and governed according to the laws of Republic of India
and only courts at Delhi and the High Court at Delhi shall have the jurisdiction in all
matters arising out of/ touching and/or concerning this agreement and parries to this
agreement agree to irrevocably submit to the exclusive jurisdiction of those courts
for purposes of any such proceeding. The aforementioned exclusive and irrevocable
jurisdictions of aforesaid courts are irrespective of place of occurrence of any cause
of action pertaining to any dispute between the parties.

b. All or any disputes arising out or touching upon or in relation to the terms of this
tender document and process thereof including the interpretation and validity of the
terms thereof and the respective rights arid obligations of the parties shall be settled
amicably by mutual discussion failing which the same shall be settled through

arbitration. The arbitration proceedings shall be governed by the Arbitration and
Conciliation Act of 1996 (as amended up to date) or any statutory amendments/
modifications thereof for the time being in force. The venue of the arbitration shall
be at New Delhi, India and language of arbitration shall be English.

c. Nothing contained in this clause shall prevent the Nafed from seeking interim
injunctive relief against the intending bidders in the courts having jurisdiction over
the parties.

17. Execution of Agreement:


Separate agreements for award of work shall be executed between NAFED and the
empanelled Support Agency on Non-Judicial Stamp Paper of Rs. 500/-, to be provided by the
Support Agency on award of work. The terms and conditions enumerated in the EOI shall form
part of the agreement but not restricted to terms and conditions stated in EOI.
