APPLICATION FOR PURCHASE OF SUKUK OF SAUDI REAL ESTATE REFINANCE COMPANY (THE ISSUER)
ISSUED IN DENOMINATIONS OF SAR 1,000,000 WITH A MINIMUM HOLDING OF SAR 1,000,000
UNDER ITS SAR 20,000,000,000 SUKUK ISSUANCE PROGRAMME (THE PROGRAMME)

1. Instructions for the completion of this Application Form

Application Forms (as defined below) will be accepted during normal banking hours from ___/___/14__H (corresponding to
____/____/20__).

Any Application Form received after 5:00 p.m. on ___/___/14__H (corresponding to ____/____/20__) (which may be extended
as advised by Aljazira Capital, Alinma Investment Company, Al Rajhi Capital, HSBC Saudi Arabia and Riyad Capital , in their
capacity as joint lead managers and bookrunners, the Joint Lead Managers and Bookrunners) (the Final Submission Date)
may be rejected. The Issuer may close the submission period earlier than the Final Submission Date and in such case, such
earlier date shall be considered the Final Submission Date.

Applicants must complete this Application Form in full. Application Forms must be signed, dated and deposited at, or in the
case of Institutional Investors only and/or faxed to and/or emailed to, the addresses of the Joint Lead Managers and
Bookrunners set out below by the Final Submission Date. Any Application Form that is not in compliance with the Base Offering
Circular (as defined below) and/or is not completed in full may be rejected. In the case of any Application Form sent by
facsimile and/or email by any applicant, such applicant must submit or send by express courier an original hard copy of
the signed and completed Application Form as soon as possible and in any event no later than two Business Days after the
Final Submission Date.

and delivery of the Sukuk in any jurisdictions other than the Kingdom of Saudi Arabia is prohibited. Any person who comes into possession of the Base Offering Circular or this application is required by the Issuer and the Joint
Lead Managers and Bookrunners to inform themselves about and to observe any such restrictions.

2. Defined Terms

The following terms and expressions have the following meanings when used in this Application Form:

Applicant means the entity and/or individual specified in section 3 of this Application Form;

Application Form means this application form;

Application Terms and Conditions means the terms and conditions of this Application Form as set out herein;

Authority means the Capital Market Authority of the Kingdom of Saudi Arabia;

Bank Account means the bank account of the Applicant specified in section 3 of this Application Form;

Base Offering Circular means the Base Offering Circular dated 3 March 2021, including without limitation the first supplement
to the Base Offering Circular dated 25 November 2021, the second supplement to the Base Offering Circular dated 20 March
2022, the third supplement to the Base Offering Circular dated 4 September 2022 and the fourth supplement to the Base
Offering Circular dated 10 May 2023, relating to the Programme, including all information and any supplements which form part
of the Base Offering Circular;

Business Day means a day on which commercial banks are open for general business in the Kingdom of Saudi Arabia;

Closing Date means the Final Submission Date, unless notified otherwise by the Joint Lead Managers and Bookrunners;

Committee has the meaning given to it in section 16 of the Application Terms and Conditions;

Edaa means the Securities Depository Center Company and any successor registrar in relation to the Programme;

Final Submission Date means the date specified in section 1 of this Application Form;

Issuer means Saudi Real Estate Refinance Company;

Master Declaration of Agency has the meaning given to it in the Base Offering Circular;

Proceedings has the meaning given to it in section 16 of the Application Terms and Conditions;

Regulations means Rules on the Offer of Securities Regulations and Continuing Obligations issued by the board of the
Authority pursuant to its resolution number 3-123-2017, dated 09/04/1439H (corresponding to 27 December 2017) , as
amended by Authority resolution number 8-5-2023 dated 25/06/1444H (corresponding to 18 January 2023);

Sanctions Authority means (a) the United States government; (b) the United Nations Security Council; (c) the European
Union and/or any member state of the European Economic Area; (d) the United Kingdom; (e) Hong Kong or (f) any other
relevant governmental or regulatory authority, institution or agency which administers economic, financial or trade sanctions; or
(g) the respective governmental institutions and agencies of any of the foregoing including, without limitation, the Office of
Foreign Assets Control of the US Department of the Treasury, the United States Department of State, the United States
Department of Commerce, the United Nations Security Council and His Majesty's Treasury and the Hong Kong Monetary
Authority;

Sanctions Restricted Person means each person or entity (a Person):

(a) that is, or is directly or indirectly owned or controlled by a Person that is, described or designated in (i) the
most current "Specially Designated Nationals and Blocked Persons" list (which as of the date hereof can
be found at: https://www.treasury.gov/ofac/downloads/sdnlist.pdf) or (ii) the Foreign Sanctions Evaders
List (which as of the date hereof can be found at: http://www.treasury.gov/ofac/downloads/fse/fselist.pdf) or
(iii) the most current "Consolidated list of persons, groups and entities subject to EU financial sanctions"
(which as of the date hereof can be found at: https://eeas.europa.eu/headquarters/headquarters-
homepage_en/8442/Consolidated%20list%20of%20sanctions);

(b) that is otherwise the subject or target of any sanctions administered or enforced by any Sanctions
Authority, other than solely by virtue of their inclusion in: (i) the most current "Sectoral Sanctions
Identifications" list (which as of the date hereof can be found at:
https://www.treasury.gov/ofac/downloads/ssi/ssilist.pdf) (the SSI List), (ii) Annexes 3, 4, 5 and 6 of Council
Regulation No. 833/2014, as amended by Council Regulation No. 960/2014 (the EU Annexes), or (iii) any
other list maintained by a Sanctions Authority, with similar effect to the SSI List or the EU Annexes;

(c) that is a government of any country or other territory which is the subject or target of any sanctions
administered or enforced by any Sanctions Authority, which, as of the date hereof, includes, without
limitation, Afghanistan, the Crimea Region of Ukraine, the so-called Donetsk People's Republic, the so-
called Luhansk People's Republic, Myanmar, Cuba, Iran, North Korea, South Sudan, Syria and Venezuela
(each, a Sanctioned Country);

(d) that is an agency or instrumentality of, or an entity directly or indirectly owned or controlled by, a
government of a Sanctioned Country; or

(e) that is a citizen of, resident or located, established or organised in, operating from, or incorporated under
the laws of, or owned or (directly or indirectly) controlled by, or acting on behalf of, a person located in or
organised under the laws of, a Sanctioned Country.

SAR means Saudi Arabian Riyals, the lawful currency of the Kingdom of Saudi Arabia;

Settlement Date means the date falling five (5) Business Days after the Closing Date unless notified otherwise by the Joint
Lead Managers and Bookrunners;

Sukuk means the Sukuk to be issued by the Issuer in accordance with the terms described in the Base Offering Circular
(issued in denominations of SAR 1,000,000);

Sukuk Account means a SAR-denominated bank account with the following details:

Sukuk Documents has the meaning given to it in the Terms and Conditions;

Sukukholders’ Agent means HSBC Saudi Arabia and any successor sukukholders’ agent in relation to the Programme;

Tadawul means the Saudi Arabian Stock Exchange (Tadawul) and any successor registrar in relation to the Programme; and

Terms and Conditions means the terms and conditions of the Sukuk as set out in the Base Offering Circular, as the same
may be amended prior to the Closing Date.

Capitalised terms not otherwise defined in this Application Form shall have the same meaning as is given to them in the Base
Offering Circular.

4. Certain terms of the Sukuk

Certain terms of the Sukuk


The following terms should be read in conjunction with the Terms and Conditions of the Sukuk, as set out in the Base
Offering Circular.
Issue Date: The date on which the Sukuk are issued
Expiry Date: 10 years from the Issue Date

Terms and Conditions of this Application Form

Each Applicant for the purchase of Sukuk applies on the understanding that such Applicant agrees with the Issuer and the Joint
Lead Managers and Bookrunners to the following application terms and conditions (the Application Terms and Conditions):

Offer to purchase Sukuk

1. By completing and delivering an Application Form, you, as the Applicant, and, if you sign this Application Form on behalf
of another Individual or an Entity, that Individual or Entity:

your application is accepted) in denominations of SAR 1,000,000, subject to a minimum subscription amount of
SAR 1,000,000 on the terms, and subject to the Terms and Conditions and these Application Terms and
Conditions;

1.2 agree that your application may not be revoked by you;

1.3 agree that you are not applying on behalf of any other person, other than as disclosed in this Application Form,
including a person engaged in money laundering;

1.4 undertake to do all things necessary to effect the purchase of the Sukuk allocated to you and to execute and/or
complete any document required to effect the sale and purchase of such Sukuk;

1.5 agree, on the request of the Issuer or the Joint Lead Managers and Bookrunners, to disclose promptly in writing
to any of them such information as the Issuer or the Joint Lead Managers and Bookrunners may request in
connection with your application and authorise the Issuer or the Joint Lead Managers and Bookrunners to
disclose any information relating to your application which they may consider appropriate;

1.6 undertake to ensure that, in the case of an application signed by someone else on your behalf, the original of
the relevant power of attorney or authorisation to sign (or a complete copy of such documents, certified by a
notary) is enclosed with your Application Form; and

1.7 authorise the Sukukholders' Agent to send a money transfer at your risk for any monies returnable to your Bank
Account.

Acceptance of your offer

2. The Issuer may accept your offer to purchase (if your application is received, valid (or treated as valid), processed and not
rejected) by way of the Joint Lead Managers and Bookrunners notifying acceptance to you by personal delivery, facsimile
or e-mail. Any notice of acceptance, if personally delivered shall be deemed to have been given when left at the address
set out in this Application Form; if sent by facsimile shall be deemed to have been given when confirmation of its
transmission has been recorded on the sender’s fax machine; or if sent by e-mail shall be deemed to have been given
when confirmation of transmission has been recorded on the sender’s computer.

3. The basis of allocation of the Sukuk will be determined by the Issuer and the Joint Lead Managers and Bookrunners.
Notwithstanding the basis so determined, the Issuer reserves the right to reject in whole or in part and/or scale down any
application. They also reserve the right to treat as valid any application not complying fully with these Application Terms
and Conditions or not in all respects completed or delivered in accordance with the instructions accompanying this
Application Form. In particular, but without limitation, the Issuer and the Joint Lead Managers and Bookrunners may
accept an application made otherwise than by completion of an Application Form where you have agreed with the Issuer
and the Joint Lead Managers and Bookrunners in some other manner to apply in accordance with these Application

The offer of the Sukuk is an offer in the Kingdom of Saudi Arabia only and made under the Regulations following a notification to the Authority. The Sukuk will be offered solely: (a) to natural persons who are resident in the

Terms and Conditions. The Issuer reserves the right (but shall not be obliged) to accept Application Forms received after
the date and time originally specified for applications to be submitted.

4. You authorise the Joint Lead Managers and Bookrunners to debit the Bank Account for the aggregate nominal amount of
the Sukuk applied for up to the amount described above to the extent you do not pay into the Sukuk Account, in clear
funds with same day value the aggregate nominal amount of the Sukuk allocated to you on the Closing Date and warrant
that the remittance in respect of your Application Form will be honoured on first presentation and agree that if such
remittance is not so honoured you will not be entitled to receive the Sukuk applied for or to enjoy or receive any rights or
payments in respect of such Sukuk unless and until you make payment in cleared funds for such Sukuk and such payment
is accepted by the Sukukholders’ Agent (which acceptance, shall be in its absolute discretion and on the basis that you
indemnify the Sukukholders’ Agent against all costs, damages, losses, expenses and liabilities arising out of or in
connection with the failure of your remittance to be honoured on first presentation). In such circumstance, the Issuer may
(without prejudice to any other rights it may have) avoid the agreement to allot the Sukuk and may allot them to some
other person, in which case you will not be entitled to any refund or payment in respect thereof (other than the refund to
you at your risk of any proceeds of the remittance which accompanied your Application Form).

Return of application monies

5. If any application is not accepted in whole, or is accepted in part only, or if any contract created by acceptance does not
become unconditional, the application monies or, as the case may be, the balance of the amount paid on application, will
be returned without charges by transfer to the Bank Account from which the monies were received as set out in the
Application Form.

Representations

6. By completing an Application Form, you:

6.1 represent and warrant to the Issuer, and the Joint Lead Managers and Bookrunners that:

6.1.1 you are entitled to hold and deal in the Sukuk in accordance with the Terms and Conditions;

6.1.2 you have the right, power and authority, and have taken all actions necessary, to execute, deliver and
exercise your rights, and to perform your obligations, as part of the Application Form and to purchase
any Sukuk, and to appoint the Sukukholders’ Agent as your agent in relation to the Sukuk on the
terms set out in the Master Declaration of Agency, the relevant Supplemental Declaration of Agency
and the Terms and Conditions;

6.1.3 your obligations under the Application Form and each document to be executed in connection hereto
are, or when the relevant document is executed will be, enforceable in accordance with their terms;

6.1.4 you agree to maintain a bank account in the Kingdom of Saudi Arabia into which payments under the
Sukuk shall be made;

6.1.5 you are a "institutional and qualified client" in accordance with Article 8(a)(1) of the Regulations;

6.1.6 you are not a Sanctions Restricted Person; and

6.1.7 notwithstanding the above matter, you wish to apply to purchase the Sukuk and you agree that neither
the Joint Lead Managers and Bookrunners, the Issuer nor any other person shall have any liability for
the foregoing and you undertake not to make any claim against the Joint Lead Managers and
Bookrunners or the Issuer in relation thereto and you waive any rights that you have or may have to
bring any action against any person in relation thereto.

6.2 warrant that, if you sign this Application Form on behalf of another Individual or Entity, you have disclosed
so in this Application Form, you have due authority to do so on behalf of that other Individual or Entity and
that such other Individual or Entity will be bound accordingly and will be deemed also to have given the
confirmations, warranties and undertakings contained in these Application Terms and Conditions and
undertake to enclose your power of attorney or other authority or a complete copy thereof duly certified by a
notary public;

6.3 if the laws of any territory or jurisdiction outside the Kingdom of Saudi Arabia are applicable to your
application, warrant that you have complied with all such laws, obtained all governmental and other
consents which may be required, complied with all requisite formalities and paid any issue, transfer or other
taxes due in connection with your application in any territory and that you have not taken any action or
omitted to take any action which will result in the Issuer, the Joint Lead Managers and Bookrunners or any
of their officers, agents or employees acting in breach of the regulatory or legal requirements, directly or
indirectly, of any territory or jurisdiction outside the Kingdom of Saudi Arabia in connection with your
application;

6.4 confirm that in making an application you are not relying on any information or representations in relation to
the Issuer, the Joint Lead Managers and Bookrunners or the Sukuk other than in respect of the Issuer and
the Sukuk, those contained in the Base Offering Circular (on the basis of which alone your application is
made) and accordingly you agree that no person responsible solely or jointly for the Base Offering Circular
or any part thereof or the Joint Lead Managers and Bookrunners shall have any liability for any such other
information or representation;

6.5 confirm that in making an application you are doing so in the full knowledge that the information relating to
the Issuer in the Base Offering Circular is limited to only high-level information and, accordingly, you agree
that no person responsible solely or jointly for the Base Offering Circular or any part thereof nor shall the
Joint Lead Managers and Bookrunners have any liability for any of the foregoing, you undertake not to make
any claim against the Issuer, the Sukukholders’ Agent or the Joint Lead Managers and Bookrunners in
relation thereto and you waive any rights that you have or may have to bring any action against any person
in relation thereto;

6.6 confirm that, notwithstanding the confirmation made in section 6.5 above, you have been provided with
sufficient information on the Programme, the Sukuk and the Issuer to enable you to make an informed
investment decision and that such information is fair, clear and not misleading;

6.7 agree that having had the opportunity to read the Base Offering Circular (including the Terms and
Conditions) in full and the opportunity to inspect drafts of all of the documents listed in the “Documents
Available For Inspection“ section of the Base Offering Circular, you shall be deemed to have had notice of
all information and representations contained therein and as a holder of Sukuk, agree to be bound by all of
the terms, conditions, undertakings and representations set out in the Base Offering Circular (including the
Terms and Conditions contained therein) and the Sukuk Documents;

6.8 acknowledge that no person is authorised in connection with the offer of Sukuk to give any information or
make any representation other than as contained in the Base Offering Circular and, if given or made, any
information or representation must not be relied upon as having been authorised by the Issuer or the Joint
Lead Managers and Bookrunners;

6.9 agree to the appointment of the Sukukholders' Agent as your agent in relation to the Sukuk on the terms and
conditions set out in the Master Declaration of Agency, the relevant Supplemental Declaration of Agency
and the Terms and Conditions;

6.10 ratify and agree with the entry by the Sukukholders' Agent into the Sukuk Documents to which it is a party
on your behalf;

6.11 agree that all documents sent by post to you, by or on behalf of the Joint Lead Managers and Bookrunners,
will be sent at your risk and in the case of documents to be sent to your address (or, in the case of joint
applicants, the address of the first named applicant) as set out in section 3. of this Application Form;

6.12 acknowledge that, in connection with the offering of the Sukuk, the Joint Lead Managers and Bookrunners
are acting for the Issuer and for no one else and agree that the Joint Lead Managers and Bookrunners will
not be responsible for providing the protections afforded to their clients;

6.13 acknowledge that you understand that the Base Offering Circular includes the latest published financial
information of the Issuer, being the financial statements as at and for the year ended 31 March 2023 and
that, other than enquiries of the management of the Issuer, no other due diligence has been conducted by
the Joint Lead Managers in respect of the financial performance of the Issuer since 31 March 2023.
Notwithstanding the foregoing, you wish to apply to purchase the Sukuk and you agree that the Joint Lead
Managers shall not have any liability for any loss suffered by you in respect of the foregoing and you
undertake not to make any claim against the Joint Lead Managers in relation thereto and you waive any
rights that you have or may have to bring any action against the Joint Lead Managers in relation thereto;
and

6.14 confirm that

6.13.1 you have read and fully understood the risk factors set out in the Base Offering Circular and are
aware that an investment in the Sukuk involves certain risks and uncertainties, including the
possible loss of your entire investment and other risks described in the Base Offering Circular;

6.13.2 you understand and acknowledge that, no representation, warranty or undertaking, express or
implied, is made and no responsibility or liability is accepted by the Joint Lead Managers and
Bookrunners for any acts or omissions of the Issuer or any other person in connection with the
Base Offering Circular or the issue and offering of the Sukuk;

6.13.3 you have sufficient knowledge and experience to make a meaningful evaluation of the Sukuk, the
merits and risks of investing in the Sukuk and the information contained in the Base Offering
Circular or any applicable supplement;

6.13.4 you have access to, and knowledge of, appropriate analytical tools to evaluate, in the context of
your particular financial situation, an investment in the Sukuk and the impact the Sukuk will have
on your overall investment portfolio;

6.13.5 you have sufficient financial resources and liquidity to bear all of the risks of an investment in the
Sukuk;

6.13.6 you understand thoroughly (either alone or with the help of an independent legal adviser), and
agree to, the terms of the Sukuk, including the terms set out under ‘Certain Terms of the Sukuk’
in section 4 of this Application Form, and are familiar with the behaviour of any relevant indices
and financial markets;

6.13.7 you are able to evaluate (either alone or with the help of a financial adviser) possible scenarios
for economic and other factors that may affect your investment and your ability to bear the
applicable risks; and

6.13.8 the Sukuk will be subject to the restrictions on secondary market activity pursuant to Article 14 of
the Regulations.

Base Offering Circular

7. If you receive a copy of the Base Offering Circular or this Application Form in any territory other than the Kingdom of Saudi
Arabia you may not treat it as constituting an invitation or offer to you. It is your responsibility to satisfy yourself as to full
observance of the laws of any relevant territory or jurisdiction in connection with your application, including obtaining any
requisite governmental or other consents, observing any other formalities requiring to be observed in such territory and
paying any issue, transfer or other taxes required to be paid in such territory.

8. Prospective investors are not to construe the contents of this Application Form or the Base Offering Circular as
constituting tax, zakat, investment, legal, regulatory or Shari’ah advice. Prior to purchasing any Sukuk, a prospective
investor should consult with his, her or its own legal, financial, business, tax, zakat and Shari’ah advisers to determine the
appropriateness and consequences of an investment in the Sukuk for such investor and arrive at an independent
evaluation and appraisal of such investment. Prospective investors should consult their own Shari’ah advisers as to
whether the proposed transaction described in such approvals is in compliance with their individual standards of
compliance with Shari’ah principles. None of the Issuer, the Joint Lead Managers and Bookrunners or the Sukukholders’
Agent makes any representation as to the Shari’ah compliance of the Sukuk and/or any trading thereof.

9. You undertake:

8.1 not to distribute the Base Offering Circular (or any part of it) or copies thereof to any other person; and

8.2 to treat as confidential the information contained in the Base Offering Circular and the Application Form and not to
disclose to any other person such information.

10. You acknowledge that the Base Offering Circular may not be distributed outside the Kingdom of Saudi Arabia and that
neither the Issuer nor the Joint Lead Managers and Bookrunners shall incur any legal responsibility or liability for any
violations by the Applicant of any restrictions in relation to the distribution of the Base Offering Circular in any jurisdiction.

Miscellaneous

11. The Issuer reserves the right to delay the Final Submission Date, the Closing Date and/or amend any other dates and
times referred to in this Application Form at their entire discretion, having regard to any requirements of the Authority. In
this event the revised Final Submission Date, Closing Date or other date or time, as the case may be, will be advised by
the Joint Lead Managers and Bookrunners.

12. The Issuer may terminate the offer of the Sukuk in its absolute discretion at any time prior to the Closing Date. If such right
is exercised, the offer of the Sukuk will lapse and any monies will be returned to you without any profit and/or penalty.

13. You authorise Edaa as registrar, or any person authorised by Edaa as registrar, to do all things necessary to effect
registration of any Sukuk allocated to you in your name(s) and authorise any representatives of the Issuer or the Joint
Lead Managers and Bookrunners to execute and/or complete any document required therefor. You agree that you will
only be treated as a holder for the purposes of the Terms and Conditions upon completion of the registration in your
name(s) of the Sukuk allocated to you in accordance with the applicable rules and procedures of Edaa.

14. In the event any provision of these Application Terms and Conditions is found to be inconsistent with or void under the
applicable law, the validity of the remaining provisions will not be affected. In such case, the parties agree to renegotiate
in good faith the ineffective provision and to replace it as closely as possible with a provision affording the same rights,
duties and obligations.

Governing Law and Jurisdiction

15. This Application Form is governed by the laws of the Kingdom of Saudi Arabia.

16. Each party shall use its best efforts to settle amicably any dispute arising out of, or in connection with, the Application
Form.

17. Any dispute that cannot be settled amicably within fourteen (14) days after receipt by one party of the other party’s request
for such amicable settlement may be submitted by either party to the Capital Market Authority Committee for the
Resolution of Securities Disputes (the Committee). The Committee shall have exclusive jurisdiction to hear and decide
any suit, action or proceedings, and to settle any disputes, which may arise out of or in connection with this Application
Form (respectively, Proceedings and Disputes) and, for these purposes, each applicant irrevocably submits to the
jurisdiction of the Committee.

18. All parties irrevocably waive any objection which they may at any time have to the Committee being nominated as the
forum to hear and decide any Proceedings and to settle any Disputes and agree not to claim that the Committee is not a
convenient or appropriate forum.
