LEAVE AND LICENCE AGREEMENT

AN AGREEMENT OF LEAVE AND LICENCE made and entered at Mumbai


this 25th day of August, 2023 BETWEEN MR. DHIRAJ RAMESH
GOPALANI, aged 46 years, an adult Indian inhabitant of Mumbai bearing
Aadhar Card No.- 9747 6543 9105, having residence address at FLAT NO.
1201, 12TH FLOOR, MECKONI RESIDENCY, BHANDARKAR ROAD,
MATUNGA EAST, MUMBAI-400019 hereinafter called the “THE
LICENSOR” (which expression shall, wherever the context so requires or
admits, mean and include their legal heirs, executors, administrators and
permitted assigns) of the ONE PART,
AND

MS. DIKSHA SEHGAL, aged 23 years, an adult, Indian inhabitant of

Mumbai, bearing Aadhar Card No- 4283 5111 6894, an adult, Indian

inhabitant of Mumbai, having residence HOUSE NO. X1120 B,

MEGHDOOT POSTAL COLONY, SECTOR 37 A, CHANDIGARH-160036

hereinafter called as “THE LICENSEE” (which expression shall, wherever

the context so requires or admits, mean and include their legal heirs,

executors, administrators and permitted assigns) of the OTHER PART,

WHEREAS the Licensors is absolutely owner and well and sufficiently

seized and possession of Apartment/Flat No. 74, Built-up :625 Square

Feet, situated on the 7th Floor of a Building known as TEXTILA

SOCIETY C 1 (HALL), Road: OFF VEER SAVARKAR MARG, TWIN TOWER

LANE, Location: MAHARASHTRA, PRABHADEVI, MUMBAI- 400025,

(hereinafter referred to as “Said Premises”.)

AND WHEREAS the LICENSEE is in need of an accommodation for

residential purpose and the LICENSEE has approached to the LICENSOR

with request to give the said PREMISES for temporary period.

AND WHEREAS the LICENSOR has accepted the request of the LICENSEE

and permitted the LICENSEE to use and occupy the said PREMISES for

residential purpose for temporary period of 11 months, which is

commencing from 24th August, 2023 and ending on 31st July, 2024 on

Leave and License basis.

AND WHEREAS the parties now wish to put on record the terms and

conditions in writing which appear hereinafter.


NOW THIS INDENTURE WITNESSESS AS UNDER: -

1. The LICENSOR hereby permits the LICENSEE to use and occupy the

said PREMISES i.e., Apartment/Flat No. 74, Built-up: 625 Square

Feet, situated on the 7th Floor of a Building known as TEXTILA

SOCIETY C 1 (HALL), Road: OFF VEER SAVARKAR MARG, TWIN

TOWER LANE, Location: MAHARASHTRA, PRABHADEVI,

MUMBAI- 400025, for residential purpose for temporary period of

11 months, which is commencing from 24th August, 2023 and

ending on 31st July, 2024 on Leave and License basis.

2. The LICENSEE shall, throughout the terms of the license hereby

created, deposit and keep deposited with the Licensors as and by way

of interest free security deposit of Rs. 66,000/- (Rupees Sixty-Six

Thousand Only), for the use of observance and performance by the

Licensee of the terms and conditions of this Agreement. Amount of

security deposit shall be refunded by the Licensors after one month

of the expiry or sooner termination/determination of the Licensee but

after adjusting therein any costs, charges and expenses which the

Licensors may be required to incur by reason of occupation and use

of The Premises by the Licensees and which costs, charges and

expenses should have been met and born by the Licensees in course

of such occupation and use.

3. In consideration of the LICENSOR permitting the Licensee shall pay

to the LICENSOR a sum of Rs. 22,000/- (Rupees Twenty-Two

Thousand Only) per month for the period of 11 months, which is

commencing from 24th August, 2023 and ending on 31st July,

2024, as and by way of monthly compensation and same shall be

payable on or before 10th day of each and every month. It is agreed


by and between the parties that LICENSOR is equally divided a

monthly compensation pay by LICENSEE.

4. That if any parties want to terminate this Agreement before the

expiration of this Agreement, then the terminating party shall give one

Month Notice to the Other Party.

5. That the LICENSEE shall pay the Electricity Charges, Telephone Bill,

Cooking Gas Charges, T.V. Cable Charges, Internet Charges etc., to

the concerned authorities regularly and punctually. The LICENSEE

shall hand over the electricity bills to the LICENSOR after the same

are duly paid by the LICENSEE.

6. The LICENSOR shall pay Rent/Maintenance in respect of the said

premises to the concerned authorities.

7. That the LICENSEE has before signing of this agreement satisfied

itself with the working of sanitary, electrical and water supply

connection and other fittings, fixtures and furniture pertaining to the

said premises. That the LICENSEE has agrees that the LICENSEE

shall maintain them well and shall be responsible for their return in

full working condition at the time of repossession of the said premises

on termination of this agreement.

8. That the LICENSEE shall not have any rights, title and interest over

the said PREMISES and the LICENSEE shall use the same for

residential purpose only and shall not use the said PREMISES for any

illegal, anti-social and anti-national business/activity’s purpose.


9. That the LICENSEE shall not obtain any Ration Card, License or

documents at the said PREMISES in the name of self or in the name

of any other person/s.

10. That the LICENSOR shall have rights to enter into said PREMISES for

inspection purpose at any reasonable times.

11. That the LICENSEE shall keep the said premises in good conditions

and shall not damage any fittings, furniture and fixture of the said

premises and if do so then the LICENSEE shall compensate for the

same.

12. The LICENSEE shall not bring upon or store on the said PREMISES

any illegal, hazardous inflammable, dangerous or combustible

articles.

13. The LICENSEE shall not do or caused to be done or permit to be done,

any illegal or immoral activity within the said licensed premises and

LICENSEE shall indemnify the LICENSOR for such loss whatsoever

which may occur to LICENSOR due to any illegal act of LICENSEE.

14. In case any third party is found occupying of the said PREMISES he

will be treated as an encroacher/trespasser and will be evicted

immediately.

15. The LICENSEE shall not be nuisance or annoyance to the neighboring

occupants of the premises and that the LICENSEE shall use the same

with great care and precaution.


16. It is agreed by and between the parties that if any party wants to

terminate this agreement, then they give one month’s advance notice

to the other party and after completion of the said notice period the

LICENSEE should immediately vacate the said premises and will

hand over the peaceful possession of the said premises to the

LICENSOR.

17. That the LICENSEE shall not Sell, Mortgage or Sub-Let on Leave and

License basis or part with the possession of the said PREMISES to

any third person or persons.

18. The LICENSEE shall not make any structural alteration into or upon

the said licensed premises or make any alterations or additions to the

external appearances or any part of the licensed premises without

previous consent of the LICENSOR in writing.

19. The LICENSEE shall use and occupy said premises according to the

rules and regulations laid down by the authorities of Mumbai

Municipal Corporation/Society/Police Authority/ Government and

other Local authorities and shall keep the LICENSOR indemnified and

harmless thereof.

20. The LICENSOR only shall have and shall be deemed to have the

Ownership, full control, legal possession and occupation of the said

premises and the LICENSEE shall use and occupy the said premises

as LICENSEE only and the LICENSEE shall not claim any interest of

any nature whatsoever in the said premises and that nothing in this

agreement shall be construed as either creating any right, interest,

tenancy, sub-tenancy, lease, sub-lease, etc., in favour of the

LICENSEE in or over or upon the said premises or transferring any


interest therein in favour of the LICENSEE other than the permissive

right of use hereby granted.

21. This agreement shall be governed under all applicable statutory

laws/rules/notification as in force or amended time to time by the

State/Central Govt. of other concerned authorities of this agreement

and more particularly under the Indian Contract Act, 1872 and The

Maharashtra Rent Control Act, 1999.

22. On expiry or earlier termination of this agreement the LICENSEE shall

vacate the said PREMISES along with all belonging and handover the

peaceful possession of the said PREMISES to the LICENSOR.

23. That the LICENSOR retains the original Agreement and a Photo Copy

of which shall be given to the LICENSEE.

24. Any dispute or question which may arise during the term of this

agreement or thereafter in connection with any matter between the

LICENSOR and the LICENSEE in connection of this premises shall be

referred to Arbitrator mutually agreed to by the parties, and all such

Arbitration shall be held at Mumbai and shall be governed by the

provision of the Arbitration Act for the time being in force in India and

its award shall be binding on the parties to this dispute.

RECEIVED of and from within named, “LICENSEE”, MRS. DIKSHA

SEHGAL a sum of Rs. 22,000/- (Rupees Twenty-Two Thousand Only) as

by way of part payment towards Security Deposit balance amount of

44,000/- as security deposit will be paid in the month of September

and payment of Rs. 5,500/- as an by way of Rent for the period for the

period which is commencing from 24th August, 2023 to 31st August,

2023 as mentioned hereinabove in Agreement for use and occupying the

said premises.
