    AGREEMENT

    THIS Agreement is Made on 5th April, 2005 Between the Following


    Persons :-

    1. S/O hereinafter called the party of the first


    part;

    2. S/o hereinafter called the party of


    the second part;

    It is hereby Agreed between all the aforesaid parties that Tender for
    Collection and for the financial year 2005-06
    will be applied in the individual name of
    and on of Tender the Said business will be
    carried on jointly with all the above members in AOP under the name
    and style of

    All The Above Members has Decided to Works Jointly As Association


    of Person under the Name and Style of

    AND WHEREAS the Party of the First Part to twenty first part has
    decided to Carry on the Business of under this
    agreement as Association of Persons under the name and Style of M/s.
    and are desirous to reduce the term and
    Conditions into Writing.

    Now this Agreement of Association of Person Made at 5 th April, 2005


    Withnesseth as Under :-

    1. THAT THE business of this AOP shall be Carried on Under the


    Name and Style of M/s. The Members
    Shall be at liberty to Carry on such Business at Such other name or
    names and at such others place or place as may mutually be agreed
    between them.

    2. THAT THE AREA of Operation of the Business will be Neemuch


    District of State Excise Department, having branch & Godown at
    different places as notified/permitted by the District Excise Officer.
    3. BUSSINES OF this AOP Shall be that of collection and sales of
    and such other Business or Business as the
    AOP may mutually decide from time to time.

    4. THAT THE Business of this AOP shall be deemed to have


    Commedced from the 5th April 2005.

    5. ACCOUNTING YEAR : That the accounts of the AOP shall be


    maintained on financial Year basis. Accounting year may however be
    changed if mutually agreed to between the members.

    6. That the funds required for the business of this AOP shall be arranged
    by the members on mutual consent.

    7. ALLOCATION OF PROFITS : Net Profits / Losses of the business


    as per accounts maintained by it after adjusting all the expenses
    pertaining to the business of this AOP shall be divided and distributed
    among the members in the following ratio :-

    8. DURATION OF this AOP is at will or till 31st March 2006.

    9. BANK ACCOUNT. : that Bank A/c of this AOP will be opened in


    the name of the of the party or in the name of any member in any
    Nationalised bank or Any other Bank and Will be Operated by any of
    the Members as per mutual consent.

    10. That all the members hereby authorize and give power by this
    agreement to shri a members of this AOP to apply for
    bank guarrantee or any other facility to any banks and to sing and
    submit the legal documents, to Submit /deposits original title deeds of
    ths property for equitable mortgage and to create equitable mortgage on
    the property of the members and others guarrantor on behalf of the
    AOP and all the members . We Further agreed that all the deeds and acts
    of shri with the bank will be the acts and
    deeds of All the members of this AOP and guarrantor of this AOP and
    will be binding on us.
    11. ARBITRATION : that disputes / difference if any arising between
    the AOP relating to the business of this AOP shall be referred to
    arbitration in accordance with the provision of the Arbitration Act in
    Vogue.

    12. THAT the Terms and Conditions of this agreement of AOP may be
    altered, modified ,varied at and singed by all the members.

    In witness whereof the members Aforesaid have set their hand on the
    day, month and year herein above written.
