CONTRACT OF EMPLOYMENT

This Employment Agreement (the “Agreement”) is made on 29th day of May, 2012 by and between:

POLYMAGE CONSULTING LIMITED, a company incorporated in the Republic of Cyprus, with registered number:
HE 305719 which is situated at: 67 Agias Fylaxeos Street, Drakos House, Office 5, P.C. 3035, Limassol, Cyprus (the
“Employer”), and
TTTTTTTT (Mr.) of the Russian Federation with passport number: **** No. ******, residing in Cyprus at the
address: ****** 4607 Limassol, Cyprus ( the “Employee”).

IT IS AGREED as follows:

The Employer shall employ the Employee in accordance with the following terms and conditions:

1. POSITION: MANAGING DIRECTOR / SENIOR LEGAL ADVISOR


The effective starting date of employment shall be the 1st June
2. DATE OF EMPLOYMENT:

3. EMPLOYMENT TYPE: FULL TIME

4. WORK LOCATION: Employer’s registered address

5. DURATION: The Employment period shall be for two years.

6. REPORTING TO: General Meeting of the Company Members

7 DUTIES AND RESPONSIBILITIES:

7.1 The Employee agrees to offer his/her services based on the duties, directions and instructions that will
be given by the Employer.

7.2 The Employee shall be dealing with the Employer’s activities and operations in Cyprus and abroad
and shall devote his whole time and attention during working hours to the business of the Employer
and the performance of his duties and shall not enter the employment of any other person or firm or
Company or become interested directly or indirectly in any business which may be competitive to the
interests of the Employer.

7.3 In addition the Employee agrees to:

7.3.1 Serve the Employer faithfully and diligently to the best of his/her ability;

7.3.2 Diligently perform and strictly observe any and all rules, regulations, policies and procedures,
outlined in the Employer’s Employee Handbook, or any additional policies which may have
thereafter be stipulated, governing the conduct of its Employees and business;

7.3.3 Obey all reasonable and lawful orders and instructions which may be given to him/her by any
person employed by the Employer who is in a supervisory/managerial position, as well as
undertake additional duties as the Employer may from time to time assign or confer upon
him/her;

7.3.4 Do all in his/her business time and services to protect, promote, develop and extend the
business interests and reputation of the Employer;

7.3.5 Display and promote conduct and engage self and others in a manner that respects and ensures
human rights; equality; non-discrimination; personal data protection and health and safety;

7.3.6 Behave in a manner that promotes a culture of respect, trust and collaboration between the co-
workers and clients of the Employer;

7.3.7 Keep the Employer promptly and fully informed of all conduct in connection with the business
affairs of the Employer for which the Employee is required to perform duties and provide all
such information, explanations and assistance as the Employer may require;

7.3.8 Not to disclose or communicate or use for his/her own benefit or the benefit of any third
person or company confidential information concerning the business dealings, affairs or
conduct of the Employer, its staff, business partners or any similar matters which may come to
the Employee’s knowledge in the course of her employment including but not limited to:

7.3.8.1 any information in respect of which the Employer is bound by an obligation of


confidence to any third party;

7.3.8.2 any business plans; client lists and contacts, pricing and discount rates; sales figures;
financial information; organizational structures; the movements and whereabouts and
all personal or private matters concerning senior employees, officers and directors;

7.3.8.3 use his/her best endeavors to prevent any unauthorized publication or misuse of any
confidential information.

7.3.9 To enter into a Confidentiality Agreement in order to protect the Employer, its goodwill,
proprietary interests and trade secrets. The Employee acknowledges that the Confidentiality
Agreement by its mere reference herein, be specifically included as part of this Agreement.

8 REMUNERATION

8.1 Base salary

8.1.1 The Employees Gross Base Monthly Salary shall be Euro 7000,00 (Seven Thousand), which shall be
payable on the last working day of every month of the Employee’s employment.

8.1.2 The Employer shall deduct a proportionate amount of the Employees remuneration for every day and/or
part thereof that the Employee is absent from his/her employment, save for in the case of absence by
reason of incapacity through illness or injury.

8.1.3 The Employer, on a yearly basis, depended on the Employee’s overall performance, shall review the
Employee’s Monthly Salary.

8.2 Thirteenth Salary

The Employer, in its discretion, and depended on the Employee’s overall performance, shall pay the
Employee a thirteenth gross salary in the same amount as the base monthly gross salary on the last
working day of the year.

8.3 Incentive/Bonus

Any incentive/ bonus is entirely at the discretion of the Employer and is depended on the Employee’s
overall performance.

8.4 Deductions for Social Insurance and Income Tax

8.4.1 The Employer shall withhold all applicable tax and other obligatory payments, which are payable by the
Employee pursuant to applicable Cyprus legislation from the Employee’s Base Salary;

8.4.2 The Employer shall make contributions for Social Insurance and any other contributions in accordance
with applicable Cyprus legislation.

9 MEDICAL INSURANCE

The Employer shall provide the Employee with Medical insurance pursuant to the Company policy. The
premiums for such policies shall be paid by the Company.

10 WORKING DAYS AND HOURS

10.1 The Employee shall work from Monday-Friday from 08:00 to 17:00 pm with one hour break for lunch
between 13:00-14:00, total 40 working hours per week;

10.2 The Employee shall, unless prevented by illness, injury and/or other incapacity or as otherwise agreed by
the Employer, devote the whole of his/her time, attention and abilities during his/her working hours to
the business and affairs of the Employer;

10.3 The Employee shall inform the Employer and obtain approval for any absence from work during working
hours;

10.4 The Employer shall be entitled to request from the Employee from time to time, to work overtime for
urgent matters, provided such overtime shall be in compliance with applicable Cyprus legislation.

11 ANNUAL LEAVE

11.1 The Employee will be entitled, for each consecutive 12 (twelve) months period of employment, to 23
(twenty-two) business days leave;

11.2 Annual Leave will be provided after mutual agreement between the Employer and the Employee bearing
in mind that the Employee may not accumulate annual leave beyond two years;

11.3 In the case of termination or resignation of employment, the remainder of any annual leave will be paid
on a pro-rata basis;

11.4 The Employee shall not be entitled to take any leave for the first three months of his Employment,
unless the Employer consents to same in writing.

12 SICK LEAVE

12.1 The Employee is annually entitled to 12 days sick leave with pay, per year . If the Employee is
unable to attend to his/her employment in consequence of illness or other unexpected cause, he must
inform the Employer of the cause of his absence on the same day. In the event of the Employee's
absence through illness extending to more than one working day then the Employee shall furnish the
Company with a medical certificate from an approved physician;

12.2 In the event that the period of absence due to illness, injury and or incapacity is continues for more than
3 (three) days, the Employee shall apply to the Social Insurance for sickness benefits. The Employee
undertakes to sign all the documentation in respect thereof in cooperation with the Employer’s payroll
administrator;

12.3 The Employee unconditionally agrees that the total amount of pay that he/she may be receive during
the period of illness, injury and/or incapacity, either in the form of salary payable by the Employer
and/or as payments and/or benefits by the Social Insurance, shall not exceed the Employee’s gross
monthly salary and benefits applicable at the time of sick leave;

12.4 The Employee agrees to cede to the Employer, within 24 hours of receipt thereof, any sum of monies
that was received as sick pay from Social Insurance, for the period that he/she was receiving full pay by
the Employer.

13 PUBLIC HOLIDAYS

The Employee shall be entitled to all official public holidays designated as such by the Government of
the Republic of Cyprus, namely:

1 January, 6 January, Green Monday, 25 March, 1 April, Greek Orthodox Good Friday, Greek Orthodox
Easter Monday, 1 May, Pentecost (Kataklysmos), 15 August, 1 October, 28 October, 25, December, 26
December.

14 TERMINATION OF EMPLOYMENT

14.1 The provisions of the Termination of Employment Law apply, as they are modified from time to time.

14.2 For purposes of this Agreement the employment of the Employee may be terminated by either party
by giving notice in writing to the other party, notice period as stipulated by the applicable Cyprus law.

14.3 For purposes of this Agreement, any and all rights granted to the Employer to terminate this Agreement
shall not be in limitation of any of its rights or remedies it may have in law to terminate the Employees
employment.

14.4 Notwithstanding any other provision of the Agreement, the Employer may at any time in writing
terminate the Employee’s employment with immediate effect and without notice or payment in lieu of
notice if at any time the Employee shall:

14.4.1 be guilty of gross misconduct or gross negligence of his/her duties;

14.4.2 commit a serious breach of the Agreement;

14.4.3 commit any repeated or continued material breach of his/her obligations under the
Agreement;

14.4.4 persistently fails or neglects to carry out his/her duties under the Agreement having been
given prior written notice by the Employer and a reasonable opportunity to rectify such failure
or neglect;

14.4.5 commit any act of dishonesty or be guilty of conduct tending to bring the Employer into
disrepute or otherwise to affect prejudicially the interests, reputation and overall goodwill of
the Employer;

14.4.6 be convicted of any criminal act; or is guilty of a serious violation of the Laws of Cyprus
Republic.

14.5 In the event of the termination of the Employee’s employment due to any reason referred to in clause
14.4 above, the Employee shall not be entitled to a thirteen salary and/or any other bonus incentive
and/or severance pay.

14.6 In the event of the termination of the Employee’s employment for any reason whatsoever, the
Employee agrees to promptly return to the Employer all equipment, property, notebooks, documents,
memoranda, reports, files, books, correspondence or any other written or graphic records, and the like,
relating to the Employer’s business (“Company Property”), which are or
have been in the Employee’s possession and/or control. The Employee unconditionally acknowledges
that all Company Property are the sole and absolute property of the Employer.

15 RESTRAINT OF TRADE

15.1 The Employee undertakes that for the duration of this Agreement and after the termination thereof, the
Employee shall not at any time directly or indirectly, call on, solicit, interfere with or attempt to entice
away, either directly or indirectly, any Employee, client or affiliate of the Employer, either for the
Employee’s own benefit or purposes or for the benefit or purposes of any third party, partnership,
corporation, firm;

15.2 The Employee acknowledges that such restraints are reasonable and necessary for the protection of the
interests of the Employer.

16 SEVERABLE PROVISIONS

The provisions of this Agreement are severable, and if any one or more provisions may be determined to
be judicially unenforceable, in whole or in part, the remaining provisions, of this Agreement shall remain
in full force and effect.

17 NOTICES

17.1 Any notice to be given to the Employer under the terms of this Agreement shall be in writing and
addressed to its principal place of business.

17.2 Any notice to be given to the Employee shall be in writing and addressed to the home address last
shown on the records of the Employer or at such address as either party may thereafter designate in
writing to each other.

18 GENERAL

18.1 In the event of any conflict between the specific terms of this Agreement and the terms of any such
policies, the terms of this Agreement shall govern.

18.2 No amendment, modification shall be binding unless executed in writing by both the Employer and
Employee.

18.3 No relaxation or indulgence which either party may allow to the other shall in any way prejudice or be
deemed to be a waiver of its rights hereunder.

18.4 This Agreement shall be governed by the Legislation of the Republic of Cyprus.

19 AGREEMENT AND ACCEPTANCE

19.1 By signature hereunder, the Employee agrees to abide by the terms and conditions of employment set
out in this Agreement, but also by all company policies, procedures, directives and practice;

19.2 The company’s code of conduct is contained in the Employee Handbook, a copy of which will be handed
to the Employee.
