Subject: Architectural Agreement

Dear [Client's Name],

This letter serves as an agreement between [Your Name], here in after referred to as the
"Architect," and [Client's Name], hereinafter referred to as the "Client," for architectural
services related to the [Project Name].

1. Scope of Work: The Architect agrees to provide architectural services as outlined in the
proposal submitted to the Client dated [Proposal Date]. The scope of work includes but
is not limited to:
 Preliminary design and concept development
 Schematic design
 Design development
 Construction documents
 Assistance with contractor selection
 Construction administration
 Post-construction evaluation
2. Compensation: The Client agrees to pay the Architect for the services rendered as
follows:
 Hourly Rate: $[Hourly Rate]
 Lump Sum Fee: $[Lump Sum Fee]
 Reimbursable Expenses: The Client shall reimburse the Architect for all reasonable and
necessary expenses incurred in connection with the project, including but not limited to
printing costs, travel expenses, and permit fees.

3. Project Schedule: The Architect shall provide a project schedule to the Client, indicating
key milestones and deadlines. The Client agrees to provide all necessary information,
documents, and approvals in a timely manner to ensure the project remains on
schedule. The Architect will make reasonable efforts to meet the agreed-upon schedule
but cannot be held responsible for delays caused by factors beyond their control.
4. Ownership of Documents: The Architect retains ownership of all documents and designs
created during the course of the project, including but not limited to drawings,
specifications, and reports. The Client is granted a non-exclusive license to use the
documents for the intended purpose of the project. Any use of the documents beyond
the project's scope requires prior written consent from the Architect.
5. Confidentiality: Both parties agree to maintain the confidentiality of all proprietary or
sensitive information shared during the project. The Architect shall not disclose any
confidential information to third parties without the Client's written consent, unless
required by law.
6. Termination: Either party may terminate this agreement with written notice in the event
of a material breach by the other party. In the event of termination, the Client agrees to
compensate the Architect for the services performed up to the date of termination.
7. Dispute Resolution: Any disputes arising from this agreement shall be resolved through
mediation or arbitration, as agreed upon by both parties. The prevailing party shall be
entitled to recover reasonable attorney's fees and costs associated with the dispute.
8. Governing Law: This agreement shall be governed by and construed in accordance with
the laws of [State], without regard to its conflict of law provisions.
