PURCHASE DEED

THIS DEED OF PURCHASE is made and executed at Kolkata, West Bengal


on this the 06th Day of November, 2022 between:

Shri Mithilesh Sahu s/o Late Darshan Sahu aged about 39 years and
residing at 11, Brabourne Road, Kolkata – 700001, hereinafter called the
Purchaser

AND

Shri Dinkar Nath s/o Shri Aaryanand aged about 47 years and residing at
JMQ3, 3rd Floor, Paradip, Odisha – 754120, hereinafter called the Seller.
(which terms “Purchaser” and “Seller” shall mean and include, unless
repugnant to the context, their heirs, the legal representatives,
administrators, executors and assignees of the respective party)

WHEREAS the Purchaser is a dealer in Steel Inventory and owns a factory


to mould raw steel into sellable goods.

WHEREAS the Seller is a dealer in different forms of metals and alloys and
is engaged in the business of purchasing and selling raw metals.

WHEREAS the Purchaser desires to buy from the Seller 10 tonnes of Steel
Ingots, packed and shipped to the address mentioned hereunder for a sum
of ₹7,80,000 (Rupees Seven Lakhs Eighty Thousand Only) and the Seller
agrees to sell 10 tonnes of Steel Ingots to the Purchaser at the said price.

NOW, THEREFORE, THE PARTIES HEREBY AGREE AS FOLLOWS:

1. THAT the Seller agrees to sell, and the Purchaser agrees to buy, 10
Tonnes of Steel Ingots for a total purchase price of ₹7,80,000 (Rupees
Seven Lakhs Eighty Thousand Only). The Seller shall initiate payment of
the Purchase Price immediately after receipt and satisfactory inspection
of the inventory.

2. THAT the Seller will arrange and pay for shipping the inventory to the
Purchaser.

3. THAT the Seller bears responsibility for the inventory, including


responsibility for the risk of loss or damage to the inventory, until such
time as the inventory arrives to the Purchaser. Additionally, the Seller is
responsible for the purchase of private insurance in connection with
shipment of the inventory, if desired by the Seller.
4. THAT after receipt of the Inventory, the Purchaser will have 90 days in
which to inspect the Inventory to ensure that all the items are included,
and that Inventory is in the same condition as noted in the master
packing list. A significant discrepancy in the inventory and/or condition
of the Inventory, if unresolved by the parties, is grounds for refusal of
the Inventory by the Purchaser and withholding of payment. In the event
that such a discrepancy exists, the Inventory will be returned to the
Seller at the Seller’s expense, unless the Seller cures the discrepancy no
later than 90 days after the Purchaser provides written notice of the
discrepancy, or such later time as may be agreed upon by the parties.
The Purchaser will indicate its acceptance or rejection of the Inventory
in writing.

5. THAT the Seller represents and warrants that the Seller is the true and
lawful owner of the inventory conveyed by this agreement and he has
acquired such inventory by lawful means.

6. THAT no waiver or modification of any of the terms of this agreement


will be valid unless in writing. No waiver by either party of a breach
hereunder will be deemed a waiver by such party of any subsequent
breach or default.

7. THAT if any particular term, covenant, or provision of this agreement is


determined to be invalid or unenforceable, the invalidity or
unenforceability thereof will not affect the remaining provisions of this
agreement, which will nevertheless remain in full force and effect.

8. THAT performance of contract by either party under this agreement is


excused during the period such performance is prevented or delayed by
government restrictions (whether with or without valid jurisdiction), war
or warlike activity, insurrection or civil disorder, or any other causes
similar or dissimilar to the foregoing that are beyond the control of either
party and are not foreseeable at the time the agreement is executed.
9. THAT this agreement constitutes the entire agreement between the
parties with respect to the subject matter hereof, and supersedes all
pre-existing agreements and understandings between them with respect
thereto.

10. THAT this agreement is to be governed for all purposes by, and
construed in accordance with the laws of State of Odisha and State of
West Bengal. In case of conflict between the two laws, the Central law
shall prevail. The jurisdiction shall lie exclusively with the courts at
Kolkata, West Bengal.
