With reference to your application and the subsequent interview you had with us,
we are pleased to offer you an appointment (Company Name) as (Designation)
with effect from (Date) subject to the following terms and conditions.

1. You will be paid compensation of Rs 1,68,000/- per annum.

2. You will be on probation for an initial period of twelve months from the
date of your joining. If found necessary, the probation period may be
extended at the sole discretion of the management. However, if your services
are found satisfactory and you are found suitable to our requirement on
completion of the probation period or extended probation period or even
before the expiry of the probation period, you will be confirmed in
employment, in writing. Unless confirmed in writing, you will be deemed to
be on probation even after expiry of the probation period or the extended
period of probation.

3. You can leave services by resignation by giving Sixty (60) days’ notice in
writing or payment in lieu thereof. You will be paid no salary in case you
leave the services of the company within one month of your joining date.

4. Your services may be terminated at any time during the probation period
with a notice of seven days. After confirmation, your services are liable to be
terminated by giving Thirty (30) days’ notice in writing or payment in lieu
thereof.

5. Your initial posting will be at our Delhi office. Your services are liable to be
transferred to any place of business of the Company whether existing or to
be acquired later on anywhere in India. You are also liable to be transferred
to any other department of Group Company in existence or that may come in
existence hereinafter without affecting any increment in your salary. Upon
such transfer, the rules and regulation of service applicable to such post or at
the place of transfer will become applicable to you.

6. Whenever you are required to undertake travel outside your base location for
Company work, you will be reimbursed travel expenses as per Company
rules.

7. You will deploy yourself effectively and diligently to the best of your ability
and devote your whole time to the work of the Company and will not engage
yourself , directly or indirectly, either honorary or on remuneration, in any
service, trade, business, vacation or occupation (including agent of any
organisation) or any advisory capacity.

8. Increase in your salary will be reviewed periodically as per the policy of the
Company. Increments in the salary range will be on the basis of
demonstrated results and effectiveness of performance during the period of
review. You will keep your compensation package strictly confidential and
shall not disclose the same to any employee(s) of company directly and/or
indirectly.

9. This offer of appointment and your continuance in the service will be


subject to you being found / remaining medically fit, mentally and
physically, by the doctor nominated by the Company.

10.You acknowledge that in and as the result of your association with the
Company, you will be making use of, acquiring, and/or adding to
confidential information, knowledge or data of a special and unique nature
and value not generally available to the public relating to such matters as the
Company’s and/or its Group Company’s and/or its Client’s propriety
information, trade secrets, systems, procedures, manuals, confidential
reports, financial information, pricing lists, marketing plans, and list of
customers, and the confidential and propriety information of customers
relating to such matters as systems, procedures, and financial information
(all of the foregoing being deemed for all purposes confidential and
proprietary and being referred to collectively herein as “Confidential
Information”) You agree that you will not, at any time during or after your
employment, directly or indirectly, use for any purpose other than work for
the Company, or divulge or disclose to any unauthorized person or entity,
any Confidential information that has been obtained by or disclosed to you
as the result of your employment with the Company, except to the extent
such information becomes publicly available or you are required by law to
disclose such information. You further agrees that, upon expiration/
termination of your employment with the Company for any reason, you will
return to the Company any and all materials made or received by you
containing Confidential Information and any and all other property of the
Company and/or its Group Companies and/or its Clients and that you will
not take with you any originals or copies (in any form including electronic)
of the Confidential information.

11. In the event of your resignation or termination of your services with the
Company, you hereby undertake that for a period of two years from the date
of your resignation/termination of your services with the Company, you
undertake not to directly / indirectly solicit an employment/accept any work/
enter into any contract/accept any obligation or otherwise associate yourself
with any of the competitor(s) of the Company.

12.You will automatically retire without any notice on your reaching the age of
58 years.

13.You will be bound by the service rules and office orders made by the
Company from time to time in relation to conduct, discipline, leave, holidays
or any other matters relating to services conditions and the same shall
always be deemed to be part of terms and conditions of your employment.

14. In addition to your normal duties, you may be required to do any job that
may be assigned to you by the management from time to time and the
Management will be the sole judge in this respect.

15.You will be responsible for safe keeping and return in good condition and
order all the office properties, equipments, instruments, tools, books, etc
which may be given to you for your use, custody and charge. The Company
has the right to deduct the money along with all such things from your dues
and take such other action as the Company may deem proper in the event of
your failure to account for the aforesaid properties to the satisfaction of the
Management.
16.In any time during your employment, you are found guilty of any
misconduct of any willful breach or negligence of the terms of this
appointment letter or the rules or dereliction of duty and/or instructions
given to you from time to time, the management may without any notice or
payment in lieu of any notice, terminate your employment with the
Company. Besides the above, you will also be liable for all the losses,
damages, cost to the management because of your willful negligence or
breach.

17.You will be governed by the current Leave Policy of the company.


Unauthorized absence for the continuous period of five days would entail
you to loose your lien on the employment and the same shall automatically
come to an end without any notice or notice pay.

18.In case you are charged with any act of misconduct, you may be suspended
from services pending enquiry. During such suspension, you will not be
entitled to any salary and any allowances.

19.The Company will deem to take the address mentioned above as your postal
address for all communications. All the correspondence and communications
at your above noted address will amount to a due notice to you. In case of
any change of address you are required to furnish to the management the
same within five days of such change.

20.In case of any dispute or differences arising out of your employment and /or
non-employment, the same shall be referred to the sole arbitrator to be
appointed by the Director of the Company and the award of the arbitrator
shall always be binding upon the parties.

21.The letter of appointment has been issued to you on the understanding that
there is nothing in your past records which is objectionable. If any
declaration given by you to the Company proves to be false or you have
willfully suppressed any information, your services may be terminated
without any notice or salary in lieu thereof.
In case the above terms and conditions are acceptable to you, kindly sign the
duplicate copy of this appointment letter and return it to us as a token of your
acceptance of our offer.
