'PURCHASER", which term wherever the context so admits shall mean

S.No.15/4, 61 Cents in S.No.15/6, 10 Cents in S.No.15/7, 17 Cents in
S.No.15/8A, of No.34, Santhavellore Village, morefully described as Item
No. (1) in the Schedule A mentioned hereunder; land measuring 33 Cents
in S.No.15/4 of No.34, Santhavellore Village, morefully described as Item
No. (2) in the Schedule A mentioned hereunder; land measuring 97 Cents
in S.No.15/2, 30 Cents in S.No.15/3, 24 Cents in S.No.15/5, 60 Cents in
S.No.16/5 of No.34, Santhavellore Village, morefully described as Item
No. (3) in the Schedule A mentioned hereunder.

AND WHEREAS the property morefully described as Item No.(l), in the


Schedule Amentioned hereunder, is land measuring 66 Cents in
s.No.15/4, 61 Cents in s.No.15/6, 10 Cents in S.No.15/7, 17 Cents in
S.No.15/8A, AND WHEREAS the land measuring 99 cents in S.No.15/4
was originally owned and possessed by Mrs.Muniammal wife of
Mr.Kuppusamy. And whereas the said Mrs.Muniammal and her son
Mr.Munusamy Naickar executed a Sale Deed dated 12.03.1998, registered
as Document No.962 of 1998 in the files of Sub Registrar Office at
Walajabad to and in favour of Mr. V.Shivakumar conveying the land
measuring 66 cents out of 99 cents in S.No.15/4. Thereafter the said

Mr.V.Shivakumar executed a Sale Deed dated 31.05.2006 registered as


Document No.4496/2006 on the files of Sub Registrar Office of Walajabad
to and in favour of Mr.Ranganathan conveying the land measuring 66
cents in S.No.15/4 of Santhavellore Village.
AND WHEREAS the land measuring 61 cents in S.No.15/6 was owned by
Mr.Varadappa Naickar who executed aSale Deed dated 20.02.1980
registered as Doc. No.272 of 1980 in the files of the Sub-Registrar Office
of Walajabad to and in favour of Mr.Punniyakoti conveying the said land
measuring 61 Cents in S.No.15/6. Whereas the land measuring 10 Cents
in S.No.15/7, owned by Mr.Kasilinga Gramani who executed a Sale Deed
dated 05.12.1996 registered as Doc. No.3429 of 1996 in the files of the
Sub-Registrar Office of Walajabad to and in favour of Mr.Punniyakoti
conveying the said land measuring 10 Cents in S.No.15/7 of Santhavellore
Village. And whereas the land measuring 17 cents in S.No.15/8 originally
owned and possessed by Mrs.Dhanammal and ors who executed a Sale
Deed dated 25.08.1986 registered as Doc. No.2082 of 1986 in the files of
the Sub-Registrar Office of Wallajabad to and in favour of Mr.Punniyakoti
conveying the land measuring 17 cents in S.No.15/8 of Santhavellore
Village.

AND WHEREAS the said Mr.Puniyakoti executed a General Power of


Attorney dated 09.03.1998, registered as Doc.No.113 of 1998 in the files
of the Sub Registrar Office of Sriperumbudur nominating his lawful power
of attorney agent Mr.K.S.Pandurangan with respect to all the properties.
Subsequently, the said Mr.Punniyakoti represented by his lawful power of
attorney agent Mr.K.S.Pandurangan executed a Sale Deed dated
12.03.1998, registered as Document No.961 of 1998 in the files of the
Sub-Registrar Office of Walajabad to and in favour of Mr.V.Shivakumar
conveying the land measuring 61 cents in S.No.15/6, 10 Cents in
S.No.15/7 and 17 cents in S.No.15/8 of Santhavellore Village.

AND WHEREAS the said Mr.Shivakumar executed a Sale Deed dated


31.05.2006 registered as Doc.No.4496 of 2006 in the files of the Sub
Registrar Office of Walajabad to and in favour of Mr.Ranganathan
conveying the land measuring 61 cents in S.No.15/6, 10 Cents in
S.No.15/7 and 17 cents in S.No.15/8.

AND WHEREAS the said Mr.Ranganathan executed a Sale Deed dated


06.12.2006 registered as Doc.No.12023 of 2006 in the files of the Sub
Registrar Officeof Walajabad to and in favour of M/s. Fairmont Hotel
Private Limited represented by its Managing Director Mr.R.Srinivasan
conveying the land measuring 61 cents in S.No.15/6, 10 Cents in
S.No.15/7 and 17 cents in S.No.15/8.

AND WHEREAS the property morefully described as Item No. (2), in the
Schedule A mentioned hereunder, is land measuring 33 Cents in
S.No.15/4, And whereas remaining land measuring 33 cents out of 99
cents was owned by Mrs.Muniammal and her son Mr.Munusamy Naickar
who executed a Sale Deed dated 03.05.2006, registered as Document
No.3613 of 2006 in the files of Sub Registrar Office at Walajabad to and in
favour of Mr. V.Shivakumar conveying the land measuring 33 cents out of
99 cents in S.No.15/4.

AND WHEREAS the said Mr.V.Shivakumar executed a Sale Deed dated


06,12,2006 registered as Doc.No,12023 of 2006 in the files of the Sub -
Registrar Officeof Walajabad to and in favour of M/s. Fairmont Hotel
Private Limited represented by its Managing Director Mr.R.Srinivasan
conveying the land measuring 33 cents in S.No.15/4.

AND WHEREAS the property morefully described as Item No. (3), in the

Schedule A mentioned hereunder, is land measuring 97 Cents in


S.No.15/2, 30 Cents in S.No.15/3, 24 Cents in S.No.15/5, 60 Cents in
S.No.16/5, AND WHEREAS the land measuring 97 cents in S.No.15/2
originally owned and possessed Mr.Arumuga Naickar and others who
executed a Sale Deed dated 12.06.1967 registered as Document No.1366
of 1967 in the files of Sub Registrar Office of Walajabad to and in favour
of Mr.Duraisamy Naickar conveying the land measuring 97 cents in
S. No. 1 5/2 of Santhavellore Village.

AND WHEREAS the said Mr.Duraisamy Naickar after his lifetime his son
Mr.Ranganathan, and grandchildren Mr.Babu, Mr.Janaki Ramam,
Mr.Baskar and Mr.Sundar all are enjoyed the properties. And whereas the
above said legal heirs who executed Sale Deed dated 26.12.2005
registered as Doc.No.6988 of 2005 in the files of the Sub Registrar Office
of Walajabad to and in favour of M/s. Maharishi Institute of Creative
Intelligence conveying the land measuring 97 cents in S.No.15/2 of
Santhavellore Village.

AND WHEREAS the land measuring 30 cents in S.No.15/3 originally owned


and possessed Mr.Veerasamy Pillai and others who executed a Sale Deed
dated 26.06.1970 registered as Document No.1528 of 1970 in the files of
Sub Registrar Office of Walajabad to and in favour of Mr.Perumal Naicker
conveying the land measuring 30 cents in S.No.15/3 of Santhavellore
Village. Thereafter the said Mr.Perumal Naicker executed a Sale Deed
dated 11.08.2004 registered as Document No.2888 of 2OO4 in the files of
Sub Registrar Office of Walajabad to and in favour of M/s. Maharishi

Institute of Creative Intelligence conveying the land measuring 30 cents in


S. No.15/3 of Santhavellore Village.

AND WHEREAS the land measuring 24 cents in S.No.15/5 originally owned


and possessed Mr.Venkatesan son of Mr,Damodaran who executed a Sale

Deed dated 21.03.2005 registered as Document No.1135 of 2005 in the


files of Sub Registrar Office of Walajabad to and in favour of M/s.
Maharishi Institute of Creative Intelligence conveying the land measuring
24 cents in S.No.15/5 of Santhavellore Village.

AND WHEREAS the land measuring 90 cents in S.No.16/5 originally owned


and possessed Mr.Vembuli Naickar who executed a Sale Deed dated
25.09.2003 registered as Document No.1762 of 2003 in the files of Sub
Registrar Office of Walajabad to and in favour of Mr.B.Kadirvel and
Mr.Babu conveying the land measuring 90 cents in S.No.16/5 of
Santhavellore Village. Thereafter the said Mr.B.Kadirvel and Mr.Babu
executed,a Sale Deed dated 11.08.2004, registered as Document No.2886
of 2004 in the files of Sub Registrar Office of Walajabad to and in favour
of M/s. Maharishi Institute of Creative Intelligence conveying the land
measuring 90 cents in S.No.16/5 of Santhavellore Village.

AND WHEREAS the said M/s. Maharishi Institute of Creative Intelligence


executed a Sale Deed dated 30.06.2006 registered as Document No.5700
of 2006 in the files of Sub Registrar Office of Walajabad to and in favour
of Mr.V.Shivakumar conveying the land measuring 97 cents in S.No.15/2,
30 cents in S.No.15/3. 24 cents in S.No.15/5 and 60 cents in S.No.1615 of
Santhavellore Village.

AND WHEREAS the said Mr.V.Shivakumar executed a Sale Deed dated


06.12.2006 registered as Doc.No.12024 ot 2006 in the files of the Sub -
Reglstrar Officeof Walajabad to and in favour of M/s. Fairmont Hotel
Private Limited represented by its Managing Director Mr.R.Srinivasan
conveying the land measuring 97 cents in S.No.15/2, 30 cents in
S.No.15/3,24 cents in S.No.15/5 and 60 cents in S.No.16/5.

AND WHEREAS the Patta No.1383 for the said land measuring 39.50 Ares
in S.No.15/2, 12 Ares in S.No.15/3, 6.50 Ares in S.No.15/8A, issued by
Deputy Tahsildar, Sriperumbudur stands in the name of M/s. Fairmont
Hotel Private Limited. The Extract from Chitta & Adangal for the said lands
measuring 39.50 Ares in S.No.15/2, 12 Ares in S.No.15/3, 6.50 Ares in
S.No.15/8A. issued by Village Administrative Officer, Santhavellore-A
Village stands in the name of M/s. Fairmont Hotel Private Limited.

AND WHEREAS the Patta No.578 for the said land measuring 40.50 Ares
in S.No.15/4, 9.50 Ares in S.No.15/5, 24.50 Ares in S.No.15/6, 4 Ares in
S.No.15/7 and Patta No.1384 for the said land measuring 24.50 Ares in
S.No.16/58, issued by Deputy Tahsildar, Sriperumbudur stands in the
name of M/s. Fairmont Hotel Private Limited. The Extract from Chitta &
Adangal for the said lands measuring 40.50 Ares in S.No.15/4, 9.50 Ares
in S.No.15/5, 24.50 Ares in S.No.15/6,4 Ares in S.No.15/7, 24.50 Ares in
S.No.1615B, issued by Village Administrative Officer, Santhavellore-A
Village stands in the name of M/s. Fairmont Hotel Private Limited.

AND WHEREAS the said M/s. Fairmont Hotel Private Limited is a Private
Limited Company registered with the Registrar of Companies, Tamil Nadu
on 29.03.1990 Vide No. 18-18962 of 1990 under the Companies Act,
1956 (No.1 of 1956). A Company passed a special resolution in terms of
Section 21 of the Companies Act 1956 for change of name by the
company. A Central Government accorded thereto under Section 21 of
the Companies Act 1956 the name of the said company is this changed to
M/s. Radha Regent Hotels Private Limited and fresh Certificate of
Incorporation consequent upon change of name dated 25.03.2010 Vide
CIN : U55 101TN 1990PTC018962.

AND WHEREAS the said land in S.Nos.75/2; l5/3; l5/a; l5l5; L5/6;
l5l7; t5l8A and 16/58 totally measuring an extent of 3 Acres 98 Cents at

Santhavellore-A Village were plotted out into house sites and formed a
Layout.

AND WHEREAS the said M/s. Radha Regent Hotel Private Limited
(formerly known as M/s. Fairmont Hotel Private Limited) represented by
its Authorized Signatory M r.Govindarajalu, executed a Gift Deed dated
O3.O7.2O23 registered as Doc.No.3277 of 2023 in the files of the Sub
Registrar Office of Sung uvarchattram to and in favour of The President,
Santhavellur Village Panchayat donating the land measuring 4639 sq. mt.
for roads and splay arcas, 1245 sq. ft. for Parks, 65.4 Sq. mt. for Local
Body Usage and 64.6 sq. mt. for TANGEDCO totally measuring an extent
of 6014 Sq.mt out of total extent of 3 Acres 98 cents i.e 16,100 Sq. mt.
comprised in S.Nos.15/2; 75/3; l5/a; L5/5; t5/6; t5/7; 15/8A and 16/58
of Santhavellore-A Village, Sriperumbudur Taluk, Kancheepuram District.

AND WHEREAS the said layout of house sites in S.Nos.15/2; l5/3; ls/a;
l5/5; 15/6; l5/7; 15/8A and 16/58 Santhavellore A Village,
of
Sriperumbudur Taluk, Kancheepuram District was duly approved by the
Assistant Director of Town Planning by its letter ROC. No.
LG5l6194l2O23fICP dated 24.07.2023 and vide approval No. DTCP No.
7812023. The Tamil Nadu Real Estate Regulatory Authority (RERA)
approved through File No.TNRERA / 9560 / 2023 Vide TN/01/Layout/
4029 / 2023, dated 3 1. 10.2023.

AND WHEREAS the Vendor herein has offered to sell the property bearing
Plot No, 42, measuring an extent of 600 Sq.ft., situated in the layout
"RADilA GARDEN"I afPrgYed vide DrcP No'7812023, comPrised in

S.No.15/4, as per patta sub divisaon Survey No.15/4A, (Patta


No. 578),situated at Santhavelur-A Villlage, Sriperumbudur Taluk,
Kancheepuram District, morefully described in the Schedule " B "
mentioned hereunder and the Purchaser herein has agreed to purchase

for a Sale consideration of Rs.14,4O,OOO/- (Rupees Fourteen Lakhs


Forty Thousand Only) including Stamp duty Registration fees, free
from all encumbrances.

Whereas the Vendor has been in continuous possession and enjoyment of


the above said property, viz., hereunder and have been exercising all
rights of ownership, without any let or hindrance from any person.

Whereas the Vendor has agreed to sell and the Purchaser has agreed to
purchase the schedule mentioned property for a total consideration of
Rs.14,4O,OOO/- (Rupees Fourteen Lakhs Forty Thousand Only),
free from all encumbrances, charges and liens.

NOW THIS DEED OF AGREEIENT OF SALE WTTNESSETH:

1. The above VENDOR assures the PURCHASER that there is no


encumbrance over the schedule property as on today and that there is
no subsisting agreement of sale in favour of any person or persons in
respect of the property and agreed to be sold in favour of the
PURCHASER herein.
2. The VENDOR hereby agrees to sell the housing Plot No.42, measuring
an extent of 600 Sq.ft., situated in the layout "RADHA GARDEN",
approved vide DTCP No.78/2O23, comprised in S.No.15/4, (Patta
No.578), of Santhavelur-A Villlage, Sriperumbudur Taluk,
Kancheepuram District.

3. The PURCHASER and VENDOR have agree that the total sale
consideration for the schedule "B'mentioned property shall be a sum of
Rs.14,4O,OOO/- (Rupees Fourteen Lakhs Forty Thousand Only),
The VENDOR has received this day an advance by way of cash

Rs.10,000/- (Rupees Ten Thousand Only).

4. The VENDOR, upon receipt of entire Sale Consideration, Plot


Development Cost, on-line registration expenses, stamp duty, document
registration fees and miscellaneous expenses, agrees to register the
SCHEDULE'8" PROPERTY, within 90 days from the date of signing this
agreement in favour of the PURCHASER or her nominees.

5. During the pendency of this Agreement of Sale, any upward revision in


Land Guideline Value/Registration Charges, etc. effected by the
Authorities Concerned, then the same will have to be borne by the
PURCHASER.

6. In case of need, the VENDOR agrees to arrange for an inspection of


the Original Title deeds by the PURCHASER or her Legal
Representatives.

7. The VENDOR agrees to execute the sale deed or sale deeds in favour
of the PURCHASER or her nominee or nominees.

8. The VENDOR agrees to give Vacant possession of the Schedule "8"


property at the time of registration of the sale deed.

9. All disputes arising out of or In respect of this Agreement of Sale shall


be referred to Arbitration in accordance with the provisions of the
Arbitration and Conciliation Act, 1996, Arbitration will be conducted by
a Sole Arbitrator to be appointed mutually by both parties. The
proceedings will be conducted in English language and the venue shall
be in CHENNAI. The Courts in Chennai, Tamil Nadu and Laws of India
will have exclusive jurisdiction on any matter concerning this

Agreement.
