WHEREAS, the MGM International Manufacturing Corporation shall engage the Event

Manager as an independent contractor, and not as an employee, to perform certain
services for the MGM International Manufacturing Corporation in connection with the
convention event about “Business Continuity Management Training”, as more fully set
forth in Attachment A.
AGREEMENTS
(1) EVENT DATE AND DESCRIPTION. On December 10 to 14, 2023, the Client
intends to host the following event: BUSINESS CONTINUITY MANAGEMENT
TRAINING.
(2) PLANNER DUTIES. The Client engages the Planner’s services to perform the
following duties with regards to the event.
(a) The Planner shall obtain the Client’s approval, in writing, before entering into
any binding contracts for the event and/or issuing any non-refundable deposits;
(b) Utilize all event requirements including but not limited to physical and financial
necessities;
(c) Act as the primary point person between all internal and external
communications;

(4) PAYMENT. The parties agree to the following Payment and Payment Terms:
(5) CANCELLATION.
a. By Client. The Client may cancel this Agreement at any time. If the
Client cancels 5 months prior to the Event Date, the client will be entitled
to a full refund. If the Client cancels 3 months prior to the Event Date,
the Client will be entitled to a 50% refund. If the Client cancels 1 month
prior to the Event Date, the Client will not be entitled to get a refund.
b. By Planner. The Planner may cancel this Agreement at any time. If the
Planner cancels, the Planner must provide a suitable, replacement
Planner, subject to the Client’s approval, which shall be obtained in
writing. In the alternative, the Planner shall refund all monetary amount

(6) DISPUTE RESOLUTION AND EmailLEGAL

(7) SEVERABILITY. In the event, any provisions o this Agreement is deemed invalid

effect as valid and enforceable.
(8) LEGAL AND BINDING AGREEMENT. This Agreement is legal and binding
between the Parties.
