ASSIGNMENT OF THE DEVELOPER PROGRAM LICENSE AGREEMENTS CAREFULLY. THESE


TERMS AND CONDITIONS CONSTITUTE A LEGAL AGREEMENT AMONG (1) YOU, ACTING AS AN
INDIVIDUAL, (2) THE COMPANY OR ENTITY YOU ARE AUTHORIZED TO LEGALLY REPRESENT,
AND (3) APPLE INC. IF YOU, ACTING AS AN INDIVIDUAL, OR THE COMPANY OR ENTITY YOU
REPRESENT DO NOT AGREE TO ALL THE TERMS AND CONDITIONS, CLICK THE “CANCEL”
BUTTON.

Consent to Assignment of the Developer Program


License Agreements
You, as an individual iOS, Safari and/or Mac Developer Program member (the “Assignor”), would like to
assign Your rights and delegate Your obligations under the iOS Developer Program (e.g., the iOS
Developer Program License Agreement, including Schedule 1 and, if applicable, Schedule 2), the Safari
Developer Program (e.g., the Safari Extensions Digital Signing Agreement, the Safari Extensions Gallery
Submission Agreement), and/or the Mac Developer Program (e.g., the Mac Developer Program License
Agreement, including Schedule 1 and, if applicable, Schedule 2) (collectively, the “Developer
Agreements,” as applicable), as such agreements may be entered into from time to time between Apple
Inc. (“Apple”) and You, to a new company or legal entity for which you are the team agent authorized to
legally bind such new company or entity (“Assignee”).
Pursuant to the terms below, and in reliance on the representations and warranties below by You in Your
capacity acting as both the Assignor and Assignee, Apple hereby consents to the assignment of the
Agreement from Assignor to Assignee.
Accordingly, notwithstanding any future click-through or any other manifestation of acceptance of the
Agreement, You, acting in your capacity as both the Assignor and Assignee, agree that, the following
provisions shall be inserted and applied to the Developer Agreements as of the date on which both
Assignor and Assignee check the relevant boxes and click on the “agree” or similar button set forth below
(the “Amendment Date”):
1. Assignor and Assignee represent and warrant that:
a. As of the Amendment Date, (i) Assignee shall have acquired all rights to the Application and shall
be able to fully comply with all of Assignor’s obligations under the Developer Agreements, and (ii)
Assignee in all other respects shall be ready and able to comply in full with all of the other obligations
Assignor has or would have under the Developer Agreements.
b. Assignor hereby assigns all of its rights and obligations under the Developer Agreements to
Assignee (subject to Apple’s consent thereto, which shall be granted as described above).
2. Following the Amendment Date, the term “You,” as used throughout the Developer Agreements
and this Amendment, shall mean Assignee.
3. Following the Amendment Date, You shall be responsible for providing to Apple any and all
changed banking and financial, payment, or tax related information. Apple shall not be responsible for
any consequences of Your failure to comply with Your responsibilities under this paragraph.
4. You shall be responsible for providing to Apple any new or different metadata, copyright notices,
or the like within thirty (30) days of the Amendment Date. Apple shall not be responsible for any
consequences of Your failure to comply with such responsibility, and Apple shall not be required to make
any changes to metadata, copyright notices, or the like except based on written notice from You.
5. Assignee agrees to be bound by all terms of the Developer Agreements, as amended herein. For
avoidance of doubt, following the Amendment Date, Assignee shall owe to Apple all of Assignor’s
obligations under the Developer Agreements; Apple shall owe all of its obligations under the Developer
Agreements to Assignee; and Apple no longer shall owe any obligations under the Developer
Agreements to Assignor. Notwithstanding the foregoing, this assignment does not release Assignor from
liabilities it may have to Apple under the Developer Agreements that arose from any actions,
infringements, breaches or failures to act from the Effective Date of the Developer Agreements to this
Amendment Date and Assignor and Assignee shall be jointly and severally liable to Apple for all such
obligations. Further, the provisions which survive termination as set forth in the Developer Agreements
shall remain in full force and effect as between Assignor and Apple.
6. In all other respects, the terms of the Developer Agreements shall remain unchanged.

(INCLUDING SCHEDULE 1, AND IF APPLICABLE, SCHEDULE 2).
