INSURANCE

WHO IS ELIGIBLE?
Eligible employees are those who work 30 or more hours per week. In addition, the following family members
are eligible for medical, dental and vision coverage:
• Your legally married spouse, as defined under the law.
• Your civil union partner.
• Your domestic partner*.
• Your dependent children, until the limiting age of 26.

Your eligible dependents can be enrolled in the Medical, Dental and Vision coverage only if you (as the employee)
are enrolled.

*Taiho defines a domestic partner as: We are both at least age 18. We are not related by blood to a degree of closeness that would prohibit marriage. Neither of us is legally married to another
individual, nor engaged in another domestic partnership or civil union. We currently share a principal residence, and we intend to do so permanently.

AETNA PLAN SUMMARY


We are proud to offer medical and prescription drug coverage with Aetna’s Open Access Managed Choice plan. Aetna is one
of the nation’s leading, diversified health-care benefit companies. Their network contains over 1.2 million health care
professionals and more than 5,700 hospitals.
Some of the unique benefits the plan offers include fertility coverage and autism services. No referrals are necessary,
and you are free to use providers both within Aetna’s network and out-of-network. (Note: out-of-pocket costs may be
higher when selecting an out-of-network provider).
The following Benefit Summary highlights the benefits available under your plan. A complete description
(including exclusions & limitations) is available in your Summary Plan Description on mytaiho.com/People/Benefits.

DENTAL
INSURANCE
In addition to protecting your smile, dental insurance helps pay for dental care and includes regular checkups, cleanings
and x-rays. Several studies suggest that oral diseases, such as periodontitis (gum disease), can affect other areas of your
body—including your heart. Receiving regular dental care can protect you and your family from the high cost of dental
disease and surgery.

Taiho is pleased to offer dental insurance through MetLife’s PDP Plus network. The following chart outlines the dental
benefits we offer:

Preventive Services Preventative services are covered at 100%. This includes oral exams every
6 months, full mouth x-rays, bite wing x-rays, teeth cleanings every 6 months, fluoride
treatments, and sealants.

Deductible No deductible

Basic Services Basic services are covered at 100%. This includes amalgam and resin composite
fillings, root canal, oral surgery, periodontics, inlays, onlays, and crowns.

Major Services Major services are covered at 60%. This includes implant services, dentures,
fixed bridges, as well as implant supported prosthetics.

Annual Maximum & • There is a $2,000 maximum per person per calendar year for non-orthodontic

INSURANCE
Taiho’s vision insurance can help maintain your vision and detect various health problems. Our policy covers routine
eye exams & other procedures, and provides specified dollar amounts or discounts for the purchase of eyeglasses
and contact lenses.

The following table outlines the benefits provided by our VSP vision plan. There are greater benefits when utilizing a VSP
provider. VSP’s Signature network includes: Cohen’s, Pearle Vision Express, Vision Works, Costco, Walmart and Sam’s Club.

DISABILITY
INSURANCE
Taiho provides eligible employees with short-term and long-term disability income benefits through Guardian Life Insurance
Co. Without disability coverage, you and your family may struggle to pay bills if you are injured or ill and unable to work.

At Taiho, we want to do everything we can to protect you and your family. That’s why Taiho pays the premium for short-
term and long-term disability insurance.

In the event you become disabled from a non-work-related injury or illness, disability income benefits will provide a partial
replacement of lost income. With our Guardian tax-choice plan, no taxes are withheld from disability benefits.

LIFE
INSURANCE

BASIC LIFE INSURANCE


Life insurance can help provide for your loved ones if something were to happen to you. Taiho provides eligible employees
group life and accidental death and dismemberment (AD&D) insurance through Guardian Life Insurance in the amount of
two times your annual base salary up to a maximum of $750,000. ($450,000 is guaranteed issue—any amount over this
requires Evidence of Insurability.) Employees currently receiving coverage above $750,000 will remain at that level.
Taiho pays for the full cost of this benefit—meaning you are not responsible for paying any monthly premiums.
Please do not forget to keep your beneficiary designation up to date in Dayforce!

VOLUNTARY LIFE INSURANCE


While Taiho offers basic life insurance, some employees may want to purchase additional coverage. Think about your
personal circumstances. Are you the sole provider for your household? What other expenses do you expect in the future
(for example, college tuition for your child)? Depending on your needs, you may want to consider buying
supplemental coverage.

With voluntary life insurance, you are responsible for paying the full cost
of coverage through semi-monthly payroll deductions. You can purchase
additional Life and AD&D insurance in increments of $10,000 up to a
maximum additional amount of $250,000. Employees can also
purchase this coverage for their spouse, up to 50% of the employee
elected amount to a maximum of $125,000, and children, up to
10% of the employee elected amount to a maximum of $10,000.

The Guarantee Issue amount of this coverage is $100,000 per


employee, $10,000 per spouse and $10,000 for dependent children
(when elected as a new hire). Any amounts in excess of Guarantee Issue
amounts require evidence of insurability. (If elected during annual
open enrollment, guarantee issue is no longer available.)

The cost of this voluntary coverage is based on an age- banded rate


schedule. Please note that the employee cost of this coverage does
increase over time, as the employee transitions from one age-band
to the next.

401(k)
PLAN
All employees (age 18 or older) are eligible to enroll in the Taiho Oncology 401(k) Profit Sharing plan immediately upon hire.
The plan allows employees to save for retirement by contributing from 1% to 75% of eligible compensation on a pre-tax or
post-tax (Roth) basis, up to IRS annual limits ($23,000 for 2024). Participants age 50 and older may also make catch-up
contributions up to $7,500 per year.
• Taiho matches 100% of the first 6% of your contributions each pay period.
• Additional Service-Based Annual Non-Elective Discretionary Employer Contribution
- 5-9 years of service – additional 2% (Total 8%)
- 10+ years of service – additional 4% (Total 10%)
•100% vested after three-year’s service (vest 33% per year of service).
• Automatic enrollment feature with a 6% contribution rate for new hires.
• Automatic annual increase program increases your contribution 1% each year until you reach 10%.

WHAT ARE THE BENEFITS OF AN FSA?


• It saves you money. Allows you to put aside money tax-free that can be used for qualified medical expenses.
• It’s a tax-saver. Since your taxable income is decreased by your contributions, you’ll pay less in taxes.
•It is flexible. You can use your health care FSA funds at any time, even if it’s the beginning of the year.

WHAT IS A HEALTH CARE FSA?


Health care FSAs allow you to pay for expenses not covered by health care, dental and vision plans such as:

WHAT IS A DEPENDENT CARE FSA?


Dependent Care FSAs allow you to contribute pre-tax dollars for qualified dependent care expenses (child or elder care).
The IRS maximum you may contribute each year is $2,500 (married & filing separate tax returns), or $5,000 (single or
married & filing jointly). Dependents include children under age 13 and a spouse or dependent who is physically
or mentally unable to care for themselves.

WHAT IS A COMMUTER REIMBURSEMENT ACCOUNT?


A CRA allows you to set aside pre-tax dollars to reimburse qualified commuter expenses like:
• Parking Expenses - $315/month
• Transit Passes & Commuter Highway Vehicle Expenses - $315/month

HOW DOES AN FSA WORK?


• Plan runs January 1-December 31 each year. You elect an annual amount that is divided over 24 pay periods and
deducted from your paycheck. Changes can only be made during open enrollment in November or if you experience
a qualifying life event.
• Use a PayFlex debit card to pay eligible expenses, submit claims online for reimbursement or payment directly
to providers.
• 2½month grace period - Incur expenses through March 15 & submit all claims for reimbursement by March 30.

(PTO)
Taiho recognizes the importance of time away from work, so we provide employees with a generous PTO allowance.
PTO combines traditional vacation, personal and sick leave plans into one flexible, paid time off policy.
Note: All state and local laws will take precedence where applicable.

The PTO schedule above was effective January 1, 2020. Employees with a greater number of PTO days as of December 31,
2019 retained that number of days.

If your 5 or 10-year anniversary is between January and June, you will receive your additional PTO days effective January
of that year. If your anniversary is between July and December, you will receive your additional days January of the follow-
ing year.

CARRYOVER PTO
Employees may carry over up to 7 days to the following year. These carryover PTO days must be used by June 30th.*
*Except as specified by state laws.

SUBSTITUTE DAYS
Substitute days are available to exempt employees under special circumstances. Please refer to the People First Guide
for more details.

COLON HEALTH DAY


If you are undergoing a colon health screening or supporting a loved one undergoing screening, employees may use a
colon health day. *NEW! This day is now available to be requested in Dayforce.

EDUCATION
& DEVELOPMENT

TUITION REIMBURSEMENT
Our educational assistance program is available to regular full-time employees with reimbursement after six months
service. To be eligible, you must be enrolled in a degreed, accredited program and satisfactorily complete the course for
reimbursement. Taiho will provide up to $5,250 per year for reimbursement of pre-approved tuition and mandatory fees.
After getting support from your manager, enter the program and course details into KNAC under My Trainings. We expect
you will bring your learnings to your current and future roles at Taiho.

PROFESSIONAL EDUCATION
The professional education program provides funding for job- related professional programs to develop career knowledge

WOMEN’S HEALTH AND CANCER RIGHTS ACT OF 1998


If you have had or are going to have a mastectomy, you may be entitled to certain benefits under the Women’s Health and
Cancer Rights Act of 1998 (WHCRA). For individuals receiving mastectomy-related benefits, coverage will be provided in
a manner determined in consultation with the attending physician and the patient, for:
• All stages of reconstruction of the breast on which the mastectomy was performed.
• Surgery and reconstruction of the other breast to produce a symmetrical appearance.
• Prostheses.
• Treatment of physical complications of the mastectomy, including lymphedema.
Benefits will be provided to a person who has already undergone a mastectomy as a result of breast cancer while covered
under a different health plan. Coverage is provided in accordance with your plan design and is subject to plan limitations,
copays, deductibles, coinsurance and referral requirements, if any, as outlined in your plan documents.

MENTAL HEALTH PARITY AND ADDICTION EQUITY ACT OF 2008 (MHPAEA)


The Mental Health Parity and Addiction Equity Act of 2008 (MHPAEA) is a federal law that generally prevents group health
plans and health insurance issuers that provide mental health or substance use disorder (MH/SUD) benefits from imposing
less favorable benefit limitations on those benefits than on medical/surgical benefits. Changes made by MHPAEA, include:
• If a group health plan or health insurance coverage includes medical/surgical benefits and MH/SUD benefits, the financial
requirements (e.g., deductibles and co-payments) and treatment limitations (e.g., number of visits or days of coverage)
that apply to MH/SUD benefits must be no more restrictive than the predominant financial requirements or treatment lim-
itations that apply to substantially all medical/surgical benefits.
• MH/SUD benefits may not be subject to any separate cost-sharing requirements or treatment limitations that only apply to
such benefits.
• If a group health plan or health insurance coverage includes medical/surgical benefits and MH/SUD benefits, and the plan
or coverage provides for out-of-network medical/surgical benefits, it must provide for out-of-network MH/SUD benefits.
• Standards for medical necessity determinations and reasons for any denial of benefits relating to MH/SUD benefits must be
disclosed upon request.

COVERAGE EXTENSION RIGHTS UNDER THE UNIFORMED SERVICES EMPLOYMENT


AND REEMPLOYMENT RIGHTS ACT (USERRA)
If you leave your job to perform military service, you have the right to elect to continue your existing employer-based health
plan coverage for you and your dependents for up to 24 months while in the military. Even if you don’t elect to continue cover-
age during your military service, you have the right to be reinstated in your employer’s health plan when you are reemployed,
generally without any waiting periods or exclusions (e.g., pre-existing condition exclusions) except for
service-connected illnesses.
