PRICING NOTES

GENERAL

• Exit from YYZ // Spot quote from Airline service with Ethiopian airline (YYZ to BJM AFQ-ASI-97879) // Rates are valid for a period of 72 hours from the date/time of quotation
• In the event of a market change, including but not limited to, strike, threatened strike, slowdown or disruption, terrorism, acts of governments, act of God such as volcanic eruption, epidemic and related
containment efforts, civil commotion, energy crisis to include jet fuel spike, service or facility congestion, capacity shortage attributable to seasonal volume spikes, structural changes in carrier lift or labor
availability, and market changes arising directly or indirectly therefrom, UPS SCS has the right to provide written notice of revised rates and charges as a result of such event, which revised rates and charges
will be immediately effective on the date of UPS SCS’s written notification to Customer unless a grace period is provided in such notice as determined in UPS SCS's sole discretion. In the event Customer
disagrees with the rate adjustment, Customer's sole remedy shall be termination of this Agreement or service on affected lanes.
• UPS SCS will make commercially reasonable efforts to control carrier and vendor procurement costs. Notwithstanding the foregoing, rates and charges are subject to change immediately upon notice
(including without limitation changes applicable to fuel, security, market conditions, costs resulting from compliance with regulatory requirements, etc.)
• Rate offer is valid for 7 days from quote date. UPS SCS reserves the right to withdraw this offer, at any time during this period and prior to customer acceptance. If shipment is received after 7 days from
quote date, rates are subject to change.
• Pricing is based on payment terms of 10 days from invoice date unless otherwise specified in current agreement. Any payment which is past due shall be subject to an additional charge at the rate of 1.5%
per month of the outstanding balance due, or the highest rate permitted by applicable law, whichever is less.

• Rates are valid for service level indicated and apply to general cargo, excluding dangerous goods, UPS Temperature True, perishables or valuables, etc. unless otherwise indicated in the rate quote.
• Airfreight handling for UPS Express Freight and UPS Airfreight Consolidated and Direct services are based on actual or dimensional weight, whichever is greater. Dimensional weight for UPS Airfreight
Consolidated and Direct services is based on a 166 (1:6) dim factor, and for UPS Express Freight a 139 (1:5) dim factor. The dim factors are subject to change.
• All rates are based on the characteristics and volume provided by customer. UPS SCS reserves the right to revise the prices contained herein for changes if the freight characteristics and/or volume
commitment do not coincide with the data provided.
• Rates quoted may not include all applicable charges, surcharges and fees. Final charges may differ based on your shipper characteristics and the characteristics of, and services requested for, shipments
actually tendered to UPS SCS. Rates apply only for cargo of legal weight and dimensions. Legal weights and dimensions can vary by country.
• In the event that local government dictates carrier pass through of applicable charges, such as fuel and security etc., invoiced charges may differ from rates quoted to customer.
• Rates are exclusive of inbound collect surcharge, special handling, detention, demurrage, fumigation, insurance, storage after free time, customs bond, duties, VAT, taxes, user fees, courier and any other
governments' fees, etc. Export and import clearance charges may apply.

• Brokerage accessorial fees may apply if entry characteristics exceed the routine number of lines of classification, commercial invoices, Bills of Lading, or if any government agency filings are required.

• Outlays for duties, taxes, or freight paid by UPS SCS on the customer's behalf are subject to a Disbursement Fee.
• Lithium battery shipments shall be packaged, marked and labeled by the shipper in accordance with applicable special regulations and terms; UPS reserves the right to charge customers for re-labeling and
document corrections which UPS may conduct at its discretion but always without any obligation to do so.
• Cargo from shippers who are not Registered Shippers with the Transport Canada Air Cargo Security Program and transported onboard a domestic, international or cross-border passenger flight departing a
Canadian Air Transport Security Authority designated Canadian airport will be subject to an additional screening charge (Security Charge - Origin) in the amount of $0.15 CAD per kilogram of billable weight
per shipment, with a minimum charge of $25.00 CAD per shipment. This Security Charge is subject to change without prior notice. Increased freight rates may also apply due to a change in service level if
screening requires separation of cargo from a consolidated shipment with other registered shippers.

• All rates, unless otherwise specified, will be subject to General Rate Increase, Peak Season Surcharge, Fuel Surcharge, Capacity Surcharge, Security Surcharge, regulatory fees, etc. For more details, refer to:

For Capacity Surcharges and Peak Season Surcharges, please refer to https://gffsolutions.ups.com/IAF-Surcharges.html.The current Capacity Surcharge is planned to be updated no later than 5pm EST on each
Friday for the following week but may be updated more frequently. Please check the website regularly for the latest information.
• Additional surcharges may also apply for UPS Airfreight Consolidated Hazmat service, such as, airline hazmat and UPS SCS dangerous goods fees.
• UPS SCS will make commercially reasonable efforts to control carrier and vendor procurement costs. Notwithstanding the foregoing, rates and charges are subject to change without prior notice (including
without limitation changes applicable to fuel, security, market conditions, costs resulting from compliance with regulatory requirements, etc.)
• Notwithstanding anything to the contrary in this Agreement, in the event of a market change beyond the control of Forwarder as may be caused by any labor strike, acts of governments, act of God such
as volcanic eruption, civil commotion, energy crisis to include jet fuel spike, service or facility congestion, or any other circumstance not caused by and/or not within the control of Forwarder, Forwarder has
the right to provide written notice of revised rates and charges as a result of such event, which revised rates and charges will be immediately effective on the date of Forwarders written notification to
Customer unless a grace period is provided in such notice as determined in Forwarder's sole discretion. In the event Customer disagrees with the rate adjustment, Customer's sole remedy shall be termination
of this Agreement or service on affected lanes.
• After the attacks of September 11, 2001, regulatory agencies defined known and unknown shippers/consignors. Proposed rates apply for known shippers/consignors. If shipper/consignor is unknown,
rates may not be valid. Special screening fees may apply and are subject to change.
• Exchange rates presented are for comparison purposes only and will not reflect the exchange rate at the time of shipping. Unless advised otherwise, rates are quoted in local currency. Upon award, rates
will be implemented and rated in local currency. We reserve the right to revise the prices contained herein for currency fluctuations. CAF may apply.
• Carrier(s) will be chosen from our portfolio of carriers that offer the best combination of transit time, local customer service, ideal cutoff, space availability, etc. Carrier selection and transit time are
subject to change without notice.
• Transit times are approximate and are subject to change without notice. Transit times are port to port and listed in business days of operation and do not include customs clearance.
• Pickups and Deliveries will be made within normal business hours within metropolitan city limits (or postal codes provided). Unless listed on the quote, additional charges will apply for Pickup and Delivery
within metropolitan city limits and beyond points.
• Rates do not include special services (e.g., after hours, weekend/holiday, waiting time, etc.)
• Drayage/trucking rates that involve transit in Austria or Germany are subject to the Road Tax, effective November 1, 2003.
• If UPS SCS is not the customs broker, a document turnover fee will apply per shipment.
• Cargo insurance and/or declared value is available and can be added to each shipment subject to additional charges. Insurance availability is dependent upon the origins and destinations, type of
commodities, and value of the shipment. The merchandise must be new, and all claims are subject to proof of value. Restrictions and exclusions apply.
• Rates presented are for the Transportation / UPS Temperature True / CHB / Supplier Management services requested only, and do not include any IT development costs (such as EDI connectivity) that may
be required during the implementation process.
• UPS Supply Chain Solutions' Air Freight Terms and Conditions of Contract in effect at the time of shipment and the terms and conditions of transportation documents issued in conjunction with the
services ("Air Terms") shall apply to all services and are incorporated herein by this reference. The Air Terms, which include limits of liability, may be viewed at:

• Due to Japan government requirement, export from Japan FSC SSC shown in the quotation are a reference rate only. Actual FSC and SSC will be charged based on the airline used at the time of the
shipment.
