MEMORANDUM OF UNDERSTANDING
BETWEEN
ACL SERVICES NORTH LTD
AND

This is an agreement between ACL Services North LTD hereinafter called “Party A”, and
........................................................................... (Fill your company name here) hereinafter called “Party B”.
Both known parties collectively hereinafter called “Parties”.
1. PURPOSE & SCOPE

1.1 The purpose of this MOU is to clearly identify the roles and responsibilities of each party as they work together
and are based in two different countries.
1.2 The purpose of this MOU is to establish the terms and conditions under which both parties can gain profit
financially.
1.3 Sharing the knowledge necessary to integrate the given tasks.
1.4 Other scope as mutually agreed upon by both parties.
2. AREAS OF COLLABORATION
2.1 We will work collaboratively with you to develop a tailored program and custom assets to promote our
partnership across channels. Partnership includes:
A. Party B refering clients to Party A for Certificate of Sponsorship (CoS).
B. Party B refering clients to Party A for Visa Process.

C. Party B paying Party A according to Fee Structure mentioned below.
D. Party A giving commission to party B as per Fee Structure mentioned below.
E. Party B collecting money on behalf of Party A from clients which Party A mentions through their
official email address.
3. OBLIGATIONS OF THE PARTIES

3.1 The Parties acknowledge that contractual relationship is created between them by this MOU. The Parties agree to work
together to ensure success of the Partnership and to assign appropriate financial, Administrative
and managerial resources to the Partnership. The scope of the Partnership shall be defined by mutual consent
and will include.
A. Sharing the knowledge necessary to integrate the desired tasks of each party.
B. Helping each other for performing mutual tasks.
4. Responsibilities of Party A:
4.1 Working with Party B fairly and giving full cooperation where ever required.
4.2 Maintains the required level of Professional Indemnity Insurance.
4.3 Has no conflict of interest in terms of the Code.
4.4 Will act in accordance with the law and in the best interests of the Clients, and deal with the Client competently,
diligently and fairly.
4.5 Will help Party B to get Certificate of sponshership (CoS). (Charges as per Fee structure)
4.6 Will help Party B to get visa process paperwork done. (Charges as per Fee structure)
5. Responsibilities of Party B:
5.1 The Party A is able to advise the Party B about immigration law at a particular point in time but is unable to predict
future changes in the law
5.2 The Party B will respond promptly to requests by the Party A for further information or documents.
5.3 The Party B will not hold the Party A responsible for delays caused by the Party B’s failure to promptly provide
information or documents.
5.4 The Party A will be under no obligation to submit the Client’s application to the Department or review body until
payment has been made in full of all fees due and payable at that stage ( As per Fee Structure).
5.5 The documents provided by client are not fake or falsified.
5.6 The client has to go for medical examination after receiving CoS on their own expenses.
5.7 Party B has to pay Party A on given time mentioned in Fee structure.
5.8 Party B has to make sure that every client should sign contract form of Party A
6. FEE STRUCTURE
6.1 PARTY B HAS TO PAY PARTY A THE FOLLOWING CHARGES:
Total Fee: £2300 PER CLIENT
Step 1: We charge 79 Pounds for conducting the interview.
Step 2: We charge 425 Pounds to apply your CoS.
Step 3: A balance of 1800 Pounds has to be paid when the client starts working in the U.K.
We will deduct 300 Pounds per week for the first 6 weeks from the salary. Client do not need to pay us anything
after 6 weeks.
[300 Pounds x 6 weeks = 1800 Pounds]

6.2 PARTY A HAS TO PAY PARTY B THE FOLLOWING CHARGES:
A. Party B can charge their fees directly from the clients on each step of payment.
B. Party A does not pay have to pay anything to Party B.
C. Party B should charge 1800 Pounds from the client after client receives his/her
COS.
7. REFUND POLICY
ACL Services North hereby offers Party B the 50% money back guarantee on Health and Care Worker Visa before
the date the Client or Party B has applied for the Certificate of Sponsorship (CoS) through us and only in cases where
the work carried out by us is unsatisfactory. This said guarantee does not in any way extend if the documents provided
by the client are fake or falsified nor does it apply where the client has a change of circumstances or breaches any
legal terms and conditions.
8. DISPUTE RESOLUTION
In the event of a dispute related to the Code of Professional Ethics, both parties may make a complaint, in writing, to the
official email address of each company. Both parties should try to resolve the dispute by mutual understanding. In the
event a resolution cannot be reached, both parties may exercise his/her option to follow the complaint and discipline
procedure outlined in each country.
NOTE: All complaint forms must be signed.
9. TERMINATION
Performance under this Contract may be terminated for any reason by either party upon thirty (30) days' written notice.
Upon termination, both parties will be paid for all costs and non-cancelable commitments incurred in the performance of
the PROJECT through the effective date of the termination, such payment together with any other payments made, not
to exceed the maximum amount of £100.
Termination of this Contract by either party for any reason shall not affect the rights and obligations of the parties
accrued prior to the effective date of the termination of this Contract. No termination of this Contract, however,
effectuated, shall release the parties from their rights and obligations.
10. DURATION
This agreement shall commence as of 26 Feb 2024 and shall remain in full force through 25 Feb 2025.

11. DECLARATION
We both parties ACL Services North (Party A) and Party B have read and understood the terms and conditions as
per MOU. We solemnly declare the information mentioned herein is true and correct to the best of our beliefs. All
the details provided above are genuine to the best of our belief and knowledge. I hereby declare that the above
particulars of facts and information stated are correct to the best of our belief and knowledge.
