SEVENTEENTH AMENDMENT TO EMPLOYMENT AGREEMENT

This SEVENTEENTH AMENDMENT TO EMPLOYMENT AGREEMENT


(“Amendment”) is entered into effective May 1, 2021 by and between BOARD OF REGENTS
OF THE UNIVERSITY OF WISCONSIN (“University”) through its duly authorized
representatives, the University of Wisconsin – Madison Chancellor and its Director of
Intercollegiate Athletics, and MARK JOHNSON (“Employee”).

WHEREAS, University and Coach entered into an EMPLOYMENT AGREEMENT


dated June 28, 2002; and an AMENDMENT TO EMPLOYMENT AGREEMENT, dated
September 11, 2003; and a SECOND AMENDMENT TO EMPLOYMENT AGREEMENT,
dated September 23, 2004; and a THIRD AMENDMENT TO EMPLOYMENT AGREEMENT,
dated September 30, 2005; and a FOURTH AMENDMENT TO EMPLOYMENT
AGREEMENT, dated September 8, 2006; and a FIFTH AMENDMENT TO EMPLOYMENT
AGREEMENT, dated September 4, 2007; and a SIXTH AMENDMENT TO EMPLOYMENT
AGREEMENT, dated September 15, 2009; and a SEVENTH AMENDMENT TO
EMPLOYMENT AGREEMENT, dated August 25, 2011; and an EIGHTH AMENDMENT TO
EMPLOYMENT AGREEMENT, dated June 22, 2012; and a NINTH AMENDMENT TO
EMPLOYMENT AGREEMENT, dated July 1, 2013; and a TENTH AMENDMENT TO
EMPLOYMENT AGREEMENT, dated July 1, 2014; and an ELEVENTH AMENDMENT TO
EMPLOYMENT AGREEMENT, dated July 1, 2015; and a TWELFTH AMENDMENT TO
EMPLOYMENT AGREEMENT, dated July 1, 2016; and a THIRTEENTH AMENDMENT TO
EMPLOYMENT AGREEMENT, dated July 1, 2017; and a FOURTEENTH AMENDMENT TO
EMPLOYMENT AGREEMENT, dated July 1, 2018; and a FIFTEENTH AMENDMENT TO
EMPLOYMENT AGREEMENT, dated July 1, 2019; and a SIXTEENTH AMENDMENT TO
EMPLOYMENT AGREEMENT, dated July 1, 2020; and

WHEREAS, University and Employee are both desirous of amending that


EMPLOYMENT AGREEMENT, in certain respects, and in those respects only;

NOW THEREFORE, University and Employee hereby mutually agree as follows:

1. That Article II, Section A., of the EMPLOYMENT AGREEMENT be amended to


read as follows:

II. TERM, EXTENSION, AND ANNUAL REVIEW

A. University agrees to employ Mark Johnson hereunder as


Head Women’s Hockey Coach for a term commencing on
May 23, 2002, and ending on June 30, 2026, subject to the
extension and termination provisions set forth expressly
herein (“Term”). Mark Johnson shall be considered a full-
time University employee twelve (12) months of each year.

2. That Article III, Sections A. and F., of the EMPLOYMENT AGREEMENT be


amended to read as follows:

III. COMPENSATION

A. University agrees to pay Employee as compensation for


services as Head Women's Hockey Coach an annual gross
base salary of Three Hundred Fifty-Five Thousand, Four
Hundred and Thirty-Five Dollars ($355,435). Said salary,
less all applicable withholding, shall be paid to Employee
in equal monthly installments each year of the Agreement.
Employee’s annual gross base salary will increase by Ten
Thousand Dollars ($10,000) on July 1, 2021, and again on
each subsequent July 1st, until and including July 1, 2025,
at which time Employee’s annual gross base salary will be
Four Hundred Five Thousand, Four Hundred and Thirty-
Five Dollars ($405,435), and will remain at that amount for
the remainder of the term of the Employment Agreement,
including any extensions thereto. At University’s
discretion, annual increases in base salary may be awarded
each year in accordance with the pay plan approved by the
Board of Regents, however there will be no such increase
awarded for any pay plan increase effective in 2021.

F. As additional compensation, the Division shall provide to


Employee an annual automobile allowance of $350/month.
All expenses associated with automobile, including but not
limited to liability, collision and comprehensive insurance
shall be borne by Employee.

3. That Article III, Section C., of the EMPLOYMENT AGREEMENT be deleted in its
entirety.

4. That all other terms and conditions of the EMPLOYMENT AGREEMENT, as


amended, shall remain in full force and effect.

IN WITNESS HEREOF, University and Coach have executed this AMENDMENT in


Madison, Wisconsin on the dates indicated below.

EMPLOYMENT AGREEMENT, dated July 1, 2020; and

WHEREAS, University and Employee are both desirous of amending that


EMPLOYMENT AGREEMENT, in certain respects, and in those respects only;

EIGHTEENTH AMENDMENT TO EMPLOYMENT AGREEMENT
This EIGHTEENTH AMENDMENT TO EMPLOYMENT AGREEMENT
(“Amendment”) is entered into effective December 7, 2022 by and between BOARD OF
REGENTS OF THE UNIVERSITY OF WISCONSIN (“University”) through its duly authorized
representatives, the University of Wisconsin – Madison Chancellor and its Director of
Intercollegiate Athletics, and MARK JOHNSON (“Coach”).

WHEREAS, University and Coach entered into an EMPLOYMENT AGREEMENT


dated June 28, 2002; and an AMENDMENT TO EMPLOYMENT AGREEMENT, dated

WHEREAS, University and Coach are both desirous of amending that EMPLOYMENT
AGREEMENT, in certain respects, and in those respects only;

NOW THEREFORE, University and Coach hereby mutually agree as follows:

1. That Article II, Section A., of the EMPLOYMENT AGREEMENT, be amended to read
as follows:

2027, subject to the extension and termination provision set forth expressly
herein (“Term”). Mark Johnson shall be considered a full-time University
employee twelve (12) months of each year.

2. That Article III, Sections A. and D., of the EMPLOYMENT AGREEMENT be


amended to read as follows:

III. COMPENSATION

A. University agrees to pay Coach as compensation for services as Head Women’s


Hockey Coach an annual gross base salary of Three Hundred Seventy-Five
Thousand, Four Hundred and Thirty-Five Dollars ($375,435). Said salary, less
all applicable withholding, shall be paid to Coach in equal biweekly installments
each year of the Agreement. Coach’s annual gross base salary will increase by
Ten Thousand Dollars ($10,000) on July 1, 2023, and again on each subsequent
July 1st, for each year of the EMPLOYMENT AGREEMENT and for the
remainder of the EMPLOYMENT AGREEMENT, including any extensions
thereto. At University’s discretion, annual increases in base salary may be
awarded each year in accordance with the pay plan approved by the Board of
Regents, however there will be no such increase awarded for any pay plan
increase effective in 2022.

D. Coach shall have an opportunity to participate in the Division’s Post Season


Bonus Policy, subject to all the terms and conditions contained therein.
Furthermore, and in addition to the foregoing, Coach shall be paid certain
bonuses set forth as follows, which are not cumulative and are based on the
Women’s Hockey Team’s highest finish. The bonus payments set forth in this
paragraph are in addition to any bonus payment provided in the Division of
Athletics bonus policy in effect as of the appearance by the team. Therefore,
following any season in which the Women’s Hockey Team advances to the
NCAA Frozen Four, Coach shall receive a 5% bonus in addition to the bonus set
forth in the Division’s bonus policy (i.e., 5% + 10% awarded through bonus
policy for a total of 15%). If the Women’s Hockey Team appears in the NCAA
National Championship Game, Coach shall receive a 25% bonus in addition to
the bonus set forth in the Division’s bonus policy (i.e., 25% + 0% awarded
through bonus policy for a total of 25%). If the Women’s Hockey Team wins the
NCAA National Championship Game, Coach shall receive a 15% bonus in
addition to the bonus set forth in the Division’s bonus policy (i.e., 15% + 15%
awarded through bonus policy for a total of 30%). The bonus payments set forth
in this paragraph shall be made via a one-time lump sum payment which will be
paid to Coach in conjunction with the first biweekly payroll occurring after May
1st in the “year” of this Agreement (July 1 through June 30) immediately
following the National Championship.

3. That all other terms and conditions of the EMPLOYMENT AGREEMENT, as


amended, shall remain in full force and effect.
