My Last Will and Testament

1. I want to create my Last Will and Testament.

2. My full legal name is Mr. Joseph M Ouimet , and I live in Toronto Ontario, Ontario.

3. I am of the age of majority in my Province or Territory.

4. I am retired.

5. I revoke all my former Wills and Codicils.

6. In this Will 'decide' or 'decides' means, when referring to a decision of any person, a decision
made in that person's sole, absolute and uncontrolled discretion to the extent permitted by law.

7. The expression "My Trustee" wherever used in this my Will shall mean the person or persons from
time to time acting in the office of Executor, Trustee and Personal Representative of this my Will,
and wherever the singular or masculine are used throughout this Will, the same shall be construed
as meaning the plural or feminine or body corporate where the context so requires.

8. I hereby appoint Sheila Lallman Ouimet sole Executor and Trustee of this my Will, but if this
person should predecease me or die without having proved this my Will or if they should relinquish
their right to act as my Executor, then I appoint Dale Bajnath Of Trinidad & Tobago to be the
Executor and Trustee of this my Will.

9. I GIVE, DEVISE AND BEQUEATH all my property of every nature and kind to my Trustee to deal
with as follows:

To pay out and charge to the capital of my general estate (in exoneration of all beneficiaries) my
debts and funeral and testamentary expenses including all estate and inheritance and succession
and probate and other taxes, duties, and fees (whether payable in respect of interests which fall into
possession at my death or subsequently) and with power to commute or prepay any such taxes,
duties, and fees.

Attached to this my Will is a Memoranda of Articles signed by me that was signed by me before I
signed this Will. I hereby deliver those Articles as are described in the said Memoranda of Articles to
those persons identified in the said Memoranda of Articles.

10. I direct my Trustee to pay or transfer the residue of my Estate to my spouse, Sheila Lallman
Ouimet if she survives me for a period of 30 days, for her use absolutely.

If my spouse, Sheila Lallman Ouimet predeceases me or survives me but dies within 30 days after
my death:

I direct my Trustee to pay the Residue of my Estate to Dale Bajnath if he survives me, and if he dies
before me,

I direct my Trustee to pay the residue of my Estate to those of Kaloutie Bajnath and Dolcie Bajnath ,
that survive me, in equal shares if more than one;

11. My Trustee may use his or her discretion in the realization of my estate with power to sell, call
in and convert into money any part of my estate not consisting of money at such time or times, in
such manner and upon such terms, and either for cash or credit or for part cash and part credit as
my Trustee may in his or her uncontrolled discretion decide upon, or to postpone such conversion of
my estate or any part of parts thereof for such length of time as he or she may think best.

12. If my Estate holds any interest in any business, incorporated or otherwise, my Trustee may deal
with that interest and exercise any rights, powers, and privileges in connection with that interest to
the same extent as I could if I were alive and the only owner of that interest.

(a) insuring any of that property against whatever risks and in whatever amount my Trustee
decides;

(b) managing any of that property;

(c) spending money out of capital and income, or either, to repair, convert, improve, or
rebuild any of that property;

(d) renting or leasing any of that property for any period of time and on whatever terms that
my Trustee decides;

(e) granting options and releases on whatever terms that my Trustee decides;

(f) paying off or renewing mortgages on that property; and

(g) subdividing that property and/or dedicating any part of it for highway or other public use.

My Trustee may lend money or any other asset from my estate to any beneficiary on whatever terms
my Trustee decides, and may, on behalf of my estate, borrow any amount my Trustee decides on
whatever terms my Trustee decides.

My Trustee may, at any time:

(a) compromise, settle, or waive any claim due to or due by my estate for whatever
consideration and on whatever terms my Trustee decides; and

(b) extend, continue, or renew any evidence of any liability I may have as endorser,
guarantor, surety, or otherwise for any liability of any person.

13. My Trustee shall be limited to only those investments authorized by law for Trustees.

In making any division of my Estate or any part thereof or in setting aside or paying any share or
interest therein, my Trustee may as he or she deems advisable and either wholly or in part divide,
set aside or pay over in actual form the assets forming my estate at the time of such division, setting
aside or payment.

In valuing my estate and any part or parts thereof for the purpose of making any such division,
setting aside or payment or for any other purpose in the administration of my estate my Trustee
shall fix the values thereof having regard to opinions obtained from persons qualified in this regard.

My Trustee is given full power at any time and from time to time, to make or not to make, any
election, determination or designation, or to do or not to do, any other act, deed, or thing, or
exercise any discretion or authority referred to in the Income Tax Act of Canada, which my Trustee
considers in the best interests of my estate and my beneficiaries or any of them.

14. I authorize my Trustee to make any payments for any person under the age of majority to a
parent or guardian of such person whose receipt shall be a sufficient discharge to my Trustee.

15. I want my remains to be cremated.

16. My Trustee, subject to any contrary provisions in this Will and any agreement that I am a party
to that affects my interest in that property, may exercise any rights, powers and privileges in
connection with any digital or electronic information or property and online accounts (collectively,
my 'Digital Assets') forming part of my estate to the same extent as I could if I were alive and the
only owner of those Digital Assets, regardless of the ownership of any physical devices upon which
any of those Digital Assets are stored. My Trustees' powers, which may be exercised how, when and
on whatever terms my Trustee decides, include:

(a) managing, accessing, retrieving and downloading, distributing, transferring, and securely
deleting any Digital Assets;

(b) obtaining, accessing, retrieving, modifying, deleting and managing my passwords and
other electronic credentials associated with my digital devices and Digital Assets;

(c) managing or closing accounts (including email accounts, social media accounts, cloud
storage accounts, online gaming accounts, subscription media accounts, and electronic
commerce accounts);

(d) managing or disposing of domain names;

(e) continuing operation of or dismantling websites;

(f) protecting or securely deleting my Digital Assets and related intellectual property,
including documents, blog posts, photographs, videos and websites;

(g) protecting my personal information;

(h) accessing and managing my digital devices, including desktops, laptops, tablets, external
drives, mobile telephones, storage devices, and any other similar digital device that currently
exists or may exist as technology develops; and

(i) accessing digital wallets and managing any associated digital currencies or
cryptocurrencies.
