TERMS OF SERVICE

These Terms of Use govern your use of Piastrix accounts ("Account") and Piastrix
services. To become a user of the Piastrix, you must be at least 18 years of
age or of legal age in your country/region of residence to open a Piastrix Account and
use the Piastrix Services.

By opening and using a Piastrix account, you agree to abide by all terms of these Terms
of Use, as well as other policies (AML, Privacy Policy).

We may change these Terms of Use and any of the policies listed above from time to
time. The revised version will be effective at the time it is posted on our website unless
otherwise stated. By continuing to use our services after any changes to these Terms of
Use any of the other applicable terms, agreements or policies listed above, you agree to
comply with and be bound by those changes.

Availability of services varies by country/region.

1. Account opening
We offer two types of accounts: personal Piastrix accounts (or "personal accounts")
and business Piastrix accounts (or "business accounts").

1.1. All Piastrix accounts allow:


➢ Send and receive payments.
➢ Buy goods and services online.
➢ Make payments using the balance in your Piastrix account or other
➢ payment methods, if available.
➢ Accept Piastrix balance or other payment methods, if available, from
➢ others.

In order to open a Piastrix account, you must register with a valid email address that will
be used when logging into the account each time. One-time authentication codes as
well as other important account access and activity information may be sent to this
address.

1.2. Self-registration of the User's account is carried out in the following order:
➢ enter in the address bar of the Internet browser the electronic address of
➢ the Service's WEB-site: httpshttps://piastrix.com/piastrix.com/;
➢ enter in the registration form the e-mail, which will be used as the User's
➢ name (login) when using the Service; date of birth (used when recovering
the password);
➢ enter the Password into the registration form

Please note that there is a strict combination of one email address to one Piastrix
account. This means that it is not possible to register multiple Piastrix accounts with
the same email address. If you lose access to your email, you will not be able to log in
to your Piastrix account. In this case, you will need to contact Piastrix Support to follow
the recovery instructions.
You must keep your email address used for registration valid and accessible at all
times. You understand and agree that if Piastrix sends you an email and you do not
receive it because your primary email address is incorrect, out of date, blocked by your
service provider, or you are otherwise unable to receive emails, Piastrix will be deemed
to have contacted you.

1.3. Personal accounts.


With a personal account, you can do things like:
➢ Purchase of goods and services.
➢ Sending personal transactions and requesting personal transactions.

You cannot use a personal account to receive payments for selling goods and services.
If you plan to use your personal account primarily to sell something, you should
consider a business account.

1.4. Business accounts


By opening a business account, you confirm to us that you are using it for business
purposes. You also consent to us obtaining your personal and/or business information
from public sources when you open an account, when you request certain new products
and when we reasonably believe there may be an increased level of risk associated with
your business account.

To qualify for a business account, you must fall within our eligibility criteria. You must
apply once, followed by a separate identification and business moderation process. You
must own a website and your business must fall under the types of activities allowed.

For business account verification, along with the documents required for personal
account verification, company registration documents are required, including but not
limited to:
➢ certificate of state registration (or other document issued by an authority);
➢ the company's charter, internal regulations;
➢ establishment agreement (if available);
➢ a document confirming the authority of a person to act on behalf of the
company
➢ without a power of attorney;
➢ other documents at the discretion of Piastrix.

Piastrix evaluates the possibility of opening a business account for you at its sole
discretion and has the right to refuse moderation without explanation.

1.5. To ensure the security of your use of Piastrix services, we are always monitoring
the activity declared when you open your business account.
In case of any change in the declared activity, domain address or any other information
provided to Piastrix during the moderation process, you must immediately notify Piastrix
by contacting our support team.
If Piastrix finds during the monitoring process that the activity declared does not
correspond to the actual activity, Piastrix reserves the right to take a range of actions.
More details on limitations, blocking, freezing and other actions can be found in the
relevant section of these Rules.
2. Top-up
2.1. After registration, the User may top up the Balance in the amount of his/her
choice in one of the following available ways:
➢ depositing the appropriate amount of money through the Terminal;
➢ depositing the relevant amount of money through the Payment
➢ Acceptance Point;
➢ debiting the relevant amount of funds from virtual accounts registered
➢ with third-party payment systems, including electronic money, cryptocurrencies
➢ and mobile operator accounts;
➢ debiting the relevant amount of funds from bank accounts, including
➢ through fast payment systems;
➢ debiting the corresponding amount of funds from the bank card.

2.2. Please note the limits set in your Piastrix account. When you top-up the Balance
by one of the methods available to the User, the minimum amount of funds deposited by
the User for the purpose of such top-up can be found in your account when performing
the transaction. The maximum amount of funds deposited by the User for the purpose of
such top-up before identification may not exceed 30,000 (thirty thousand) RUB. Piastrix
does not guarantee correct completion of the transaction if the User violates the set
limits.
2.3. Please note, when topping up any type of account using a bank card, the Customer
may use the limited different bank cards regardless of the level of identification. The User
is entitled to use only personal bank cards.
2.4. The availability of deposit methods, its limits, and another terms and restrictions
may vary.

3. Account registration procedure


3.1. After registration of the User's account and replenishment of the Balance, you
are entitled to use the service, including for the purpose of making Payments, however,
in order to get full access to the account you need to pass identification.
Payments shall be made by forming, certifying and transmitting to Piastrix an order to
make a Payment in favour of a particular Payee in electronic form, containing the
following information:
➢ the payee in favour of whom the Payment is made;
➢ payment details identifying the purpose of the Payment (such as
➢ subscriber phone number, details with the use of which the payments will be
➢ made, number and date of the agreement between the User and the Payee, other
➢ details, depending on what information is to be provided at the time of making
➢ the payment);
➢ the amount of the Payment;
➢ other, as appropriate.

Users are responsible for ensuring that all details are accurately entered when initiating
payments. By confirming the transmission of an order to make a payment in favor of a
particular Payee, the User affirms the accuracy of the data they have provided.

Do not request a transfer to a personal account from your customer. If you do, Piastrix
may freeze the amount of your Piastrix Personal Account for investigation.

Top-up fees from your account balance can be found in your Piastrix account and will
be advised in advance each time you deposit or withdraw funds.
4. Identification
Identification involves providing the information necessary to identify the User,
depending on the type of account. Piastrix offers the following options:

4.1. Simplified Identification:


You verify your email address and phone number for identification on the Piastrix
website.
You are authorised to carry out top-up and payment transactions without full
identification of the User. Please note that you cannot withdraw funds with simplified
identification.

At any time, at your own request, you can increase the level of identification by providing
Piastrix with additional information. The application processing time is no more than 3
working days.

4.2. Full Identification:


Full User Identification is accomplished by uploading identification documents to the
system or passing verification through our partners' services, where you will be required
to scan the documents necessary for identification and undergo a Selfie Liveness
according to service rules.

Depending on the verification method used, Piastrix may require you to provide:
➢ high-quality photo of the pages of the identification document, including the
following information: the User's photo, full name, document number, date of birth,
date and authority of issuance of the document, and the validity period of the
document;
➢ a photo of the User holding a valid identification document in one hand and an A4
sheet of paper with the last four digits of the account identification number in the
other hand. The image must show the page of the User's valid passport, which
includes the full name and passport data. The image must clearly show the
appearance of the User, as well as the provided passport data and the last 4 digits
of the account number.
➢ In some cases we may ask you for a photograph of your personal payment card
for verification containing the following information: card number (first 6 and last
4 digits) together.

Fake, distorted, blurred or montaged photos are not allowed.

We would like to draw your attention to the fact that, in providing our services, we adhere
to a risk assessment approach and strive to properly implement the "Know Your
Customer" principle. Therefore, before opening a Piastrix account, we may ask you to
provide additional documents and/or written explanations beyond those mentioned
above.
Please note that only one (1) ID can be associated with one (1) Piastrix account.
Identifying multiple Piastrix accounts with the same ID is not allowed.
4.3. You authorise Piastrix to make any enquiries necessary to verify your identity,
either directly or through third parties. Anti-money laundering and anti-terrorist financing
regulations may require Piastrix to verify certain additional identifying information.

4.4. You undertake to update your contact and identification data and to inform Piastrix
of any change in such data within seven (7) calendar days of the day on which such data
has changed.

4.5. Piastrix has no restrictions on payment transactions for Users who have been fully
identified and verified, but the amount of restrictions on payment transactions may vary
depending on the Bank - card issuer and provider.

4.6. Third party authorisations


You must be the only user of your Piastrix account.
You agree not to share your authentication tools with third parties under any terms or
conditions (including contracts or agreements). Any form of providing access to third
parties is prohibited. In case of suspected compromise of the means of authentication,
Piastrix may unilaterally suspend the provision of services and initiate an investigation.

In addition, Users are obligated to immediately report any loss, theft, or unauthorized
use of their authentication tools (e.g., login credentials, passwords, two-factor
authentication methods). This notification must be made promptly to Piastrix to prevent
unauthorized access to the account.

4.7. Binding a Card.


Some Users have the ability to bind personal bank cards to their Piastrix account. The
availability can be found in your Piastrix personal account.
To bind a personal bank card, the User will provide the data required to bind the card in
their personal account. In some cases, Piastrix may request a photo of your personal card
containing the following information: card number (first 6 and last 4 digits), and a photo
of the personal bank card together with a page of the User's valid passport with name
and passport details.
You have the right to cancel the card binding in your personal account at any time.
Piastrix has the right to cancel the binding of the User's card at any time at its sole
discretion.
Bank card data is stored and processed by Piastrix's certified partners. By submitting
data, you give your consent to the transfer of such data to such third parties.
4.8. In case the identified account is inactive, meaning that no transactions, including
but not limited to deposits, transfers, refunds, as well as the User's login, have been made
within 90 (ninety) days, Piastrix has the right to cancel the identification. The User will be
asked to re-identify.

5. Account closure
5.1. You may close your account and terminate your agreement with us at any time
without additional cost or penalty, but you will remain responsible for any obligations
associated with your Piastrix account even after you close your Piastrix account. If there
are any funds remaining in your Piastrix Account at the time of closure, you must
withdraw those funds within 5 days of requesting account closure by contacting Piastrix
support and requesting that the funds be sent to you reasonably acceptable to us. After
5 days, your account will close automatically and you will lose access to the funds, if any,
in your account.

You may not close your Piastrix account in the following circumstances:
➢ To avoid an investigation.
➢ If you have a current transaction, dispute or claim.
➢ If you have a negative balance on your Piastrix account.
➢ If your account is frozen or suspended.

6. Withdrawal of funds
6.1. To withdraw funds from your Piastrix account, you can use the payment methods
available in your country/region, your identity level type and your activity level.
Withdrawals will be deducted from your Piastrix account balance. Withdrawals from your
account from your Piastrix account may be limited. You can see more information by
logging into your Piastrix account.
6.2. Charges for deposits or withdrawals from your personal account balance can be
found in your Piastrix account and will be notified to you in advance each time you make
a deposit or withdrawal.

7. Balance management in multiple currencies

7.1. Availability of multiple currencies


Your Piastrix account balance can be held in any of the currencies supported by
Piastrix, and you can hold a balance in multiple currencies at the same time.

If you have a balance in your Piastrix account, we can convert it to another currency.
When you convert your account balance, the Piastrix exchange rate will apply. We have
the right to limit the amount of your balance you can convert or the number of
conversions you can perform.

You can only deposit and withdraw your balance in a currency supported by Piastrix for
deposits and withdrawals in your country/region. If you add or withdraw funds from
your account in a currency that is not supported, the funds will be converted for you at
the time of deposit or withdrawal. Piastrix exchange rate is used.

You bear all risks associated with holding various currencies in your Piastrix account.
You may not manage or convert currencies for the purposes of speculative trading,
conversion arbitrage, conversion opportunities, or any other activity determined by
Piastrix to be primarily for the purpose of making or earning money based on currency
conversion rates. Any transaction that we believe violates this policy may be placed on
hold, cancelled or reversed by Piastrix.

7.2. How we convert currency


If Piastrix converts a currency, the transaction exchange rate we have selected for the
applicable currency conversion will be used. The transaction exchange rate is updated
regularly to generate an exchange rate appropriate for your conversion. The exchange
rate is based on the market price of the retail currency on the day of conversion or the
previous business day, or it is set at the applicable government reference rate if
required by law or regulation.
7.3. Conversion options
When your top-up is funded by debit or credit card and involves currency conversion,
you agree and authorise us and our third party payment providers to convert the
currency instead of your debit or credit card issuer.

If available to your card issuer and payment processor, you can ask your card issuer to
perform a currency conversion. This choice of currency preference may be presented to
you in a variety of ways, such as setting your card's currency, choosing the currency
used for the transaction, whether Piastrix or your card issuer performs the conversion,
or choosing what conversion rate is used for the transaction, among other things. If
your card issuer exchanges currency, the currency conversion rate and any charges will
be determined by your card issuer.

When you use the current balance in your account, Piastrix always performs the
conversion.

8. Transfers and payments

8.1. Please note that Piastrix sets limits on the transaction amount, which we
can find in our account when performing a transaction. Piastrix does not guarantee the
correct transaction processing in case the User fails to comply with the set limits.

8.2. Sending transfers


In some countries/regions, you can use the option to transfer funds to your Piastrix
account to send funds to other Piastrix account holders. By logging into your Piastrix
account, you can check which services are available in your country/region.

Users are responsible for ensuring that all details are accurately entered when initiating
a transfer of funds. By confirming the transmission of an order to transfer funds to a
particular Payee, the User affirms the accuracy of the data they have provided.

We do not cancel or refund transfers made from your Piastrix balance or transfers to
other Piastrix accounts.

8.3. Receipt of remittances


If you receive a transfer, it will appear in your Piastrix account balance. If you receive
funds in a currency that your account is not currently configured to accept, we may
need to create a balance in that currency or convert the funds to another currency.
Some currencies can only be received by converting your balance to another currency
supported by Piastrix. When a balance is converted, the Piastrix exchange rate will
apply.

8.4. Fees for sending or receiving transfers


Fees for sending or receiving personal transfers can be found in your Piastrix account
and will be provided to you in advance each time you initiate a transfer or receive a
transfer to your Piastrix account. When you transfer your Piastrix account balance from
one currency to another, the Piastrix exchange rate will apply.

8.5. How to buy something


You can use the balance in your Piastrix account to buy something from a shop that
accepts Piastrix in any currency that the recipient has and that Piastrix supports. This
includes, for example:
➢ Buying something from an online retailer and selecting Piastrix as an option at
checkout.
➢ Sending payment to a shop in exchange for goods or services.

To manage risk, Piastrix may set transaction limits when you purchase something. In
addition, Piastrix availability may be restricted for certain vendors or recipients,
including Piastrix payments made through third-party websites or applications.

When you approve a payment to a shop that accepts Piastrix, it may take time to
complete the transaction. In some cases, your payment may appear on your Piastrix
account pending. In this case, your authorisation to make the payment will remain in
effect until the merchant accepts it.

If your payment needs currency conversion by us, the exchange rate of the transaction
will be calculated and applied as set out in the section on currencies at the time the
payment is made.

8.6. Fees
You do not pay Piastrix commission when you buy something from a shop that accepts
Piastrix. If Piastrix converts the currency for your purchase, the Piastrix exchange rate
will apply.
Your card issuer may charge you a separate transaction fee.

8.7. Returns
If you make a purchase in-store using your Piastrix account and the transaction is finally
refunded, the amount will be fully refunded to your Piastrix account.

Exchange rates may be made without your knowledge. Due to associated costs and
fluctuations in currency conversion rates, you may not receive the full amount of your
initial payment. Payments will be refunded in the currency you paid, or in your other
currency in the event that we are unable to refund in your currency.

8.8. Disputes and Claims.


If you have a claim or dispute regarding the transaction status, including a transfer,
payment or top-up, you must submit such claim or dispute within 14 calendar days from
the date of the transaction. Claims or disputes submitted after this time period will not
be considered by Piastrix.

To support your claim or dispute, you must provide relevant evidence to justify your
position. Failure to submit adequate evidence may result in the claim or dispute being
rejected.

9. Sales and payment acceptance


9.1. Acceptance of payments
The ability to accept payments varies by country/region. Payments can only be
accepted for business accounts for commercial reasons. Contact Piastrix support to
see if you have the ability to accept payments.

You must pay any applicable payment acceptance fees if you use your Piastrix Business
Account to accept payments for goods or services.

Do not request a transfer to a personal account from your customer. If you do, Piastrix
may freeze the amount of your Piastrix personal account for investigation.

You agree to all additional terms of use that Piastrix will make available to you,
including any feature designed to allow a payer with a Piastrix account to make a
payment to your Piastrix account to your online checkout/platform.

9.2. Our performance


You must treat Piastrix payment methods or brands as equal to any other payment
methods available at your points of sale, including your websites or mobile applications
where Piastrix services are integrated. This includes logo placement, location at any
point of sale and treatment in terms of payment flows, terms, conditions, restrictions,
limits and fees, in each case as compared to other brands and payment methods at
your points of sale. In addition, you must not provide any payment method or mark up
(or earlier in the payment process) from representing any Piastrix services or brands.

9.3. Taxes, information reports


Some of our fees may be subject to applicable taxes, levies, duties or similar
governmental assessments, such as value-added, sales, income, use or withholding
taxes, which may be assessed by any jurisdiction (collectively, "taxes"), and our fees are
excluded from applicable taxes unless explicitly stated. It is your responsibility to
decide which taxes, if any, apply to payments you make or receive, and you are solely
responsible for assessing, collecting, reporting and submitting the applicable taxes to
the appropriate authorities. Piastrix is not responsible for deciding whether taxes apply
to any transaction and is not responsible for the assessment, collection, reporting or
remittance of taxes arising from any transaction.

9.4. Shop's Returns and Privacy Policy


Where required by law, you must provide a refund policy as well as a privacy policy.

9.5. Shop commissions


Shop fees only apply to merchants with Piastrix business accounts. Fees vary by
country/region and may be visible on your Piastrix business account once your
application has been accepted. We have the right to change the fees that apply to future
Piastrix transactions.

9.6. Refunds, cancellations and chargebacks


If you accept payments for the sale of goods or services through the Piastrix account
payment method, you acknowledge that the payment is non-refundable and irreversible.

Piastrix may cancel and refund payments if:


➢ Our investigation into the buyer's appeal shows that the transaction was
fraudulent.
➢ Piastrix sends you funds by mistake.
➢ The payment was illegal.
➢ You have been credited for actions that violated these Terms of Use or any other
agreements between you and Piastrix.

If you have accepted a payment, you must pay Piastrix the full amount of the payment
plus any charges if the payment is subsequently invalidated for any reason. If the
customer has made a purchase in another currency, the full payment amount accepted
by you may be calculated in that currency at the time of return or reversal using the
Piastrix exchange rate at the time of reversal. If the balance in your Piastrix account is
insufficient to meet your obligation for the payment amount plus charges, your Piastrix
account will have a negative balance. Any negative balance in your Piastrix Account
means funds you owe to us and you must immediately deposit funds into your Piastrix
Account to eradicate it. If you do not follow these instructions, Piastrix may:
➢ recover any funds owed to Piastrix by collecting your Piastrix account balance;
➢ endeavour to recover such sums from you;
➢ impose a restriction or take other action with respect to your Piastrix account;

9.7. Your use of personal information


If you (as a merchant) receive personal information about another Piastrix customer,
you must keep it confidential and use it solely in connection with Piastrix services. You
may not disclose or distribute personal information about Piastrix customers to third
parties or use such information for marketing purposes unless the customer consents.
You may not send unsolicited emails to Piastrix customers or use the Piastrix Services
to collect or facilitate the sending of unsolicited emails to third parties.

To the extent that you process any personal data relating to a Piastrix customer under
these Terms of Use, you and Piastrix will be independent data controllers (and not joint
data controllers), meaning that each of us will independently determine the purposes
and means of processing such personal data. Each of us agrees to comply with all
relevant privacy and data protection laws, including any applicable rules, directives,
codes of practice and regulatory obligations applicable to data controllers in connection
with these Terms of Use. Each of us has and will adhere to our own privacy statements,
notices, policies and procedures with respect to any such personal data that we
process under these Terms of Use.

Each of us must comply with the applicable data protection regulations:


➢ Implement and maintain all appropriate security measures in relation to the
processing of personal data;
➢ keep a record of all processing activities carried out in accordance with these
Terms of Use;
➢ not knowingly or intentionally do anything, or knowingly or intentionally allow
anything to be done, that may cause the other party to breach applicable data
protection laws.

Any personal data you collect in connection with the Piastrix Services (and not
generated, collected or otherwise obtained by you as part of the customer's separate
relationship with you outside of the use of the Piastrix Services) will be used only to the
limited extent necessary and relevant to the Piastrix Services and for no other purpose
unless you have obtained the customer's prior express consent.

The parties agree that Piastrix may transfer Customer Personal Data processed in
accordance with these Terms of Use outside the country in which it was collected for
the purpose of providing Piastrix services. If Piastrix transfers Customer Personal Data
protected by these Terms of Use to a jurisdiction for which the relevant regulatory
authority of the country in which the data was collected has not made an adequacy
determination, Piastrix will apply appropriate safeguards for the transfer of Customer
Personal Data in accordance with applicable data protection laws.

9.8. Evaluating your website


If you integrate or otherwise link to Piastrix services on your website, Piastrix may use
automated technologies (such as site crawling) to evaluate your website and collect
any publicly available or accessible data to enforce these Terms of Use and combat
fraudulent or malicious activity.

With respect to these technologies, Piastrix will not collect personal information from
your customers. On occasion, we may receive personal information about you that you
publish on your websites. This personal data will be processed in accordance with the
purposes set out in this section.

10. Restrictions, blocking, freezing and other actions we may


take
10.1. Prohibited activities
In connection with the use of your Piastrix account, Piastrix services, users may not:
➢ Violate these Terms of Use or any other agreements you have with Piastrix.
➢ Violate any law, legislation, ordinance or regulation (such as those governing
financial services, consumer protection, unfair competition, discrimination or
false advertising).
➢ Infringement of copyrights, patents, trademarks, trade secrets or other
intellectual property rights of Piastrix or third parties, as well as rights of publicity
or confidentiality.
➢ Sell counterfeit goods.
➢ Act in a defamatory, commercial, threatening or harassing manner.
➢ Provide false or misleading information.
➢ Send or receive funds that we believe may be fraudulent.
➢ Engage in potentially fraudulent or questionable behaviour or transactions.
➢ Refuse to provide evidence of your identification or share any information you
provide to us for identification and verification purposes.
➢ Control an account that is linked to another account that has engaged in any of
the prohibited activities.
➢ Conduct your business or use the Piastrix Services in a manner that causes or is
likely to cause: complaints; customer requests for cancellation of payments
made to you; or fees, fines, penalties or other liability or damages to Piastrix,
other Piastrix customers or third parties;
➢ Use your Piastrix account or Piastrix services in a manner that Piastrix, or any
other electronic money transfer network, reasonably believes constitutes abuse
of the system or a violation of applicable rules.
➢ Allow a negative balance on your Piastrix account.
➢ Top up your personal account using cards belonging to third parties.
➢ Use children's bank cards ( or owned by individuals under the age of 18), as well
as business cards associated with bank accounts of individual entrepreneurs (
individuals engaged in entrepreneurial activities) or organizations.
➢ Take any action that places an unreasonable or disproportionately large load on
our websites, software, systems (including any networks and servers used to
provide any Piastrix services) operated by or on behalf of us, or Piastrix services;
facilitate any viruses, Trojan horses, malware, worms or other computer
programmes that attempt to or may damage, disrupt, corrupt, abuse, temporarily
interfere with, wrongfully intercept or expropriate.
➢ Use the software for automated behaviour. Piastrix constantly tracks the
evidence of such behaviour and identifies the relevant signs.
➢ Take any action that could result in the loss of any of our internet service
providers, payment processors or the services of other vendors or service
providers.
➢ Attempting to create new or additional Piastrix accounts while a Piastrix account
has a negative balance or has been restricted, suspended or otherwise limited;
opening new or more Piastrix accounts using information that is not your own;
(e.g. name, address).
➢ Threaten or harass our employees, agents or other users.
➢ Cause us to have a disproportionate number of claims against your Piastrix
account that have been settled in favour of the complainant.
➢ You may not disclose or share another user's information with third parties or
use such information for marketing purposes unless you have obtained prior
authorisation from the user.
➢ Send unsolicited emails to users or use Piastrix services to collect payment for
sending or helping to send unsolicited emails to third parties.
➢ Without our or any relevant third party's permission, you may not copy,
reproduce, transmit to third parties, edit, modify, create derivative works from,
publicly display or design any material from the Piastrix Websites.

10.2.Prohibited categories of business


➢ 18+ category, including licensed types.
➢ "Fast money" schemes and any fraudulent ventures.
➢ Donations, charity and crowdfunding and similar types of businesses.
➢ Medicinal products such as pharmaceuticals, vitamins, marijuana and natural or
chemical ingredients.
➢ Weapons and businesses related to the military industry.
➢ Any business that indicates direct or indirect involvement in illegal activities in
the relevant countries/regions, including but not limited to counterfeiting, theft,
fraud and criminal acts.

10.3. Actions we may take if you engage in any prohibited activity.


If we believe that you have engaged in conduct prohibited under this agreement, we
may, in our sole discretion, take a number of steps to protect Piastrix, its customers and
others.
Among the actions we are entitled to take, including, but not limited to:
➢ Terminate these Terms of Use, restrict your Piastrix account and/or cancel or
suspend your Piastrix account without consequence to us.
➢ To refuse to provide Piastrix services to you now and in the future.
➢ Restrict your access to our websites, software, systems (including any networks
and servers used to provide any Piastrix services) operated by us or on our
behalf, your Piastrix account or any Piastrix services, including the ability to pay
or transfer payments, make deposits or deductions.
➢ Freeze the amount in your Piastrix account where reasonably necessary to
protect yourself from liability to issuing banks, acquiring banks, partner payment
processors or a third party.
➢ Limit the services provided by Piastrix, including, but not limited to, limiting the
withdrawal of funds from your Piastrix account.
➢ Inform customers who have purchased products or services from you through
Piastrix, as well as other interested third parties and law enforcement agencies
of your actions.
➢ Correct any incorrect information you have provided to us.
➢ Withhold, apply or transfer funds in your Piastrix Account as required by court
judgements and orders affecting you or your Piastrix Account, including
judgements and orders issued by courts outside of Poland and addressed to
Piastrix or its affiliates.
➢ If you are a merchant (business account holder) and receive funds for
transactions that violate our policies, and such violation involves fraud or the
sale of counterfeit or otherwise infringing products, you will be liable to Piastrix
for the amount of Piastrix's losses caused by said violation, in addition to the
above measures.

If we close your Piastrix Account or terminate your use of the Piastrix Services for any of
the reasons stated above, we will notify you at least 1 week in advance by email, which
will be considered as sufficient notice. After deducting any fees, refunds, claims, charges,
expenses, penalties or other obligations to be paid by you, we will provide you with the
funds in your Piastrix account for withdrawal, unless inconsistent with Terms of Use. We
will ask you to provide us with details to transfer the funds, if the option you have chosen
is available and there are no restrictions on us.
If the requested details are not provided to us within two (2) months, Piastrix will deem
your account to be not is use (inactive) and will be entitled to apply the Commission Fee
for the maintenance of the inactive account with the funds held.

You are responsible for any refunds, claims, costs, expenses, fines, penalties, sanctions
or other liabilities incurred by Piastrix, any Piastrix customer or third party as a result of
your breach of these Terms of Use and/or use of the Piastrix Service. In the event that
such refunds, claims, charges, expenses, fines, penalties, sanctions or other liabilities
are imposed on Piastrix, the Piastrix service reserves the right to withhold such amount
of any User balance.

10.4. Holds and limits


Under certain conditions, Piastrix may take other measures for the protection and
security of the Service and Users.
Piastrix's decision on measures is based on confidential information, including third-
party sources, and on risk modelling. Piastrix continuously identifies prohibited
activities, high financial risk or behaviour that appears suspicious, contributes to the
spread of viruses or other malware.

If Piastrix identifies operations involving a high degree of risk to the protection and
security of the service, or due to the need to comply with regulatory requirements, the
provision of services to a particular User may be unilaterally suspended without further
explanation.

Unless otherwise stated, if we take any of the steps set forth below, we will notify you,
but we will retain the exclusive right to take those steps. You agree to comply with
Piastrix's reasonable requests for documentation or information in a timely manner to
implement the above steps and to allow us to assess the extent of the risk associated
with your Piastrix account.

Piastrix can take action under certain conditions at the transaction or account level.
When Piastrix temporarily freezes a payment, neither the sender nor the recipient will be
allowed access to the funds. Before imposing a hold on a payment, Piastrix considers
various variables, including account open date, transaction activity, company type,
previous customer complaints, and overall customer satisfaction.

10.5. Account Restrictions


Certain transactions with your Piastrix account may also be restricted, such as
withdrawal, transfer or receipt of funds. These restrictions are in place to keep Piastrix,
buyers and sellers safe when we identify prohibited activities, high financial risk or
behaviour that appears unusual or suspicious to us or breaches these Terms of Use.
Restrictions also help us collect the
information we need to keep your Piastrix account active. We may restrict your access
to your Piastrix account or Piastrix services and your funds for a variety of reasons,
including:

➢ If we believe someone is using your Piastrix account without your knowledge, we


will restrict it for your security and investigate fraudulent activity.
➢ In order to comply with the law.
➢ If we have reason to believe that you have violated our Terms of Use.

If we restrict access to your Piastrix account, we will notify you and give you the
opportunity to regain access if we deem it reasonable in our sole discretion.

You must provide us with the requested information/documents before the restriction
will be lifted. However, if we have a reasonable belief that a risk remains after you
provide such information, we may take action to protect Piastrix, our users, a third party
or you according to this Terms of Use.

10.6. If you did not log in to the Piastrix Account and perform transactions for more than
two years, Piastrix shall deem the Account are not in use (inactive). Piastrix has the right
to terminate the Agreement and close the Account, informing you 30 days prior to
termination, provided the Profiles and Accounts are not in use and there are no funds in
the Accounts. If the Client’s Profile and the Account(s) with funds in them remain inactive
for two years, Piastrix shall begin applying the Commission Fee for the maintenance of
the inactive account with funds held. The commission fee is calculated by 10% of the
funds on your account at the moment of charging.
The monthly Commission Fee will continue to be deducted from your Piastrix Account
until the balance is zero, whereupon your Profile and the Account(s) will be closed in
accordance with this paragraph as inactive.

10.7. Court orders, regulatory requirements or other legal processes


We may be required to take certain actions, such as withholding payments to/from your
Piastrix account, imposing a reserve or restriction on your Piastrix account, or releasing
your funds, if we are notified of a court order or other legal process affecting you, or if
we otherwise believe we are required to do so to comply with applicable law or
regulatory requirements. We will determine any action required of us in our sole
discretion. We will inform you of these actions unless a court order, applicable law,
regulatory order or other legal process dictates otherwise. We are under no obligation to
fight or appeal any court order or legal process relating to you or your Piastrix account.
When we impose a hold or restriction in response to a court order, relevant law,
regulatory mandate or other legal action, the hold or restriction may remain in effect for
as long as Piastrix believes it is reasonable to do so.

10.8. Protection against unauthorised transactions


To prevent unauthorised activity on your Piastrix account, log in to your Piastrix account
regularly and monitor your Piastrix account statement and follow the security measures
available for your Piastrix account. These include:
- Password administration
- IP address management
- 2F authorisation
- Device Administration.

10.9. What is an unauthorised transaction?


When a payment is transferred from your Piastrix account that you did not authorise
and that does not benefit you, this is called an 'unauthorised transaction'. An
unauthorised transaction occurs when someone takes your password, uses it to access
your Piastrix account and sends a payment from your Piastrix account.

10.10. Are NOT considered unauthorised transactions:


If you allow someone to access your Piastrix account (by giving them your login details)
and they use it without your knowledge or consent. You are responsible for any
transactions that occur in such a scenario.

If you believe that an unauthorised transaction has been sent from your account, there
has been unauthorised access to your account, your Piastrix login details have been lost
or stolen, or any device you have used to access your Piastrix account has been lost,
stolen or deactivated, you should contact Piastrix Support immediately.

You must provide us with any available relevant information about events relating to any
unauthorised transactions and/or misappropriation or unauthorised use of your
account and make all reasonable efforts, at Piastrix's request, to assist in the
investigation.
10.11. Mistakes correction . What exactly is a mistake?
A mistake or an error means a processing error by Piastrix or its provider where your
Piastrix account is incorrectly debited or credited, or where a transaction is incorrectly
recorded in your Piastrix account.

We will correct any errors we find, depending on the decision we make, in the following
ways:
➢ refund to your Piastrix account the difference between what you should have
received and what you actually received if you receive less than the correct
amount you were entitled to.
➢ If you receive more than the correct amount, we will debit your Piastrix account
for the difference between what you received and what you should have
received.

10.12. Are NOT mistakes:


➢ Delays resulting from Piastrix account freezes or restrictions.
➢ Delays caused by the payment verification process.
➢ Your mistakes when making a transaction (for example, incorrectly entering the
amount you are sending).

11. Our rights


11.1. We don't:
➢ Provide banking services or do not operate as a bank;
➢ Act as an escrow agent for any funds held in your account;
➢ Acting as your agent or trustee;
➢ Enter into a partnership, joint venture, employment or agency relationship with
you;
➢ We do not control and are not responsible for goods or services purchased
through Piastrix;
➢ Verify the identity of each buyer and seller;
➢ Guarantee that the person completes the transaction;
➢ Unless otherwise expressly stated in these Terms of Use, do not collect or pay
any taxes that may arise from your use of our services.

11.2. Suspension and termination of work


Piastrix reserves the right, in its sole discretion, to suspend or terminate these Terms of
Use, access to or use of its websites, software, systems (including any networks and
servers used to provide any Piastrix Services) operated by or on behalf of us, or some or
all Piastrix Services for any reason and at any time upon notice to you.

11.3. Amounts due to Piastrix


If for any reason your Piastrix account balance falls below zero, a negative balance
means you owe money to Piastrix. Piastrix may take these amounts from funds
transferred to your Piastrix account at a later date, either by you or from payments
received by you.

11.4. Your balance sheet is held together with the balances of other Piastrix users.
These amounts are kept separate from Piastrix's corporate finances and Piastrix will
not use them for operating expenses or other business purposes, nor will Piastrix make
them available to creditors in the event of bankruptcy. You will not receive any interest
or other income from your balance. You agree that Piastrix will own any interest or other
profits derived from these assets.

11.5. Waiver of claims


Failure on our part to act in response to any breach by you or others of your obligations
under these Terms of Use does not preclude us from acting in response to future or
similar breaches.

12. Disclaimer of warranties and release from liability


12.1. Disclaimer of warranty
Piastrix Services are provided "as is" and without any express, implied or statutory
representations or warranties.

Piastrix does not control the goods or services offered by sellers who use Piastrix as a
payment method and cannot guarantee that a buyer or seller will actually complete the
transaction or be admitted to the transaction. Piastrix does not guarantee uninterrupted,
uninterrupted or secure access to any part of the Piastrix Services and our websites,
software or systems operated by us or on our behalf (including any networks and
servers used to provide any Piastrix Services) may be interfered with by various factors
external to Piastrix. Piastrix will use reasonable endeavours to ensure that requests for
electronic debits and credits are processed in a timely manner; however, Piastrix makes
no representations or warranties as to the time required to complete processing, as
Piastrix services are subject to many factors beyond our control, such as delays in third
party systems.

12.2. Release of claims


You release Piastrix from all claims, demands and damages (actual and consequential)
of every kind and nature, known and unknown, arising out of or in any way connected
with disputes with other Piastrix account holders. By agreeing to this release, you
expressly disclaim any warranties that would otherwise limit the scope of this release to
only those claims that you know or believe exist in your favour at the time this release is
entered into.

13. Intellectual property


Piastrix ® trademarks "Piastrix" and any logos associated with Piastrix services are
trademarks or registered trademarks of Piastrix ® or Piastrix ® licensors, including any
websites containing the term Piastrix or a designation confusingly similar to Piastrix.
You may not reproduce, duplicate, modify or use them without the prior written
permission of Piastrix.

13.1. Granting a licence


Piastrix grants you a revocable, non-exclusive, non-sublicensable, non-transferable,
royalty-free, limited licence to access and/or use the Piastrix software in accordance
with the terms of this licence agreement. This licence covers the software and any
updates, upgrades, new versions and replacements of the software. Your rights in the
software may not be rented, leased or otherwise transferred to any third party.
Although Piastrix may (1) integrate certain third party materials and technologies into
any web application or other application, including its software, and/or (2) access and
use certain third party materials and technologies to facilitate the provision of the
Piastrix Services to you, you have not been granted any rights to such third party
materials and you retain no rights therein. You agree not to modify, alter, tamper with,
repair, copy, reproduce, adapt, distribute, display, publish, reverse engineer, translate,
disassemble, decompile or otherwise attempt to create any source code derived from
the software or any third party materials or technologies, or create derivative works
based on the software or any third party materials or technologies.

You acknowledge that all right, title and interest in and to the Piastrix software is owned
by Piastrix and any third party material included in the software is owned by Piastrix's
third party service providers. Any other third party software you use on the Piastrix
Websites is governed by the licence you have agreed with the third party service
provider. You acknowledge that Piastrix does not own, control, have no responsibility or
liability for any third party programme that you choose to use on any of our websites,
software or in conjunction with the Piastrix Services. If you use the Piastrix hosted
services and do not install Piastrix software or use third-party software applications on
the Piastrix website, this section does not apply to your use of the Piastrix hosted
services.

Piastrix does not claim ownership of the content you offer, upload, post or transmit.
Piastrix also does not claim ownership of the content you post on third-party websites
or applications that use the Piastrix services to provide payment services related to
your content. When you submit content to Piastrix or post content using the Piastrix
Services, you grant Piastrix (and the parties we work with) a non-exclusive, irrevocable,
royalty-free, transferable and worldwide licence to use your content and related
intellectual property rights and rights of publicity in any media now known or hereafter
developed to help us improve, operate, promote and develop new services. Piastrix will
not pay you for your contribution. You acknowledge that use of your content by Piastrix
will not infringe any intellectual property rights or rights of publicity. You further
acknowledge and warrant that you own or otherwise control all rights to the content you
submit, and you agree to waive your moral rights and agree not to assert them against
Piastrix. You represent and warrant that your submission of content to Piastrix, your
uploading of content using the Piastrix Services and Piastrix's use of such content
(including derivative works) in connection with the Piastrix Services does not infringe
any intellectual property rights or rights of publicity.

14. Miscellaneous

14.1. Applicable law and jurisdiction


These Terms of Use shall be governed by and construed in accordance with the laws of
Poland as such laws apply to agreements made and to be performed solely within
Poland, without regard to conflict of laws principles. You agree that any claim or
controversy you may have against Piastrix shall be resolved by a court in Poland or at
the location of the defendant, unless otherwise agreed by the parties. You agree to
irrevocably submit to the non-exclusive jurisdiction of the courts located in Poland with
respect to any claim, action or other proceeding arising out of these Terms of Use or
your use of our websites or services.

14.2. Confidentiality
Your privacy is extremely important to us. Please review our Privacy Policy to learn
more about our commitment to protecting your privacy and how we use and disclose
your information.
