Subject: Appointment as Curriculum Expert for ‘Funding and Learning Initiative for Girls in Higher Education
(FLIGHT) Programme’
We are pleased to offer you a contract to provide technical inputs and support in designing and restructuring the
existing Employability Curriculum in the implementation of the UN Women-supported project titled ‘Funding
and Learning Initiative for Girls in Higher Education (FLIGHT) Programme’ from 1st November 2022 to 30th
April 2023 on the following terms and conditions
2. Professional Fees
2.1. You will be paid professional fees of Rs. 15,000 per diem- (exclusive of GST) for this assignment
against tax invoice and a detailed day-wise log sheet with payments released on a monthly basis.
2.2 Out of pocket expenses incurred (if any) for the performance of this assignment will be
reimbursed by on actuals, as per PRADAN’s travel Rules, after receiving an expense statement in
specified format along with original expense bills.
3. Payment Schedule
3.1. Payment of professional fees would be on the basis of Invoice and day wise log sheet.
3.2. All payments are subject to deduction of tax at source as per the Income Tax (IT) rules in force
and will be made as per the account details provided.
3.3. The payment shall be released by PRADAN within 10 days of the receipt expenses statement for
reimbursement. In case PRADAN has any queries/discrepancies, the payment may be delayed.

4. Assignment
4.1 During this contractual period, no work related to this assignment will be outsourced or assigned
to any third party.
4.2 In case you are unable to perform the work, you may invoke the termination clause specifying
the reason. PRADAN in this case reserves the right to withhold the payments and may also call
upon you to refund the installment amount paid, as damages.
5. Travel
5.1. Your assignment may require travel which would incur expenditure. The said amount will be
reimbursed after your travel and on submitting the necessary bills/ invoices with a detailed
statement in prescribed format.
5.2. You will be entitled to avail the said facilities for travel / lodging:
5.2.1. Local Conveyance: On Actual for Travel from home /office to station or airport and from
Airport/ station to home, Travel in the field locations, Travel within the city for official
purpose (Intra-city travel).
5.2.2. Lodging, Boarding: as per PRADAN Rules.
5.3. The said bills / invoices will be submitted for reimbursement after your travel with a detail
statement.
5.4. You will not be entitled to claim medical expense or insurance in case of any sickness / accident
occurs during the course of this contract.
7. Termination of Contract
This contract may be terminated by either side by giving at least 15 days prior notice in writing the
other Party.
10. Amendments
No amendment, supplement, modification or clarification to this Contract shall be valid or binding
unless set forth in writing and duly executed by the Parties.
11. Jurisdiction
This contract is subject to the exclusive jurisdiction of the courts in New Delhi.
12. General
12.1. The relationship between the parties shall be principal to principal, it is clearly understood that
this is a “contract for services” and not a “contract of services” and does not create and shall not
be deemed to create any partnership, joint venture, employer-employee or a principal-agent
relationship between PRADAN and you.
12.2. You shall not be entitled to, by act, word, and deed or otherwise make any statement on behalf
of PRADAN. You are and shall always be and remain an independent entity.
12.3. You will work closely with Ms. Madhu Khetan in planning and execution of the activities under
the “FLIGHT” project

Annexure 1
On completion of one cohort of a course on Employability for young incumbent graduates situated in polytechnics,
degree colleges, and ITI s, and with the purpose of exploring a re-think on the curriculum that has been transacted,
the following Terms of Reference have been designed.
Key to the process of delivery for all the outputs listed below is an enthusiastic and mindful engagement of three
sets of enablers from PRADAN. The ToR cannot be delivered without the full support described below.
The first are the thought leaders who have envisioned the program, its need, and its final progression into wider
usefulness in time. The consultant will rely on their guidance and collaboration to deepen purpose, align to the
vision and continuously provide perspective. There may well be changes in direction, pace, and duration that may
result because of mutual conviction, beyond and in addition to the scope of this contract.
The second are the managerial, supervisory, team that the consultant will rely on to bring in regional context,
relay and adapt content, play the role of Master Trainers, content developers, team leaders, and coordinators in
the field.
The third are the facilitators of the curriculum, whose immersion in the process of iterative curriculum
development, testing, roll out, continuous peer learning, and documentation will be invaluable.
Outputs:
A Curriculum Framework:
We have agreed that curriculum experienced by the learner is a culmination of several variables of quality, many
of which are outlined in a Curriculum Framework. Hopes and preferred outcomes that have clearly not been
achieved through the current plan will have to be understood through a pedagogic lens, such that comments on
realistic goals for an enhancement exercise may be articulated. This must be done in keeping with careful
consideration of all the variables of quality that impact outcomes, that may or may not be outside the sphere of
the project’s influence.
It will result in Pradaan’s articulation of what is a ‘good enough’ course for employability, how it can be taught,
learnt, outcomes demonstrated, measured, documented, adapted across context and profiles of students. The
process will accrue in a team of 6 (including Madhu) able to articulate this process, their journey through it and
illustrate outcomes in student learning, placement and achievement in the workplace. It will result in several key
work products that can be fashioned into key documents that can be shared as widely as needed.
A Teacher Guide:
A slow, measured, systematic process of implementation will be undertaken, including: secondary research,
planning, facilitation, feedback/assessment, analysis, revision, and repeated facilitation. It will require a steady,
challenging but inspiring journey of talent support for the team. It will also require a space for the consultant to
think, bring experience to bear, experiment, discuss freely and raise issues.
One of the tools that will be created and used for this implementation will be a Teacher's Guide. The managerial
and teaching team will write this document under the guidance of the consultant.
It will include the Content of the Employability curriculum, described below.
A Trainer's Guide:
Another tool, which will once again, be written as the curriculum rolls out, is a journal for the trainer to refer to
as they guide facilitator's or Teachers to be able to strike the desired pitch, balance, content readiness, and presence
that would be ideal for the curriculum to nurture best results. Its pages will always remain an exploration of the
spectrums between what is possible in time available, solutions for glass ceilings, pedagogic fixes to ensure an
acceptable level of quality etc. The managerial team will write this document under the supervision of the
consultant.
The due diligence is needed to establish a degree of certainty that teaching one knowledge, skill or attitude and
measuring it in behaviour, will contribute to the development of a desired outcome. A Review of Research will
be conducted supervised by the managerial team and guided by the thought leaders to provide evidence-based
rationale to include or exclude outcomes and concepts to the curriculum.
Given the constraints, opportunities and challenges of the situation, careful decisions on what to include and
exclude as part of the content; and how to marry it with method will result in the content of the course. Once it is
clear what it needs to be, sourcing it from copyright free resources will be a skill that the team will learn to do
with alacrity.
Duration:
Work will be distributed over 6 months. The commitment is to spend no more than 10 days per month, to think,
reflect, interact, coach, document, create and facilitate thought.

Confidentiality
I, Pritha Ghosh , am aware that in the course of my association with PRADAN, (“the PRADAN”) will have
access to and be entrusted with information in respect of the business and finances of the PRADAN
including without limitation intellectual property, processes and product specifications, trade secrets, etc.
and relating to its dealings, transactions and affairs and likewise in relation to its cells, associate
organization, grantees or beneficiaries all of which information is or may be of a confidential nature
(“Confidential Information”).
I undertake unconditionally that I shall not, except in the proper course of performance of my duties during
the period of my engagement or as may be required by law, disclose to any person whatever or otherwise
make use of and shall use my best endeavor to prevent the publication or disclosure of any Confidential
Information of the PRADAN or any of its Cells or associate organization or any of its or Grantees,
stakeholders or beneficiaries.
I further agree and undertake that all notes, memoranda, documents, presentations, and other such
Confidential Information concerning the business of the PRADAN and its affiliate or any of its or their
Partners, Grantees, stakeholders or beneficiaries which shall be acquired, received or made by me during
the course of my engagement/association shall be the property of the PRADAN and shall be surrendered
by me to the PRADAN upon termination of my engagement or at the request of the PRADAN at any time
during the course of my engagement/association.
Without prejudice to the above, I shall at all times be under an implied duty of PRADAN and confidentiality
to the PRADAN and I undertake to follow the same. I am aware that breach of confidentiality will amount
to breach of my engagement conditions and in that event the PRADAN shall have the right, inter alia, to
seek damages or equitable relief including injunction from appropriate court of law.

Intellectual Property
I, Pritha Ghosh, am aware that I may make, discover, generate or create Intellectual Property including
without limitation copyright, patents, trademark, design, know-how, etc. (“IP”), whether registered or not,
in the course of my engagement/association with PRADAN (“the PRADAN”) and unconditionally agree
that the PRADAN shall have absolute ownership over such IP and undertake to protect such IP and use
them exclusively to further the interests and for the benefit of the PRADAN. I further undertake not to use
or disclose the IP for any purpose other than for the purposes of my engagement with the PRADAN.
I hereby irrevocably appoint the PRADAN as my attorney in my name and on my behalf to sign or execute
any such instrument or do any such thing and generally to use my name for the purpose of giving the
PRADAN or its nominee the full advantage of the covenants herein.
I am giving this undertaking out of my free will in consideration of and under the terms and conditions of
my engagement with the PRADAN and I agree that the PRADAN shall not be liable to pay me any
additional compensation for the said IP, apart from those expressly mentioned in the offer of engagement
made by the PRADAN and accepted by me.
I agree that the rights of the PRADAN and my obligations herein shall continue to be in force even after
termination/cessation of my engagement/association with the PRADAN and shall be binding upon my heirs
and legal representatives.
