ABSTRACT: The main piece of legislation governing international arbitration in Turkey is the Inte... more ABSTRACT: The main piece of legislation governing international arbitration in Turkey is the International Arbitration Law No 4686 (Turkish Arbitration Law). The Turkish Arbitration Law entered into force in 2001 and was modeled on the Model Law (1985) and the international arbitration section of the Swiss Federal Private International Law of 1987. The Turkish Arbitration Law governs arbitrations that are seated in Turkey and involve a foreign element. Even if the seat of arbitration is not Turkey, the parties can contractually subject the arbitration to the Turkish Arbitration Law, provided the dispute has a foreign element. The Turkish Code of Civil Procedure Law No 6100 (HMK) which came into effect on 1 October 2011, deals with domestic arbitrations between local parties where no foreign elements are involved. The arbitration section of HMK resolved long-standing conflicts between the Turkish Arbitration Law and the arbitration section of the now-defunct Civil Procedure Law of 1927. HMK aligned itself with both the Turkish Arbitration Law and the Model Law (1985). The arbitration section regulates domestic arbitral proceedings and the enforcement of domestic awards with a view to encouraging domestic arbitration in Turkey. In addition to the foregoing legislation, the recognition and enforcement of foreign awards is regulated separately under the Law on International Private Law and Procedure (Law No 5718). Law No 5718 entered into force in 2007 and replaced the International Private Law and Procedure No 2675 which had been in force since 1982. In spain, legislation on arbitration is enacted in the awareness of the indisputable advances attained by its precedent, Act 36/1988 of 5 December on Arbitration, in terms of the regulation and modernisation of this institution in the Spanish body of law. Since that act came into effect, arbitration has undergone considerable expansion in this country. The number and type of legal relationships, particularly contractual relationships, in which the parties conclude arbitration agreements have risen substantially. Institutional arbitration and its uniform application have been consolidated, particularly in international arbitration. An abundant corpus of legal doctrine has been generated, and the use of legal procedures to assist and supervise arbitration has been standardised. These considerations have revealed, however, that another new and substantial step forward in the regulation of the institution is in order. Building on the acquis described, Spain is in a position to join the growing community of nations that have adopted the Model Law. Moreover, in the time lapsing since its entry into effect, a number of the shortcomings of Act 36/1988 have surfaced. As can be seen, the arbitration system in these two countries are similar in some respects. In this study, these two countries arbitration procedures will examine. The provisions in art.422 of the Civil Procedure Law are important in terms of the “Kompetenz-Kompetenz” principle in Turkish arbitration. Ticari şirketlerde yapı değişikliği, birleşme, bölünme ve tür değiştirme şeklinde gerçekleşir. Söz konusu yapı değişikliği, işçilerin iş sözleşmelerine etki etmektedir. Buna ilişkin düzenleme 4857 sayılı İş Kanunu m.6’da yer almaktadır. İş sözleşmesinin yeni işverene geçişi bağlamında, işçiye tanınan bir hak olarak “itiraz hakkı” düzenlenmiştir. Buna ilişkin düzenleme ise TTK. m.178’de yer almaktadır. Çalışmamızda, ticari şirketlerin yapı değişikliğine bağlı olarak işçinin itiraz hakkı irdelenecektir. ABSTRACT: Commercial companies may undergo a change of structure in accordance with the provisions of the Turkish Commercial Code (Law No.6102). Structure amendment in trading companies takes place in the form of merger, division and type change. This structural change a affects workers’s employment contracts. The provision related to this issue is included in the Labor Act (Law No.4857) article 6. The worker has a “right of appeal”. The provision related to this issue is included in the TTK. art.6. In our work, the rights of the workers to appeal will be examined depending on the structure change of the commercial companies. Dürüst davranma ödevi altında bulunan hak sahibi bu yükümlülüğe aykırı davranırsa sahip olduğu hakkı kötüye kullanmış olacaktır. Genel itibariyle özel hukuk ilişkilerinde başvurulan bir kural görünümü sergilese de aslında dürüstlük kuralı kamu hukukunda rastladığımız birçok kurumun da çıkış noktasıdır. Şu haliyle dürüstlük kuralı özel hukuk alanında zaten hemen her noktada gözetmemiz gereken bir kuraldır. Bu tür mağdur üzerinde küçültücü etkileri olan davranışlar; iş yerlerinde işçiye karşı işveren, işveren vekili veya işçi/işçiler tarafından yapılmaktadır. Mobbingin psikolojik, sosyal, kültürel boyutunun yanında özellikle hukuksal boyutu çok önem arz etmektedir. Mobbing bu yönüyle farklı disiplinlerin inceleme konusu olmuştur. Çalışmamızda mobbing konsepti tanımlandıktan sonra, 6098 sayılı Türk Borçlar Kanunu, 4857 sayılı İş Kanunu ve 6331 sayılı İş Sağlığı ve Güvenliği Kanunu ve diğer hukuki düzenlemeler çerçevesinde irdelenecektir. The purpose of the bankruptcy institution is to pay for the debts and to take precautions against the risks that may arise in economic and commercial life due to fraudulent acts of the bankrupt. Legal arrangements exist to ensure that the person in fraudulent acts will be entitled to loss of rights. In this scope; the provisions of the Execution and Bankruptcy Law No. 2004 art.162 and Turkish Penal Code No. 5237 art.310 are important. The prudent merchant does not provide the necessary negligence and attention and give a ruling of "bankruptcy decision" constitutes a negligent bankruptcy crimes. In this scope, the elements of “negligent bankruptcy crimes” will be included. Different opinions will be stated in this doctrine. As a result, opinions and suggestions will be reported.

The purpose of the bankruptcy institution is to pay for the debts and to take precautions against the risks that may arise in economic and commercial life due to fraudulent acts of the bankrupt. Legal arrangements exist to ensure that the person in fraudulent acts will be entitled to loss of rights. In this scope; the provisions of the Execution and Bankruptcy Law No. 2004 art.162 and Turkish Penal Code No. 5237 art.310 are important. The prudent merchant does not provide the necessary negligence and attention and give a ruling of "bankruptcy decision" constitutes a negligent bankruptcy crimes. In this scope, the elements of “negligent bankruptcy crimes” will be included. Different opinions will be stated in this doctrine. As a result, opinions and suggestions will be reported.

The main piece of legislation governing international arbitration in Turkey is the Inte... more ABSTRACT: The main piece of legislation governing international arbitration in Turkey is the International Arbitration Law No 4686 (Turkish Arbitration Law). The Turkish Arbitration Law entered into force in 2001 and was modeled on the Model Law (1985) and the international arbitration section of the Swiss Federal Private International Law of 1987. The Turkish Arbitration Law governs arbitrations that are seated in Turkey and involve a foreign element. Even if the seat of arbitration is not Turkey, the parties can contractually subject the arbitration to the Turkish Arbitration Law, provided the dispute has a foreign element. The Turkish Code of Civil Procedure Law No 6100 (HMK) which came into effect on 1 October 2011, deals with domestic arbitrations between local parties where no foreign elements are involved. The arbitration section of HMK resolved long-standing conflicts between the Turkish Arbitration Law and the arbitration section of the now-defunct Civil Procedure Law of 1927. HMK aligned itself with both the Turkish Arbitration Law and the Model Law (1985). The arbitration section regulates domestic arbitral proceedings and the enforcement of domestic awards with a view to encouraging domestic arbitration in Turkey. In addition to the foregoing legislation, the recognition and enforcement of foreign awards is regulated separately under the Law on International Private Law and Procedure (Law No 5718). Law No 5718 entered into force in 2007 and replaced the International Private Law and Procedure No 2675 which had been in force since 1982. In spain, legislation on arbitration is enacted in the awareness of the indisputable advances attained by its precedent, Act 36/1988 of 5 December on Arbitration, in terms of the regulation and modernisation of this institution in the Spanish body of law. Since that act came into effect, arbitration has undergone considerable expansion in this country. The number and type of legal relationships, particularly contractual relationships, in which the parties conclude arbitration agreements have risen substantially. Institutional arbitration and its uniform application have been consolidated, particularly in international arbitration. An abundant corpus of legal doctrine has been generated, and the use of legal procedures to assist and supervise arbitration has been standardised. These considerations have revealed, however, that another new and substantial step forward in the regulation of the institution is in order. Building on the acquis described, Spain is in a position to join the growing community of nations that have adopted the Model Law. Moreover, in the time lapsing since its entry into effect, a number of the shortcomings of Act 36/1988 have surfaced. As can be seen, the arbitration system in these two countries are similar in some respects. In this study, these two countries arbitration procedures will examine. Provisions relating to arbitration in the Civil Procedure Law shall apply in respect of the disputes set forth by Turkey as an arbitration place and not having foreign elements in the meaning defined by the International
Arbitration Law No.4686. The provisions in art.422 of the Civil Procedure Law are important in terms of the “Kompetenz-Kompetenz” principle in Turkish arbitration. In addition, the examination of comparative examples of the “Kompetenz-Kompetenz” principle will contribute to national arrangements.

Ticari şirketler, 6102 sayılı Türk Ticaret Kanunu hükümlerine uygun olarak yapı değişikliğine gidebilir. Ticari şirketlerde yapı değişikliği, birleşme, bölünme ve tür değiştirme şeklinde gerçekleşir. Söz konusu yapı değişikliği, işçilerin iş sözleşmelerine etki etmektedir. Buna ilişkin düzenleme 4857 sayılı İş Kanunu m.6’da yer almaktadır. İş sözleşmesinin yeni işverene geçişi bağlamında, işçiye tanınan bir hak olarak “itiraz hakkı” düzenlenmiştir. Buna ilişkin düzenleme ise TTK. m.178’de yer almaktadır. Çalışmamızda, ticari şirketlerin yapı değişikliğine bağlı olarak işçinin itiraz hakkı irdelenecektir. Söz konusu husus, 6102 sayılı Türk Ticaret Kanunu ve 4857 sayılı İş Kanunu çerçevesinde irdelenecektir.

ABSTRACT:
Commercial companies may undergo a change of structure in accordance with the provisions of the Turkish Commercial Code (Law No.6102). Structure amendment in trading companies takes place in the form of merger, division and type change. This structural change a affects workers’s employment contracts. The provision related to this issue is included in the Labor Act (Law No.4857) article 6. The worker has a “right of appeal”. The provision related to this issue is included in the TTK. art.6. In our work, the rights of the workers to appeal will be examined depending on the structure change of the commercial companies. This issue will be examined under the Turkish Commercial Act (Code No.6102) and the Labour Act (Code No. 4857).

Niteliği itibariyle bir norm olarak düzenlenmesi gerekmeyen dürüstlük kuralları toplumun değer algılarına göre tayin edilir ve geneldir. Dürüst davranma ödevi altında bulunan hak sahibi bu yükümlülüğe aykırı davranırsa sahip olduğu hakkı kötüye kullanmış olacaktır. Genel itibariyle özel hukuk ilişkilerinde başvurulan bir kural görünümü sergilese de aslında dürüstlük kuralı kamu hukukunda rastladığımız birçok kurumun da çıkış noktasıdır. Şu haliyle dürüstlük kuralı özel hukuk alanında zaten hemen her noktada gözetmemiz gereken bir kuraldır. Bununla beraber kamu hukuku sahasında yer alan fakat temeli dürüstlük kuralı olan kurumların tespiti de elzemdir. Böylece adeta bir tasavvur olan bu kurumlar sağlam bir temele oturtulmuş olacaktır.

Bu tür mağdur üzerinde küçültücü etkileri olan davranışlar; iş yerlerinde işçiye karşı işveren, işveren vekili veya işçi/işçiler tarafından yapılmaktadır. Mobbingin psikolojik, sosyal, kültürel boyutunun yanında özellikle hukuksal boyutu çok önem arz etmektedir. Mobbing bu yönüyle farklı disiplinlerin inceleme konusu olmuştur. Çalışmamızda mobbing konsepti tanımlandıktan sonra, 6098 sayılı Türk Borçlar Kanunu, 4857 sayılı İş Kanunu ve 6331 sayılı İş Sağlığı ve Güvenliği Kanunu ve diğer hukuki düzenlemeler çerçevesinde irdelenecektir. Ayrıca ispat hukukunda mobbing Yargıtay kararları ışığında incelenecektir.

Since that act came into effect, arbitration has undergone considerable expansion in this country. The number and type of legal relationships, particularly contractual relationships, in which the parties conclude arbitration agreements have risen substantially. Institutional arbitration and its uniform application have been consolidated, particularly in international arbitration. An abundant corpus of legal doctrine has been generated, and the use of legal procedures to assist and supervise arbitration has been standardised.
These considerations have revealed, however, that another new and substantial step forward in the regulation of the institution is in order. Building on the acquis described, Spain is in a position to join the growing community of nations that have adopted the Model Law. Moreover, in the time lapsing since its entry into effect, a number of the shortcomings of Act 36/1988 have surfaced.
As can be seen, the arbitration system in these two countries are similar in some respects. In this study, these two countries arbitration procedures will examine.
