The discrepancy and mixed opinions in the literature on the relationship between audit committee ... more The discrepancy and mixed opinions in the literature on the relationship between audit committee characteristics and financial reporting quality makes the direction of their relationship ambiguous. This study investigated the relationship between audit committee characteristics and financial reporting quality of listed deposit money banks in Nigeria with a moderating effect of Whistle Blowing Policy (WBP). The study covered the period of ten years from 2011 to 2020. Data for the study were extracted from the annual reports and accounts of the sampled banks listed on the floor of the Nigeria Stock Exchange. After running the OLS regression, a robustness test was conducted for validity of statistical inferences. The dependent variable was generated using two steps regression in order to determine the loan loss provision of the sampled listed deposit money banks. A multiple regression was employed using panel corrected standard error (PCSE). The study documents that audit committee characteristics and whistle blowing policy have significant impact on financial reporting quality of the banks. Specifically, the results from the analysis without the moderator (whistle blowing policy) revealed a positive and significant association between audit committee independence and financial reporting quality of the sampled banks, audit committee financial expertise and whistle blowing policy are negatively and significantly related to financial reporting quality. While, audit committee meetings showed an inverse correlation with financial reporting quality of listed deposit money banks in Nigeria. After the introduction of the moderator variable, the results revealed that the interaction between WBP and audit committee financial expertise and financial reporting quality of listed deposit money banks in Nigeria has a negative but significant association. The interaction between whistle blowing policy with audit committee meetings, audit committee independence and financial reporting quality of listed deposit money banks in Nigeria showed a positive but insignificant relationship. In line with the findings, the study recommended that regulatory bodies like FRCN, CAC, and SEC should ensure that number of financial experts are increased in the audit committee, independence member with specific industrial experience should be emphasized in the committee, also listed deposit money banks in Nigeria should strictly adhere to the code of best practice so that the interest of various stakeholders would be fully protected and Nigeria should ensure full implementation of the law that will protect whistle blower from any form of victimization.

In order to achieve the above stated objectives, this study employed a correlational research design to analyze data from 20 listed consumer goods firms in Nigerian Exchange Group (NGX) for the period of twelve (12) years (2011-2022) both years all-encompassing. Also, stakeholder's theory was used to underpin this study. The logistic regression result revealed that finance, risk, and audit committees have a statistically positive significant association with sustainability reporting of listed consumer goods firms in Nigeria. While on the other hand, remuneration committee documented a positive but insignificant correlation with sustainability reporting of listed consumer goods firms in Nigeria. This study calls for more studies on corporate governance committees and sustainability reporting in another domain other than the consumer goods firms.

The purpose of this work is to examine the interaction of members of the board with financial kno... more The purpose of this work is to examine the interaction of members of the board with financial knowledge on the association among capital structure with firm financial performance in the Nigeria DMBs. Empirical studies were reviewed to scrutinize the upshot of capital structure in connection to the performance of firms. As the result of the foregoing, this study introduces board financial literacy as a moderator variable to interact between capital structure with performance of firms. A correlational design was adopted. Population and sample size of the study consists of 13 listed DMBs on the floor of Nigeria Stock Exchange for the period 2012 to 2021. Fixed effects regression model was employed to analyse the data of the study. Diagnostic test was conducted to confirm the validity of the statistical inferences of the study. The result shows that BFL moderated the correlation involving DEFR with financial performance. Also, the result found that EFR and DEFR were not significant to the firm financial performance of DMBs in Nigeria. This work recommends that board members with financial literacy should come up with effective policy towards encouraging debt financing in their entities by effective supervision so as to enhance the overall firms’ financial performance as well as safeguarding shareholders interest. Research in future should replicate this topic in a domain other than DMBs.

Recent high-profile company cases around the world have heightened interest in how external audit... more Recent high-profile company cases around the world have heightened interest in how external auditors may improve whistleblower policies. However, the audit committee, board of directors, CEO, and ownership structure have been the main focus of the majority of the studies about reducing earnings management. Since this shift has occurred, the goal of this research is to examine how external auditors can improve whistleblower policy. The study used a correlational research design to evaluate data from 41 listed financial institutions in Nigeria for a period of 13 years (2009-2021), both years inclusive, in order to look into the relationship between the characteristics of the external auditors and whistle blowing policy. The outcome of the logistic regression analysis showed that the auditors' viewpoint, independence, and quality looked to be favorably connected with the whistle blowing policy. This study examines how the characteristics of external auditors influenced the whistleblowing policy procedure. Investors, regulators, and analysts should be interested in this paper's findings on the long-term strategic consequences of whistle blowing policies. As with most empirical studies, the model, methodology, variables, time frame, and companies studied in the paper all serve as restrictions. Other industries could be added to the sector, and additional auditor characteristics that were not covered in this study could be discovered through future research.

revealed that petroleum profit tax, custom and excise duty, value added tax and education tax has a statistically positive and significant effect on gross domestic product (economic growth) in Nigeria. It also reveals that company income tax has a negative and significant effect on gross
domestic product (economic growth) in Nigeria. Based on these findings, the inquiry suggests that seminars, trainings, periodic sensitizations and workshops should be organized by the relevant tax agencies to the general public in Nigeria and corporate entities on the importance
and significant benefits of tax revenue to the nation. The tax authorities should also venture to support companies to pay tax in other to enhance the growth of Nigerian economy.

This study investigated the moderating effect of risk committee presence on the nexus between CEO... more This study investigated the moderating effect of risk committee presence on the nexus between CEO characteristics and dividend policy of listed companies in Nigerian. 156 listed companies on the Nigerian Exchange Group (NXG) and whose financial data are available on the floor from 2012-2021 comprised the population of the study. Purposive sampling was used to arrive at 134 companies, which make up the sample size of this study. Fixed effects regression technique was used for data analysis. According to the findings of the direct model, COE tenure, turnover, risk committee presence and audit committee independence all contribute significantly to dividend policy; while whistle blowing policy and board size had statistically insignificant contribution to dividend policy. The study also found that risk committee presence moderate on the relationship between CEO duality and dividend policy of listed companies in Nigeria. Also, risk committee presence establishes the fact that during their longer tenure, CEOs shift focus on consolidating their powers, and failed to grow the firms surveyed. In terms of policies, CEO tenure, duality and turnover should be strengthened. Finally, the Nigeria's regulatory authorities should ensure stringent compliance with best practice by establishing risk committees. Regulatory authorities should also implement policies on whistle blowing in order to prevent any form of undue punishment.

Empirical studies were reviewed to scrutinize the outcome of corporate attributes in connection to firm performance. As the result of the foregoing, this study introduces board independence as a moderator variable to interact between corporate attributes with firm performance of listed financial institutions in Nigeria. A correlational design was adopted. Population of this study consists of 50 listed financial institutions. While, the sample size of this study are 41 listed financial institutions on the floor of Nigeria Exchange Group (NGX) for the period ten years (2012-2021). Fixed effects regression model was employed to analyze the data of the study. Diagnostic test was conducted to confirm the validity of the statistical inferences of the study. The result shows that board independence moderated the correlation involving foreign ownership with financial performance of listed financial institutions in Nigeria. Also, the result found that institutional ownership is significantly correlated with the financial performance of listed financial institutions in Nigeria. This work recommends that non-executive should encourage concentration as it comes along with foreign technologies and ideas into the emerging markets. Research in future should replicate this topic in a domain other than financial institutions.

Literatures in relation with corporate governance mechanisms, earnings quality and firm age were reviewed to ascertain the level of their relationship. Again, this study introduces a moderator variable firm age to interact between corporate governance mechanisms and earnings quality of the conglomerates firms in Nigeria. The data of the study were extracted from the annual audited statements of the conglomerate firms in Nigeria. The period of study covers 8 years (2014-2021). Multiple regression analysis was adopted to run the regress of the study. The direct relationship model documented that women directors and firm age has a significant effect to earnings quality while independent directors and foreign directed demonstrated an insignificant influence with earnings quality of conglomerates in Nigeria. Whereas, the moderated model was able to interact the relationship between women directors with earnings quality of conglomerates firms in Nigeria. Also, firm age establishes the fact that foreign directors contribute significantly towards monitoring and effective supervision of irregular practices by the managers of the conglomerates in Nigeria. To this end, this work suggests that the non-executive directors should be well experienced and independent in making corporate decisions. It will be of importance that future studies incorporate more corporate governance variables in this domain. Lastly, findings and recommendations is only applicable to the conglomerates firms in Nigeria.

There is limited evidence about the association between audit committee (AC) characteristics and ... more There is limited evidence about the association between audit committee (AC) characteristics and effective whistleblowing policy. In light of the above, this study explores the relationship between AC and the effective whistle-blowing policy in Nigerian Banks. The study uses a period of ten years (2009 to 2019). It employs a logistic regression technique in the analysis. Data for the study were found from the listed banks’ yearly reports. The results revealed that firms that have AC composed of independent directors, have more financial experts, and meet regularly are more likely to have an effective whistleblowing policy. Moreover, a larger AC is associated with a weak whistleblowing policy. Therefore, it is recommended that regulators such as the Security and Exchange Commission (SEC) and the Nigerian Central Bank (CBN) should ensure stringent compliance of their codes of corporate governance on AC composition as both of them recommend the existence of autonomous directors and fin...
