With the introduction of ULIPs, Unit linked insurance plans (ULIPs) are pitched as an investment product rather than as a risk shield and it is the unit holder who bears the risk of market swings in these products. While insurance companies pitch ULIPs as a product for the long term, there is considerable miss-selling of ULIPs in today's market scenario and many investors’ sign up for ULIPs without really understanding their risks.

The global discussion has now tended increasingly in favor of ethics in all spheres of society and business Perce lance, not forgetting family and personal life. An attempt has been made in this article to find out a model that would ensure ethical corporate behavior? Further, an effort has been made to traces the efforts of Government across the world, in setting up of the Cadbury Committee (UK), The Tread way Commission (US), the King Committee (South Africa) and the National Task Force on Corporate Governance (India) from the past 15 years to ensure Corporate Governance. But the latest development in the 90s in the field of accounting and reporting standards, the composition and functioning of boards, the supervision and regulatory framework and the smooth and efficiency of the capital markets has proved that to a certain extent a consolidated Approach is in place to ensure that business firms conducted their activities with the purpose of maximization of shareholder value without defeating the other stakeholder's interest. But owing to some of the major financial crises that took place around the world in 1997 with respect to Enron and in 2001 the East Asian Countries, again raises doubt among the business circles that the thirst for an ideal model on corporate governance is like the search for the philosophers' stone that would change base metal into gold. The paper provides some of the steps to be followed in tackling the ethical issues. The article concludes with a remark that in India even with the best of best guidelines are set up for Corporate Governance, unless the atmosphere of corruption, unethical dealing, bribery are not kept under strict vigilance, there is little hope for major improvement in the behavior of the corporate sector. And again question raises does ethics and corporate governance has any relevance in corporate world?

We examined board characteristics such as the size of the board, Independence, Duality, Gender, Education, Nationality, Board Meeting, Age as the independent variables and leverage, size of the firm, age of the firm as control variables. Financial performance is measured in terms of Return on Assets. The study used 45 CNX Nifty listed companies for a period of 2010 to 2017. In all eleven hypotheses were posit. Using the GLS Random effect regression model. The study found a negative and insignificant relationship between the size of the board, Independent directors, Duality, board meeting, Gender, Nationality and Return on Assets. Whereas, board age, education had a positive, insignificant relationship with Return on Assets. But with regard to the size of the firm, leverage, there exists a negative and significant relationship with Return on Asset. The age of the firm also found to have a negative relationship with return on assets but statistically not significant. The research paper concludes stating that most of the firms under study are family owned and are highly controlled by promoter groups, most of the policy guidelines on corporate governance are either followed as a checklist or as a rule of thumb. Hence board characteristics are not influencing the financial performance.
