Esta postura se ampara en que la condición resolutoria tácita contiene la expresión ‘con indemnización de perjuicios’ lo que convierte a esta acción en accesoria y dependiente.
El presente trabajo tiene por objeto demostrar lo contrario. Se trata de una apología por la autonomía de la indemnización de perjuicios por incumplimiento de un contrato bilateral. Tras un análisis detenido del problema jurídico, se recurre a la interpretación gramatical de que el sentido del ‘con indemnización de perjuicios’ no es otro que recordar su posible acumulación al cumplimiento o resolución del contrato. La norma únicamente lo permite, pero ciertamente no lo impone. Toda vez que por la mera interpretación gramatical no es posible comprender el verdadero sentido del Art. 1505, recurrimos a la interpretación histórica, lógica y sistemática. Un estudio de los distintos Proyectos de Bello, el Code como antecedente directo de la norma, los múltiples casos en que el Código Civil y el ordenamiento jurídico ecuatoriano permiten la autonomía indemnizatoria, revelan que el sentido del Art. 1505 es únicamente permitir su acumulación.
