THE BREACHING OF THIS CONTRACT MAY RESULT IN SERIOUS LEGAL
CONSEQUENCES
THIS AGREEMENT made and entered into on the ***INSERT DATE OF PURCHASE
*** serves as an international legally binding contract by and between Tinotenda
McZEE Machida (herein after referred to as "Producer"), and CLIENT_NAME (The
Purchaser and affiliated individuals) (hereinafter referred to as "Client"), relating to
the sale of purchased BEAT_NAME (INSTRUMENTAL),(herein after referred to as
"Recordings" or Instrumental), also The final product which is to be distributed by
the CLIENT is referred to as the (Master Recording) FOR, AND IN
CONSIDERATION OF, the premises and the mutual covenants contained herein.
Producer and Client do agree on the grant of the non exclusive rights to the
client of the purchased instrumental/s and hereby both agree as follows:
LICENSE AGREEMENT RIGHTS GRANTED TO THE BUYER :
1. Master Recording
The Producer hereby grants the Client the right to record vocal and/or instrumental
synchronization to any or all parts of the instrumental. The client understands that
their non exclusive usage of the purchased instrumental is limited to only one new
composition and if the Client wishes to use the Instrumental in other new
compositions (remixes etc), then the Client must obtain another license to use the
Instrumental from the Producer.
2.Editing and Manipulation

The Client also agrees to refrain from editing the instrumental that is being licensed in
this agreement, by changing the arrangement of the Instrumental or by removing any
melodies, instruments, drum programming or sounds that are contained within the
Instrumental.
3.General Distribution & Profitable Distribution
(a)CLIENT_NAME (client) is limited to distributing one (1) version of the Master

Recording for profitable use. The Licensee is limited to a distribution of two thousand
(2000) copies of the Master Recording and not any more than that, which can be
distributed on any kind of recording media including, but not limited to: compact
discs, DVD s, VHS videos, and all other forms of media. With one year from date
leased beat was purchased to distribute until having to renew lease agreement.
(b)Under no circumstances what so ever can the client re-sale the instrumental to
another client or affiliate.
(c) The purchased instrumental/s are for the sole use of the client alone. The client
may not distribute the instrumental/s as it is without additional recordings or vocals
added on to it whether for free or for profit.
4.Ownership
The Producer maintains 100% full rights (copyright and ownership) of the
instrumental, and can continue to sell it non exclusively and/or exclusively. The client,
NAME has neither the right nor authority to sell or license the rights to the
Instrumental whether in whole or part to any other party. In the event another
individual purchases exclusive rights to your licensed Instrumental you will retain
your non - exclusive rights under the limitations listed in this agreement and until
these terms have been fulfilled.
5.Credit/ Production Homage and Tagging.

The client must give full production credit to the Producer Tinotenda Machida under
the moniker "Zayne McZEE" or (McZee) for any and all distributed material. This
can be done verbally (through recorded vocals on the Master Recording) but must be
written in or on the CD booklet or outside cover and on the track tittle as (Prod. By
McZee/Produced By McZee) if the master is to be distributed online.
Failure to do this might cause withdrawal of all rights given to the CLIENT and a
possible lawsuit.
6.Vocal Tag/ Vocal Signature/ Signature Sounds

The Producer reserves the right to keep an audio signature at the beginning, in
between and at the end of all non -exclusive instrumentals. These must never be
removed nor tempered with in the attempt to make them in-audible nor unrecognizable
7.Agreement and Compliance

By purchasing or downloading the instrumental/s BEAT_NAME/s you automatically
agree to comply with the terms stated above. You also agree to face all consequences
which may follow in breaching this contract and therefore gain non -exclusive rights to
the Instrumental/s that have been purchased.
