DEED OF SALE OF CONDOMINIUM UNIT

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and executed this 28th Day of January, 2016, by:

MIGUEL T. CAPONONG, single, Filipino, of legal age,


with residence and postal address at 123, Sta. Ana, Manila,
hereinafter referred to as the VENDOR,

IN FAVOR OF:

ANGELO MIGUEL LOPEZ, single, Filipino, of legal


age, with residence and postal address at 1A Apricot St.,
Cainta, Rizal, hereinafter referred to as the VENDEE,

W I T N E S S E T H : THAT.

WHEREAS, VENDOR is the legal and registered owner of AIC


Burgundy Empire Tower Unit No. 1103 located Ortigas Avenue, Pasig,
Philippines, containing a floor area of ONE HUNDRED EIGHT FIVE
(185) SQUARE METERS, more or less, and one (1) assigned parking slots
known as 68 Basement 6 covered by Condominium Certificate of Title
No. 12345 of the Registry of Deeds of Pasig City, photocopy of which is
hereto attached and made an integral part hereof as Annex “B”;

WHEREAS, the AIC Burgundy Empire Tower Condominium


Corporation was duly organized in accordance with law for purpose of
holding title to all common areas of the AIC Burgundy Empire Tower
Condominium, including the land, and is in charge of managing and
administering the AIC Burgundy Empire Tower Condominium;

WHEREAS, VENDEE offered to buy and the VENDOR agreed to


sell the said condominium unit as well as any and all rights and interest
appertaining thereto under the Master Deed with Declaration of
Restriction (the “Master Deed”), as amended, the Articles of
Incorporation and the By-Laws of the Condominium Corporation;

NOW, THEREFORE, for and in consideration of the foregoing


premises and subject to the terms and conditions herein set forth, the
VENDEE buys and the VENDOR sells, transfers and conveys, by way of
absolute sale, unto the VENDEE, her successors and assigns, the said
condominium unit as well as any all rights and interest appertaining
thereto under the Master Deed, as amended, the Articles of
Incorporation and By-Laws of the Condominium Corporation.

1. The purchase price for the said condominium unit and one
(1) assigned parking slots shall be FIVE MILLION PHILIPPINE PESOS
(P 5,000,000.00), receipt of which in full is hereby acknowledged by the
VENDOR.

2. VENDOR warrants that the title to the said condominium


unit is free and clear of any and all liens and encumbrances, except the
restrictions contained in the Master Deed, as amended, as annotated and
inscribed at the back of Condominium Certificate of Title No. 12345.

3. VENDEE accepts and binds herself to all conditions and


restrictions embodied in the Mater Deed, as amended, the Articles of
Incorporation and By-Laws of the Condominium Corporation, and
agrees to faithfully observe and comply with the House Rules and
Regulations of the Condominium Corporation and any amendment or
supplement thereto.

4. The capital gains tax, documentary stamps tax, value-added


tax (VAT), if any, broker’s commission, registration fee, legal and
notarial fee and other incidental expenses in the registration of the sale
and title transfer shall be for the account of the VENDEE.

IN WITNESS WHEREOF, the parties hereto have hereunto set their


hands on the date and at the place herein first above-written.

ACKNOWLEDGEMENT

MIGUEL T. CAPONONG, with CTC NO. 6969696969 Issued at Quezon
City, on December 15, 1996, known to me to be the same person who
executed the foregoing instrument, and he acknowledged to me that the
