Section 4. Steel Work Finish
4.1 Primary Steel
 All primary steel members will be painted with two coats of total thickness 100 microns as below:

- One Coat of 40 microns thickness of Red oxide alkyd paint

- One Coat of 60 microns thickness of Zinc phosphate alkyd paint with Ral#7039

4.2 Secondary Steel

 All secondary steel members will be Pre-galvanized

Section 5 : Standard Supplied Items

The following are normally supplied unless mentioned otherwise:

1. Hot dip galvanized anchor bolts for rigid frames, end wall posts & framed wall openings
2. Eave gutters & downspouts on sidewalls or curved eaves at sidewalls with projection.
3. All necessary flashing & trims
4. Foam closures
5. Bead mastic for panel end-lap
6. Connection bolts
7. Sheeting fasteners

Section 6 : Supply Delivery Period

6.1 Our current Delivery Period is 8 weeks from the latest date of receipt and acceptance of the following in Cairo –
Arab Republic of Egypt:
 Signed contract (Any change must be noted and initialed by both parties)
 Down payment
 Final change order
 Acceptable letter of credit/Final accepted L/C amendment, incase the balance payment is by Letter of Credit
 Signed final "Approved as Noted" or Approved as Is’ Approval Drawings

6.2 Please allow a minimum of 3 weeks for Approval Drawings submittal, if the aproval drawings are required by
customer.

6.3 Customer must return approval drawings to Zamil Structural Head Office within 2 weeks of receipt. Any delay in the
return of the approval drawings back to Zamil Structural may result in a change to our delivery commitment.

6.4 Incase the approval drawings aren’t essential, the technical offer incorporated with this contract must be thoroughly
checked by customer or his technical staff along with the preliminary proposal drawings (if any). Signing the contract, in
this case, will entitle Zamil Structural to proceed with engineering/fabrication works on this project without the need to
any further confirmation from customer or his technical staff.

Section 7: Delivering, Unloading and Storage at Project Site
7.1 The customer, or his contractor is responsible for unloading the delivered Zamil Structural materials at the project site..

7.2 All expenses incurred inside the country of import, including but not limited to customs duties, taxes, clearance fees
and demurrage charges due to delays in returning the containers to the shipping lines, is the responsibility of the buyer.

7.3 Materials should be thoroughly checked after unloading. Zamil Structural should be notified in writing of any
shortages or damages within four weeks from the delivery date.

7.4 Care, storage and protection of the materials at the site is the responsibility of the customer, or his contractor..

7.5 Red oxide and grey aluminum oxide primer paints are meant to protect the steel during transportation and for a short
storage period at site (not to exceed two weeks). Zamil Structural is not responsible for any signs of rust that might
appear on the steel due to improper storage or long storage periods at site.

7.6 Incase of C&F offer, this includes the freight charges from any Egyptian Port to the target Port only. It doesn't include
any of the below mentioned items which should by handled by the customer:-

* Clearance & handling charges at the target Port.

* Inland Transportation of the containers to and from the project site.
* Local taxes & customs duties if any.
* Insurance from port to project site.
* Erection price.

Section 8 : Proposal Validity

8.1 This proposal is valid for 07 days from the above noted date. Any extension of validity by Zamil Structural must be
in writing.

8.2 If the job (project) is not “Released for Production” within TWO months from the date of entering this order at
Zamil Structural Head Office, it will be subject to delivery change and price change in accordance with the
prevailing delivery schedules and prices at the end of the above noted period.

“Released for Production” means that the Approval Drawings have been returned by the buyer “Approved as
Noted” or “Approved as Is”, the agreed upon payment terms, as per Section 12, have been fulfilled by the buyer
and the job has been released for final engineering production and fabrication at Zamil Structural.

8.3 That portion of this order that is not released for production as per section 8.2 and not shipped within the maximum
committed delivery period in section 6.1 of this proposal will be subject to a price change in accordance with the
prevailing prices posted at the end of the above noted time period. However, if that portion is not shipped due to
reasons by Zamil Structural, no price implication will be applied

Section 9: Changes/Revisions
Any change and/or revision to the above stated scope of supply may lead to a variation in the price and the delivery
period. A change must not hold payment for work completed in the original contract.

Section 12: Payment Terms
. 12.1 Supply CFR PORTSUDAN PORT, Sea Shipment Mode
Down payment of 30% of the total contract value is to be paid upon signing this contract by direct telex transfer to Zamil
Structural Account mentioned in clause - 12.2. The balance payment is to be paid after completion fabrication and
readiness for shipping, herein under is the list of the shipping documents which will be forwarded to customer after
receiving the balance payment:

 Commercial invoice.
 Packing list.
 Bill of lading.
 Certificate of origin, in either English or Arabic.

Other terms:
a. Partial shipment must be allowed.
b. Transshipment must be allowed.

Section 13 : Assumptions, Deviations & Exclusions

13.1 Both parties agreed that the price quoted in this quotation is based on a lump sum basis calculated according to the
building descriptions as well as the required loading and codes shown above and not as a re-measurable basis. Hence,
the project weight given at the quotation stage is only indicative and no claim will be entertained in case of a reduction
or addition in the building weight after the final design or the shipment. However, should there be any revision to the
scope of the work after signing of the contract which may result in an increase or decrease in the contract value, then it
is subject for a ‘contract change order’ as per Section 9 (amendment to the contract value) reciprocally agreed by
Zamil Structural & the customer.

Section 14 : Governing Law & Dispute Resolution

14.1 This Agreement shall be governed by, and construed in accordance with the Laws of the Arab Republic of Egypt.
14.2 Any dispute arising hereunder or from or in connection herewith shall be resolved amicably by discussion between
the parties hereto, failing which the parties shall submit the matter in dispute to be finally settled pursuant to the
Egyptian Arbitration Regulations. The arbitration shall take place in Cairo, Arab Republic of Egypt.

HAND, located in Lebanon and represented by Mr. Hassabo A. Elrahman, duly authorized to enter into this contract.

AND

Zamil Structural Steel Co. (S.A.E), ON THE OTHER HAND, located in 7th Industrial Zone -Sadat City – Menoufia,
Arab Republic of Egypt, and represented by Mr. Ayman Galal, duly authorized to enter into this contract.

NOW THEREFORE the parties agree as follows:

CONTRACT SCOPE: The supply of Zamil Structural building as described in the contract documents.

CONTRACT DOCUMENTS: The following documents constitute the contract documents:

1. Zamil Structuraal’s Proposal No.D9-17-041 Rev.No.00 Dated 23-04-17 with agreed and initialed amendments (if any).
2. Zamil Structuraal’s Standard Terms & Conditions of Sale.
