DEED OF ASSIGNMENT
WITH DECLARATION OF TRUST
KNOW ALL MEN BY THESE PRESENTS:
This DEED OF ASSIGNMENT WITH DECLARATION OF TRUST is made and executed

by and between:
BONFACIO, of legal age, Filipino and a resident of No. _________________,

hereinafter referred to as the “ASSIGNOR/TRUSTOR”,
-in favor of-
AGUINALDO, of legal age, Filipino, with address at No.

___________________________ hereinafter referred to as the
“ASSIGNEE/TRUSTEE”.
WITNESSETH: That
WHEREAS, the ASSIGNOR/TRUSTOR is the registered owner of a total of

_________________________ (_________) share of stock of KKK INDUSTRIAL, INC. (the
“Corporation”), a corporation duly organized and existing under and by virtue the laws of the
Republic of the Philippines and with office address at _____________________ Metro Manila;
WHEREAS, the ASSIGNOR/TRUSTOR desires to enable the ASSIGNEE/TRUSTEE to

participate and learn the business of the Corporation;
WHEREAS, the ASSIGNOR/TRUSTOR desires to assign and cause to be registered in

the records of the Corporation the assignment of One (1) share of stock in favour of and and in
the name of the ASSIGNEE/TRUSTEE;
WHEREAS, the ASSIGNEE/TRUSTEE understands and acknowledges that he shall be

holding the One (1) share of stock in trust for and in in behalf of the ASSIGNOR/TRUSTOR;
WHEREAS, the ASSIGNOR/TRUSTOR shall recognize the absolute interest and title of
the ASSIGNEE/TRUSTEE over the said One (1) share of stock of the Corporation and to the full
exercise of all rights pertaining thereto;
NOW, THEREFORE, for and in consideration of the foregoing premises, the

ASSIGNOR/TRUSTOR and the ASSIGNEE/TRUSTEE hereby ACKNOWLEDGE, DECLARE
and CONFIRM that:
1. The ASSIGNOR/TRUSTOR hereby assigns and transfers to

ASSIGNEE/TRUSTEE a total of One (1) share of stock of the Corporation and hereby causes to
be registered in the books of the Corporation the ownership thereof in the name of the
ASSIGNEE/TRUSTEE;
2. The ASSIGNEE/TRUSTEE acknowledges and understands that the said One

(1) share of stock of the Corporation assigned, transferred and registered in his name shall be
held in trust for the benefit of the ASSIGNOR/TRUSTOR;
3. The ASSIGNEE/TRUSTEE similarly holds in trust for the benefit of the

ASSIGNOR/TRUSTOR all dividends to be declared, as well as all kinds of fruits and interests
accruing on or arising from the aforesaid One (1) share of stock of the Corporation;
4. The ASSIGNEE/TRUSTEE hereby binds and obligates himself to deal with the
aforesaid shares of stocks, dividends, fruits and interests, that may now or hereafter accrue or
to be declared thereon, in such manner as the ASSIGNOR/TRUSTOR shall from time to time
direct;
5. The ASSIGNEE/TRUSTEE shall attend all meetings of shareholders and such

other meetings which he shall be entitled to attend and exercise all rights appurtenant to and by
virtue of being the registered owner/shareholder of the One (1) share of stock of the
Corporation, including, among others, to vote at every such meeting in such manner as the
ASSIGNOR/TRUSTOR shall have directed verbally or in writing or to be qualified to be elected
and to assume a position in the Board of Directors;
6. The ASSIGNOR/TRUSTOR hereby assigns, transfers and conveys unto the

ASSIGNEE/TRUSTEE, his assigns and successors-in-interest the One (1) share of stock of the
Corporation and all dividends, fruits and interest accruing thereon, free from all liens and
encumbrances;
7. The ASSIGNEE/TRUSTEE hereby undertakes to hold ASSIGNOR/TRUSTOR

free, harmless and exempt from any and all liabilities, whatsoever, arising from or in connection
with the exercise of all rights appurtenant to the One (1) share of stock subject of this Deed of
Assignment with Declaration of Trust.
IN WITNESS WHEREOF, the ASSIGNOR/TRUSTOR and ASSIGNEE/TRUSTEE have
