COMMERCIAL TERMS & CONDITIONS

1) Fixation of Price and Estimations for supply of Plant

Estimations for the supply of the Machinery will be carried out, generally on the basis of the
structure and accessories requirement and specifications. All our estimations we quote will be on
the assumption of Terrain of the site is flat.

Price:
Our quote price is on the basis of Estimation of Ex-Works and exclusive of all taxes and duties
and Transportation & Transit insurance. The customer has to bear all the taxes and duties which
are applicable on the transaction as per the laws in force in India i.e. GST as applicable at the
time of dispatch.

2) Validity of Price:-
The prices quoted by us, shall remain in force and will be valid for a period of 6 months from the
date of offer latter. There after the Customer should get the fresh quotation from our officials or
the same shall be subject to our written confirmation from the authorized persons of our
organization.

3) Terms of Payment:-
a. Customer shall pay the 20% of the order value, as advance payment at the time of
placing the Purchase order.
b. Remaining balance of 80% of the order value with applicable taxes & duties shall be
paid by the Customer before dispatch, either on pro-rata basis or on Delivery Order of
NBFC’s /letter of sanction of credit from any scheduled bank routed through our
banker.
c. Customer unconditionally and irrevocably agree and affirm that they shall not request
withholding of any payment due to us for any reason whatsoever from the financier
for acquisition of the equipment /plant.
d. If the customer failed to pay the dues within the agreed time, the Customer will be
charged with @18% of interest until total dues are paid.

5) Warranty:-
The equipment shall be under Warranty for a period of 18 months from the date of supply of the
machinery (or) 12 months from the date of commissioning of the plant whichever is earlier. In
case any defect is found due to bad workman ship (or) defective part the same shall be replaced
at free of cost. In case any Damages caused due to improper operation, wear and tear of spares,
alterations done by the buyer without our consent or approval, if any consequential damages
caused due to such improper feed of material are not included in warranty clause. We give the
warranty to those defects which are found to be manufacturing defects. Damages caused during
the transport or loading or unloading at customer site are covered by this clause.

6) Performance Test:-
The performance of the Machinery shall be verified as soon as the Machinery have been erected
and adjusted.
The Performance test shall be conducted for 2 consecutive days as soon as after the Machinery
have been erected and adjusted. In case the same is not possible, the Performance test shall be
conducted within 7 days.
If the Customer failed to conduct the Performance test, within the prescribed period as mentioned
above, the same shall be deemed to be conducted and the plant shall be considered to have
been accepted by the Customer.

7) Delivery:-
The equipment will be dispatched within 2 to 6 weeks as per the requirement of the Customer. In
the event of any delay in effectuating the order by the Buyer or the Customer has failed in
fulfillment of his obligations, the delivery date shall be condoned for effecting the date of delivery.

8) Force Majeure:-
Should either party be prevented from executing the contract due to the cause of Force Majeure
such as war, terrorist sabotage, serious fire, strikes, lock-outs, floods, earthquake, landslides,
general restriction of raw materials, utilities or transportation services, as well as other acts of God
and/or cases deemed ordinarily as being cases of Force Majeure the time for implementing the
contract shall be extended by a period equivalent to the effect of the occurrences.

Neither party shall be liable to the other for any delay in the performance of its obligations due to
events of Force Majeure.

The prevented party shall inform the other party as soon as possible by fax and courier a
certificate issued by the Chamber of Commerce or competent Government authorities concerned
within 14 days of the occurrence of Force Majeure.

9) Specification:-
Specifications, dimensions, designs, descriptions etc mentioned in the proposal are not binding in
minute details and may be subject to minor alterations without affecting the specified
performance, during detailed engineering.

10) Placement and Effective date of Order

The date of effect of Purchase Order shall consider being the date of receiving the Purchase
order along with the 20% of advance payment as per agreed terms and conditions. In case the
Customer fails to pay the advance payment along with the Purchase Order, the date of effect of
Purchase order shall consider being the date on which the advance payment is received.
