Design Services Proposal

Vessel: 800 BHP Twin-Screw Pusher Tug

1.0 INTRODUCTION

Robert Allan Ltd. is pleased to respond to the request of Servicios Maritimos, for the design
of a shallow draft pusher tug for river service.

Our understanding of the basic requirements for the proposed vessel is summarized in a
Preliminary Statement of Requirements (SOR), based on our previous exchanges, and
attached as Annex A.

This Proposal addresses the comprehensive scope of work proposed to define the subject
vessel, the associated deliverables, the schedule and fees payable for these services, and the
terms and conditions under which the work will be performed.

This proposal, upon acceptance, will constitute the sole contract between the Client and
Robert Allan Ltd. for the design and consulting services associated with this specific design.

2.0 DEFINITIONS

Client means the Person or Company to whom this proposal is addressed


and who accepts same by signing the acceptance form in Section
8.0;

Deliverables means all physical items to be provided by Robert Allan Ltd. to the
Client under the Proposal, including drawings, plans, specifications,
technical documentation, data storage media, manuals, etc.;

Design means the design for the Vessel to be authored by Robert Allan Ltd.
under the terms and conditions of this Proposal, and all designs
derived from or based on that design;

Information means all information and data contained, carried or embodied in


the Deliverables, or otherwise communicated to the Client by
Robert Allan Ltd. in connection with the Project, including the
Design, the content of drawings, specification, engineering
calculations, etc.;

Owner means the ultimate Owner of the vessel, for whom it is built;

Proprietary Interests means all rights and interests of a proprietary nature throughout the
world, in, to, or associated with any or all of the Deliverables or the
Information, including copyrights, trademarks, inventions, patents,
industrial designs, design patents, utility models, trade secrets,
confidential information, and personal property rights in
Deliverables;

Royalty means the royalty payable under Section 6.2 of this Agreement;

Territory means Canada;

Vessel means any vessel that embodies or bears the Design.

3.0 TECHNICAL PROPOSAL

3.1 Design Process and Objectives

The following is the proposed process for the development of the subject design, which
provides for logical, progressive stages of design development. At the conclusion of each
stage there is a process of formal review and acceptance by the Client before commencing
any further design work. Each formal review and acceptance will also be the basis for a
payment milestone, as defined in Section 6.6.

3.1.1 Concept Design Phase

The objective of the Concept Design Phase is the preparation of initial design drawings and
supporting calculations to set out the basic vessel geometry, capacities, and machinery
requirements based on an agreed Statement of Operational Requirements (SOR), for Client
acceptance as the basis of all further design development. Several iterations of this Concept
Design are anticipated, with revisions to the SOR if necessary. The SOR contained in Annex
A is provided as the starting point for this process. The vessel configuration is anticipated to
be somewhat similar to the concept drawing for a 58 ft. pusher tug, attached as Annex B, but
with changes to suit your specific operational requirements.

3.1.2 Preliminary Design Phase

The Preliminary Design Phase represents the development of more detailed, but still
preliminary level design drawings and supporting calculations to verify vessel layout,
capacity and basic performance objectives. This stage of the Design represents the formal
definition of the "framework" of the vessel, and some further iteration is anticipated to arrive
at an agreed final design solution. The Statement of Requirements will be updated through
each of these iterations, as required, to reflect the evolution of the Design to the completion
of this Phase.

3.1.3 Contract Design Phase

Based on the final agreed Preliminary Design, the Design configuration and Statement of
Requirements will be "frozen". The objective of the Contract Design Phase is then to
develop a comprehensive set of design drawings and supporting calculations that will define
the vessel, its hull, outfit and machinery in sufficient detail to:

• Satisfy Client/Owner objectives for vessel performance


• Satisfy Client/Owner objectives for the configuration of the vessel, its major equipment
and operating systems as defined in the agreed final Statement of Requirements

• Enable approval of the fundamental design by Classification Society and/or Flag State
authorities
• Enable a qualified shipyard to identify the equipment and the scope of work required to
construct the vessel in sufficient detail such that a reasonably fixed price for
construction can be offered to the Owner

This stage represents the completion of the design, to the extent required for typical Class
approval of the design, however it does not represent the definition of every part or
component of the vessel, many of which can only be determined by the building shipyard or
the Owner.

These Drawings should be considered as Guidance Drawings, indicating type, size, and class
of construction or arrangements required, and be used as the basis of development of
construction working drawings. The Guidance Drawings are based on preliminary
equipment selections and are intended to indicate the scope of work required to build the
vessel and are not intended for production. Drawings will require revision by the Shipyard to
incorporate final equipment selections and local construction techniques, preferences, and
shipyard standards.

While there will be a process of smaller design changes and refinements as the Contract
Design evolves, the basic configuration of the vessel as agreed at the completion of the
Preliminary Design Phase will not change during this phase without the potential for
triggering a Contract Change Order.

3.1.4 Production Design Phase

This phase of the design process is optional, and is directed primarily at the shipyard Client,
providing:

a. A 3-D steel product model for hull and superstructure construction, with fully lofted
and nested parts,
b. 3-D modelling and parts lists for major piping systems in the vessel, and
c. Preparation of individual spool pieces and associated material lists for the piping
systems defined in (b) above.

Item (a) can be selected alone. Item (b) cannot be selected without Item (a), and Item (c)
cannot be selected without Item (b). Item (b) can be selected without item (c).

3.2 Scope of Work

3.2.1 Concept Design Phase

3.2.1.1 Statement of Requirements

The first stage of the design process is a formal review of the Statement of Requirements for
the vessel, as attached at Annex A, and agreement on that document, as finally developed, as
the basis of all further design development.

3.2.1.2 Drawings

The following will be prepared to a Concept level of definition:

• Lines Plan *
• Tank Capacity Plan
• General Arrangement
• Shafting Arrangement

3.2.1.3 Specifications

• Outline Specification of Hull, Outfit and Machinery

3.2.1.4 Supporting Calculations

Concept level calculations and analysis will be prepared for the following:

• Weight and CG *
• Intact Stability
• Bollard Pull Prediction
• Range and Endurance

3.2.1.5 Concept Phase Summary

The documents defined above in Sections 3.2.1.1 to 3.2.1.4 inclusive will be submitted to the
Client/Owner for review and acceptance before proceeding to the next stage of design
development. Documents marked with an asterisk (*) will be considered proprietary to
Robert Allan Ltd. and will only be submitted for Client review in summary form.

3.2.2 Preliminary Design Phase

Based upon Client/Owner acceptance of the proposed Concept Design, and agreement on the
Statement of Requirements, the following will be prepared to a Preliminary Design level to
further develop the design, and will then be submitted for detailed review and formal
acceptance by the Client and the Owner as the basis of final design development:

3.2.2.4 Preliminary Design Phase Summary Report

Upon completion of the Preliminary Design Phase, a brief summary report will be prepared
which will highlight the design decision process made, and summarize how the Preliminary
Design solution addresses the Statement of Requirements. The report will also highlight any
aspects of the design still requiring resolution in the final stages. Documents marked with an
asterisk (*) will be considered proprietary to Robert Allan Ltd. and will only be submitted for
Client review in summary form.

The Summary Report will include an "Acceptance" Clause which will require Client
signature prior to proceeding to the next phase of work.

3.2.3 Contract Design Phase

Upon formal authorization from the Client to proceed with final design development based
on the review and acceptance of the Preliminary Design Phase (with expected revisions), the
following will be prepared as the final design definition of the required vessel:

Note: Any other documentation or details required by Class shall be the responsibility of
the Shipyard.

3.2.3.3 Supporting Calculations and Analysis

The following will be prepared to support the final Contract Design configuration:

• Loadline Calculations
• Tonnage (GRT and NRT) Calculations
• Hull and Deckhouse Scantlings (to Class Rules)
• Weight and CG Calculation
• Hydrostatic Curves
• Cross Curves
• Tank Capacity Tables
• Stability Analysis; Intact and Damaged (Pre-trials)
• Electrical Load Analysis
• Short Circuit Analysis
• Machinery Space Ventilation Analysis
• Machinery Cooling Analysis

The information defined above (Section 3.2.3.3) is proprietary to Robert Allan Ltd. and will
be provided to the Client, Owner, or Builder only in summary form, except where more
detail is explicitly required for proof of performance or for Class approval.

3.2.3.4 Contract Design Summary Report

Upon completion of the Contract Design Phase, a brief summary report will be prepared
which will highlight the design decision process made, and summarize how the design
solution addresses the final agreed Statement of Requirements.

The Summary Report will include an "Acceptance" Clause which will require Client
signature, signifying acceptance of the final design as presented.

3.2.3.5 Final Stability Analysis

Included in the scope of supply of the Contract Design Phase, Robert Allan Ltd. will provide
all documentation required to demonstrate compliance with statutory requirements for final
tug stability as defined by Class and/or Flag State regulations.

Results of an inclining experiment, to be performed by the shipbuilder, must be forwarded to


Robert Allan Ltd. to enable completion of this analysis.

3.2.4 Production Design Phase

The Production Design Phase is optional, and would typically only be used by a shipyard
Client, or by a Client that intends to build the vessel for its own use.

All the following parts will be defined in a fully expanded format in ShipConstructor
software, complete with part identification code, suitable as input to most standard NC

3.3 Additional Professional Services

3.3.1 Meetings and Travel

In order to keep the costs of this Proposal to a minimum, this proposal does not include the
costs of time and travel for any representatives from Robert Allan Ltd. to attend meetings at
the Client's premises during the period of the design process. If any meetings are desired,
refer to Clause 6.4.1.

3.3.2 Shipyard Bidding Process

Robert Allan Ltd. senior staff are available, upon request, to assist the Client in the complete
process of:

• Identifying and pre-qualifying capable shipyards


• Issuing Request for Proposal documents
• Responding to shipyard enquiries during bid process
• Organizing and coordinating a Bidders' Conference if desired
• Evaluating bids received
• Assisting with shipyard contract negotiations

3.3.3 Construction Administration and Inspection Services

Robert Allan Ltd. offers the services of qualified and experienced personnel to act in the
capacity of construction administrators and inspectors on behalf of the Owner throughout the
construction process. A separate proposal will be offered if these services are of interest.

3.3.4 Construction Phase Consulting Services

Robert Allan Ltd. senior staff members are available for consultation on any specific aspect
of the design or construction of the vessel during the construction phase of the vessel.
General enquiries will, within reason, be considered as covered under the design contract.
Specific technical enquiries requiring in-depth analysis or consultation will be the subject of
a separate work order. Examples of such additional consultations requiring separate Work
Orders would include:

• FEA analysis of complete hull or superstructure


• Shaft alignment procedures
• Noise or vibration level predictions

3.3.5 Tests and Trials Support

3.3.5.1 Trials Documentation

As an option, Robert Allan Ltd. offers to prepare a complete set of formal documentation for
the testing and trials of the vessel(s), following the recommended procedures of the Society
of Naval Architects and Marine Engineers (SNAME), adapted to the specific vessel
configuration and performance objectives.

3.3.5.2 Trials Management

As an option, Robert Allan Ltd. offers to act in the capacity of Trials Manager, directing the
trials procedures, recording and documenting the data necessary to provide a comprehensive
record of vessel performance as a baseline for future reference, and for benchmarking of
systems performance.

3.4 Design Approvals

3.4.1 Client Approvals

Formal approval/acceptance by the Client and/or Owner is required at the conclusion of each
stage in the design process as described in Sections 3.2.2 and 3.2.3. If the Client contracts
for the Production Design Phase (Section 3.2.4), there will also be a formal
acceptance/approval after this stage.

Any major changes to the Statement of Requirements or to the principal design configuration
as delineated and accepted at the conclusion of each phase in the process may result in the
raising of a Contract Change Order.

3.4.2 Classification Society Approvals

The design will be prepared in accordance with the requirements of ABS or equivalent IACS
member, for an inland waters pusher tug designation. Any design changes requested by
Class will be implemented by Robert Allan Ltd. or will be discussed and a solution
negotiated with Class, all within the scope of this Contract.

3.4.3 Flag State Approvals

The design will be prepared in accordance with the requirements of Argentina for an inland
waters pusher tug designation. Any design changes requested by the Flag State will be
implemented by Robert Allan Ltd. or will be discussed and a solution negotiated with the
Flag State, all within the scope of this Contract.

4.0 DELIVERABLES

The following quantities and format of documentation will be supplied as part of the
Design Contract:

a. Drawings:

• Electronic non-modifiable copies of all drawings for Client review and approval
• One (1) Disc copy of all final Contract Design drawings in PDF format *
• One (1) bound, printed set of all final approved Contract Design drawings

* Drawings in AutoCAD format will be provided to the contracted shipyard. Refer


to Clause 7.13 regarding limitations on drawing modifications.

b. Specifications:

• Three (3) bound copies of final approved revision


• One (1) Disc copy of final specification in PDF format

c. Stability Reports:

• Four (4) bound copies of report to Class and to Flag State authorities for approval
• Two (2) bound copies of approved final report to Client

d. Design Reports:

• Two (2) bound copies of all phase completion and final report(s)

5.0 SCHEDULE

A definitive schedule for the proposed work will be provided when the contract award is
made, at which time the dates for completion of each phase of the work can be defined,
based upon recognition of the agreed scope of work and all other work in hand at Robert
Allan Ltd. at the time of contract award.

The following are estimates of the typical time required for each phase:

a. Concept Design Phase - 3 weeks after award of Contract

b. Preliminary Design Phase - 4 weeks after approval of Concept Design

c. Contract Design Phase


• Complete and submitted to
Class and Client for approval - approximately 10 weeks after Client approval
of Preliminary Design (drawings to be
submitted progressively)

d. Production Design Phase:


• Steel Part Modelling - 8 weeks after approval of Contract Design

Notes:

1. A period for Client review and approval must be allowed between each phase, normally
about 2 weeks per phase.

2. The time required for Plan Approval by Class or Flag State authorities is not reflected
in the above times.

3. At the present time, the earliest start date for this project will be July 15, 2008.

6.0 FINANCIAL PROPOSAL

6.1 Design and Engineering Services

The following fees are payable to Robert Allan Ltd. for the completion of the defined design
package, for the construction of one vessel to the defined design:

a. Concept Design Phase - $ 20,000 CDN


b. Preliminary Design Phase - 25,000
c. Contract Design Phase - 95,000

Subtotal = $ 140,000 CDN

d. Production Design Phase: (optional)


• Steel parts - $ 85,000 CDN

Subtotal = $ 85,000 CDN

Total = $ 225,000 CDN

6.2 Design Royalty Fees

Under Canadian law, the title to any design prepared under contract is vested with the
Designer. Should any additional vessels be constructed to this design or derivatives thereof,
beyond the initial vessel order, Robert Allan Ltd. shall be paid a Design Royalty fee in
accordance with the following schedule:

a. Contract Design Level Only

• Second vessel - $ 70,000 CDN


• Third to fifth vessels, inclusive - $ 45,000 CDN per vessel
• Sixth to tenth vessels, inclusive - $ 30,000 CDN per vessel
• Any subsequent vessels - $ 15,000 CDN per vessel

b. Contract Design plus Production Design

• Second vessel - $ 80,000 CDN


• Third to fifth vessels, inclusive - $ 55,000 CDN per vessel
• Sixth to tenth vessels, inclusive - $ 35,000 CDN per vessel
• Any subsequent vessels - $ 20,000 CDN per vessel

For payment of the above royalties, Robert Allan Ltd. will provide the following ongoing
services in support of the project:

• Ongoing consultation with client and shipyard on any design or construction related
matters, without charge
• Implementation of a "reasonable" amount of design improvements to second vessel of
Class if required. This does not extend to designing for installation of alternate main
propulsion or major deck equipment
• Preparation of final stability documentation for each vessel built, based on an inclining
experiment performed by the shipyard
• Provision of document sets as required for each new bidding process, as necessary

6.3 Approval Fees

6.3.1 Classification Society Fees

The fees for Plan Approval by Class are not included in the quoted design fees, and will be
invoiced to the Client at direct cost, as quoted by Class to Robert Allan Ltd. for the defined
vessel(s). If any additional submissions to Class are required as a consequence of a change
in the Statement of Requirements or a change in the agreed design configuration, the cost of
that rework and re-submission and any additional charges from the Classification Society
will be the subject of a Contract Change Order.

6.3.2 Flag State Approval Fees

The fees for Plan Approval by Flag State authorities are not included in the quoted design
fees, and will be invoiced to the Client at direct cost, as charged to Robert Allan Ltd. for the
defined vessel(s). If any additional submissions to Flag State authorities are required as a
consequence of a change in the Statement of Requirements or a change in the agreed design
configuration, the cost of that rework and re-submission and any additional charges from the
Flag State authorities will be the subject of a Contract Change Order.

6.4 Additional Professional Services

6.4.1 Meetings and Travel

Any time and expenses incurred in association with meetings or travel beyond that defined in
Section 3.3.1 will be invoiced as a Contract Change Order. Direct costs will be invoiced at
cost plus a 10% handling charge.

6.4.2 Shipyard Bidding Process

Any services provided by Robert Allan Ltd. staff for the functions defined in Section 3.3.2
will be invoiced on a Time and Expenses basis, at the rates defined in Annex F, or as updated
annually.

6.4.3 Construction Administration and Inspection Services

The fees for the services described in Section 3.3.3 will be quoted separately upon request.

6.4.4 Construction Phase Consulting Services

The fees for the services described in Section 3.3.4 will be quoted separately upon request.

6.4.5 Test and Trials

6.4.5.1 Tests and Trials Documentation

The fees for the services as described in Section 3.3.5.1 will be quoted separately upon
request.

6.4.5.2 Tests and Trials Management

The fees for the services as described in Section 3.3.5.2 will be quoted separately upon
request.

6.4.6 Miscellaneous Additional Services

Any additional services requested of Robert Allan Ltd. by the Client, which are not a defined
part of the scope of services described herein, will be charged on a time and expenses basis at
prevailing charge-out rates, as per Annex F, or as updated annually thereafter. No such
charges will be made without prior advice to, and agreement by the Client that the requested
tasks fall outside the agreed scope of work.

6.5 Contract Change Orders

Where the Client or Owner initiates major changes to the Statement of Requirements or to
the Design concept after completion and agreement to the configuration as defined at the
completion of the Preliminary Design Phase, a Contract Change Order (Annex G) will be
initiated. Robert Allan Ltd. will inform the Client when such a Contract Change Order is
contemplated, and obtain agreement thereto before commencing any engineering work
related to the change.

6.7 Royalty Fees

Royalty fees for the design are payable on the signing of the contract for, or on
commencement of construction of each subsequent vessel whichever should occur first, after
the first vessel of the class.

6.8 Change Orders

Invoices for Contract Change Orders will be issued on completion of the agreed work, and
are payable on receipt.

6.9 Third Party Charges

Invoices for charges incurred by Robert Allan Ltd. on behalf of the Client, such as
Classification Society Fees, are payable on receipt.

7.0 TERMS AND CONDITIONS

7.1 Content of Work

The scope of work to be carried out shall be as defined in this Proposal, or as amended, and
agreed with the Client when the Contract is placed. Robert Allan Ltd. reserves the right to
charge any extras should the Client change the design requirements or parameters during the
progress of work. Robert Allan Ltd. will advise the Client if such an extra charge is
contemplated prior to commencement of subject work, and a Contract Change Order will
then be raised.

7.2 Responsibility for Performance of Proprietary Equipment

Where Robert Allan Ltd. accepts responsibility for the design of a ship or of other marine
equipment, it shall be understood that this does not extend in any way to the design or
performance of proprietary items over which Robert Allan Ltd. has no control, e.g.
propulsion machinery, controllable pitch propellers, dynamic positioning systems and
similar. This limitation also applies to responsibility for the work of third parties such as
Classification Societies or Model Testing Basins which may have carried out work on the
same project for Robert Allan Ltd.

7.3 Validity of Quotations

Quotations are valid for 60 days from despatch, unless otherwise stated. Where an
anticipated duration of contract has been quoted, an appreciable overrun not caused by
Robert Allan Ltd. may require an extra to be charged, or an adjustment to the rate structure.

7.4 Costs Due to Suspension or Cancellation

In the event of suspension or cancellation of the work, Robert Allan Ltd. shall be entitled to
claim and recover that proportion of fees which is commensurate with the work completed
up to the time of cancellation, plus any expenses incurred.

7.5 Charges

Charges or the method of charging shall be mutually and specifically agreed with the Client
prior to commencement of any work. Fees such as tank testing, Classification Society fees
and Regulatory approval fees, where not specifically addressed in this proposal shall be
chargeable extras to the Client and are payable upon receipt of the relevant invoice.

7.6 Expenses

Unless otherwise stated, all travelling, subsistence, courier, delivery and other expenses
necessarily and reasonably incurred in the course of completing the defined work shall be
chargeable to the Client at cost plus a 10% handling fee, and shall be additional to the
defined engineering fees.

7.7 Currency and Taxes

All fees are quoted exclusive of GST, and are payable net in Canadian dollars, free of any
deductions.

7.8 Invoices and Payments

Invoices shall be submitted at agreed intervals for interim payments for jobs covering more
than one month. Normally these will be issued on a monthly basis, or upon achievement of
agreed milestones. Invoices are payable on receipt. Where an invoice has not been paid
within 30 (thirty) days of issue, Robert Allan Ltd. will apply compounding interest at 1%
(one percent) per month payable back to the date of issue of the invoice.

Where work has been contracted which has to be approved by a Statutory Body or
Classification Society, delay in such approval will not be a valid reason for delay in payment.

7.9 Liability

In undertaking to contract for the use of Robert Allan Ltd.'s services, the Client expressly
accepts that the liability of Robert Allan Ltd. in the execution of these services is limited to
the responsibility to perform free of any further charges any remedial or redesign work which
may be required, where the original design is proven to be deficient through errors or
omissions solely attributable to Robert Allan Ltd.

7.10 Title to Design

In accordance with Canadian law governing Intellectual Property Rights, the title to the
design which is the subject of this proposal shall rest with Robert Allan Ltd. in perpetuity,
and acceptance of this proposal and payment in full of the fees quoted herein entitles the
Client to the use of said design for construction of one vessel only, or of further vessels
where specifically addressed, through the payment of agreed royalties.

7.11 Jurisdiction

Unless otherwise arranged, Robert Allan Ltd. contracts are subject to the Laws of the
Province of British Columbia, and the Laws of Canada.

7.12 Confidentiality

Robert Allan Ltd. will treat the subject of this project, and any owner-furnished
documentation as confidential information. Said information will only be released to third
parties such as major suppliers on a need to know basis, with prior approval of the Client.

7.13 Alteration of Drawings

In principle, no third party may alter a Design Drawing issued by Robert Allan Ltd. It is
recognized however that shipyards will use the design drawings as the basis for development
of their own Production Drawings. To ensure that Robert Allan Ltd. Q/A processes and
legal responsibilities are protected, yet at the same time allow for the practical drawing
development and editing by a shipyard, the following procedure must be followed with
regards to drawings issued by Robert Allan Ltd. to the shipyard (or client):

1. The shipyard will receive an exact PDF copy of the Class Approved drawing. The client
will then receive the AutoCAD drawing with our signature block removed.

2. If the shipyard wishes that Robert Allan Ltd. makes a revision to a Robert Allan Ltd.
drawing, they will communicate their wishes to Robert Allan Ltd. who will make the
changes, increase the revision number in the drawing accordingly, and then re-issue to
the shipyard a PDF version as well as an updated, uncontrolled AutoCAD drawing.

3. The shipyard will be free to modify/develop the uncontrolled drawing as necessary,


however the shipyard must add the following note to the uncontrolled drawing, clearly
visible in standard text of at least 2mm in height, above the shipyard title block:

This drawing is based on Robert Allan Ltd. Design No. __; "(Vessel Type Description per Robert
Allan Ltd. drawing)" and has been developed by (the shipyard name) for production purposes
only, with the written consent of Robert Allan Ltd.

The Intellectual property rights to the design described herein belong solely to Robert Allan Ltd.
The Drawings and Specifications contained herein shall not be reproduced in whole or in part, or
not to be given to third parties without written permission from the designer and the builder.
