With reference to our letter dated 22nd Feb 2021 offering you employment, we have pleasure
in appointing you in the position of 05th April 2021 with initial posting at Sanand on the terms
indicated below:
1. Your appointment takes effect from the date on which you have joined i.e. 05th April 2021
. You will be on probation for the first Six Months of your employment. During the period of
probation, either side may terminate the employment at anytime without assigning any reason
thereof by a thirty (30) days written notice or payment of 30 days basic salary in lieu of notice,
at the discretion of the Company.
2. Your basic salary will be Rs. 21060 /- (Rupees Twenty One Thousand and Sixty Only)
per month in the M3 Grade. You will be paid a Flexible Benefit Plan of Rs. 17665/- (Rupees
Seventeen Thousand Six Hundred and Sixty Five Only) per month. In addition, you will
be eligible for such allowances and benefits as may be applicable to you under the Company's
rules for the time being in force, these are summarized in Appendix attached. No advances
against salary or benefits will be paid. Increments and promotions are on the basis of merit and
will be at the sole discretion of the Company.
3. You will perform, observe and conform to such duties, directions and instructions assigned or
communicated to you by the Company and those in authority over you.
4. You shall not, either during or after your employment with us divulge or utilise any
confidential information belonging to the Company which may have come to your knowledge
and you shall, both during and after your employment take all reasonable precaution to keep all
such information secret.
5. You will not enter into any commitments or dealings on behalf of the Company for which you
have no express authority nor alter or be a party to any alteration of any principle or policy of
the Company or exceed the authority or discretion vested in you without the previous sanction
of the Company or those in authority over you.
6. Your behaviour and actions will be governed by the Code of Conduct adopted by the
Company. You are required to sign the Declaration and Conflict of Interest Declaration forms
enclosed with this letter, after fully acquainting yourself with the provisions contained therein.
During your employment with the Company, you must not, except with the prior written
permission of the Company, belong to or have any financial interest in any business or
organisation which gives rise or may give rise to a conflict of interest. You must notify the
Company immediately upon you become aware that such a conflict exists or may exist or if there
is any potential for arising of a conflict of interest.

7. You will abide by the employee rules, regulations and policies applicable to you which are in
force for the time being, or may be framed from time to time.
8. We expect that the behaviour and actions of all employees will be governed by the Code of
Conduct adopted by the Company. Enclosed is a copy of Tata Code of Conduct & KOC Code of
Ethics and Business Conduct and Implementation Principles. You are required to sign the
declaration form enclosed with this letter of appointment, after fully acquainting yourself with
the provisions contained therein.
9. You will observe the timings applicable to the location, where you are posted. Depending on
the requirements of business you may be required to work longer without any additional
compensation.
10. You will be liable to be transferred to any Department, Office or Establishment forming part
of our Organization or to any of our associates in India.
11. You will not, without our previous written permission, carry on any business, or enter for
any part of your time, in any capacity the services of, or be employed by, any other firm,
company or person. You will devote your whole time and attention to your duties to promote
the interests of our Organization.
12. If, at any time in our opinion, which is final in this matter, you are insolvent or found guilty
of dishonesty, disobedience, disorderly behaviour, negligence, indiscipline, absence from duty
without permission or of any other conduct considered by us detrimental to our interests, or of
violation of one or more terms of this letter, your services may be terminated without notice.
Termination of your services under this clause would be without prejudice to (a) the Company's
right to claim the actual damages it has suffered through this breach; and (b) any other relief to
which the Company may be entitled under Agreement, law or equity.
13. You will be responsible for the safe-keeping and return, in good condition and order, of all
our property, which may be in your use, custody or charge.
14. You will keep us informed of any change in your residential address or civil status.
15. You will disclose to us forthwith any discovery, invention, process or improvement made or
discovered by you while in our service, and such discovery, invention, process or improvement
shall belong absolutely to and be the sole and absolute property of the Company. If and when
required to do so by the Company, you shall at the Company's expense, take out or apply for
Letters, Patent, Licences or other rights, privileges or protection as may be directed by us in
respect of any such discovery, invention, process or improvement so that the benefit thereof
shall accrue to us and you will execute and do all instruments, acts, deeds and things, which
may be required by us for assigning, transferring or otherwise vesting the same and all benefits
arising in respect thereof in our favour or in favour of such other person or persons, firms or
companies, as we may direct as the sole beneficiary thereof.

16. If any Letter of Authority or Power of Attorney is issued to you, you will undertake to return
it on demand or on termination of your service.
18. On termination of your services for whatever reason, the Company shall not have any further
liability to you other than for remuneration, allowances and perquisites, which have accrued as
per the Company's policies prior to the effective date of termination of your
employment/services.
19. You must also return to the authorised representative of the Company, any Company
property which may be in your possession or under your control, this includes but is not limited
to all documents in whatever form i.e. electronic or otherwise (including tapes or computer discs,
hard drives, etc.) received or made by you during the course of your employment/services,
passes, computer, or keys.
20. The Company reserves the right, subject to applicable laws, to amend the terms of this
Agreement, modify, alter or delete the existing service rules/policies or to introduce fresh service
rules/policies, which will be binding upon you.
21. By signing this Letter/Agreement, you agree to the Company holding and processing, both
electronically and manually, the personal data it collects in relation to you. This will be done for
the purpose of the administration and management of its employees and for compliance with
applicable procedures, laws and regulations.
22. The terms of this letter of Appointment shall be treated as a binding contract between you
and the Company. You will also be bound by policies, rules and regulations enforced by the
Company from time to time in relation to employment, including but not limited to, conduct,
discipline, leave, holidays or any matter relating to service conditions which will be deemed as
rules, regulations and orders as part of your terms of employment/service.
23. This Agreement is governed by and construed in accordance with the laws of India and all
disputes relating to or arising out of this Agreement shall be subject to the exclusive jurisdiction
of the Courts in Mumbai.

24. This letter is being sent to you in duplicate. If you accept the terms above mentioned, please
sign the declaration in the duplicate and send the duplicate to us for our records. The original is
for retention by you.

APPENDIX
Enclosure to Letter of Appointment No. Ref: 70001178/04/2021 dated 22nd August, 2021 addressed
to Mr. Sandeep kumar Agrawal
Principal Supplementary Terms and Benefits of Service as applicable to personnel in the
Company's M3 Grade.
1. Bonus
You will be eligible for Performance Linked Award (PLA) of Rs. 38000/- prorata for the 1st
appraisal year. This has been factored at 'Mid Point' Performance Rating based on individual,
department/function & company performance. PLA is payable each year annually after the
performance appraisal process is completed as per company policy.
4. Annual Leave
As per Company's rules.
5. Provident Fund
The Company shall contribute an amount equivalent to 12% of your basic salary. You shall
contribute a minimum of 12% of your basic salary. Please complete and return to us the
Declaration and other forms which are attached. The Agreement and Nomination forms found
at the end of the booklet of rules, must be filled in, signed by you and the necessary witnesses.
6. Gratuity
Gratuity will be payable as per the provisions of the Payment of Gratuity Act, 1972 amended
from time to time.
7. Age of Retirement
Under the existing rules (which are subject to revision by the Company in any manner
whatsoever) you shall retire on the last working day of the month in which you attain the age of
58 years.

The Company shall in its absolute discretion be entitled from time to time to vary, alter or
withdraw any of the benefits and terms herein indicated. Any such act on the part of the
Company shall not affect any benefit which may have already accrued to you prior to the date
of such act.
