SALE DEED OF FLAT

This Sale Deed Of Flat made between (i) Mr. Imtiyaz Ahmad Khan
son of Late Alam Khan permanent and at present resident of 169/5, Khyaliganj,
Qaiserbagh, Lucknow himself and (ii) Mrs. Kausar Imtiyaz wife of Mr. Imtiyaz
Ahmad Khan permanent and at present resident of 169/5, Khyaliganj, Qaiserbagh,
Lucknow through her General Attorney Mr. Imtiyaz Ahmad Khan son of Late Alam
Khan permanent and at present resident of 169/5, Khyaliganj, Qaiserbagh, Lucknow
appointed under the deed of General Power of Attorney dated 21/06/2005 which was
registered in the office of Sub-Registrar-II, Lucknow on the same day in Book no.IV,
Khand no.211 at pages 211 to 222 at Serial no.211 hereinafter be referred as the
sellers, which expression shall mean and include their heirs, successors, assignees and
whatsoever includes in this context unless and untill repugnant, of the first part.

And

Smt. Meena Bulchandani wife of Sri Vishnu Bulchandani permanent and at


present resident of House no.110/28 Nayagaon (East), Lucknow hereinafter be
referred as the purchaser which expression shall mean and include her heirs,
successors, assignees and whatsoever includes in this context unless and untill
repugnant, of the second part.

WHEREAS, the sellers are the joint owners of Flat No.S-3 measuring 111.524
Sq.mts. at Second Floor of the building built over Free Hold plots bearing no.542-E/A
and 542-E/B situated at T.G. Civil Lines, New Hyderabad, Lucknow bounded as
mentioned above.

DESCRIPTION OF THE TITLE OF THE FLAT HHEREBY SOLD

A. That the sellers had purchased two adjacent freehold plots bearing no. 542-E/A
and 542-E/B respectively situated at T.G. Civil Lines, New Hyderabad,
Lucknow.

B. That the sellers had purchased the said freehold plot no. 542-E/A from Smt.
Vijya Singh wife of Sri Karan Singh through registered Sale Deed dated
27/11/2009 which was registered on the same day in the office of Sub-
Registrar-II, Lucknow in Book no.I, Zild no. 9128 at pages 293 to 324 at Serial
no.12777.
C. That the sellers had purchased the said freehold plot no. 542-E/B from Smt.
Nirmala Agarwal wife of Sri B.G. Agarwal through registered Sale Deed dated
27/11/2009 which was registered on the same day in the office of Sub-
Registrar-II, Lucknow in Book no.I, Zild no. 9128 at pages 261 to 292 at Serial
no.12776.

D. That after purchasing the above mentioned two adjacent freehold plots, the
sellers constructed residential flats over the said plots.

E. That as such the sellers being the joint owners of the flat hereby sold assures
the purchaser that the flat hereby sold to the purchaser is free from all
encumbrances, charges, dues, demands, suits, agreement to sell, disputes and
whatsoever include in this context unless and untill repugnant.

AND WHEREAS, the sellers had saleable and marketable title to sell the said
flat and the sellers have agreed to sell the said flat to the purchaser for the
consideration of `19,00,000/- ( Rupees Ninteen Lac only) half of which comes to
`9,50,000/- (Rupees Nine Lac Fifty Thousand only) and the said purchaser has agreed
to purchase the same for the same consideration from the said sellers.

AND WHEREAS, the said sellers have received the said consideration amount
from the said purchaser in the manner detailed at the last of this Sale Deed receipt of
which is being acknowledged hereby by the said sellers.

NOW THIS SALE DEED WITNESSES AS UNDER :-

1. That having received the said consideration amount in the manner


detailed at the last of this sale deed, the sellers do hereby sell, convey
and assign absolutely the said flat mentioned above to the said
purchaser and all that it has included, all rights of easement and
appurtenances attached thereto to hold and possess the same as
absolute owner thereof free of all encumbrances and whatsoever.
2. That the seller has handed over the vacant possession of said flat
hereby sold to the purchaser with all its rights and privileges so far held
and enjoyed by the said sellers.

3. That in pursuance of said consideration amount paid by the purchaser


to the sellers, the sellers doth hereby transfer, convey and assign by
way of sale said residential flat no. S-3 at second floor in building built
over said freehold plots alongwith earmarked one car parking space in
basement as per the plans and specifications inspects, seen and
approved by them, hereby confirms to enter into this transactions and
to receive consideration hereunder from the purchaser.

4. That it is made clear that the ultimate roof and the basement ecxcept
earmarked parking space shall be in exclusively ownership of the
sellers and the purchaser shall have no concern with the ultimate roof
and basement except earmared parking space.

5. That if any person claims through the sellers any right or privileges in
respect of the flat hereby sold, it shall be rendered illegal and void by
virtue of this sale deed and if the purchaser is deprived of the said flat
mentioned above or any portion of the said flat or any proprietary
rights therein by reason of any defect in the title, the sellers undertake
to indemnify the purchaser to the extent of such loss or losses as the
case may be from their other moveable or immovable properties
wherever found in existence at that time.

6. That the sellers covenant with the purchaser to do all future acts in
respect of the said flat hereby sold as may be required for holding the
said flat with the purchaser from time to time if there be any such need.
7. That the sellers herby assures that they will clear all taxes/dues of
Nagar Nigam/ Jal Nigam or any other authority which is pending over
the said property.

8. That the purchaser will install/mutate the electricity meter in the flat
hereby sold in her name.

9. That the purchaser will have right to get the said flat mutated in her
name in the records of the Nagar Nigam, Lucknow and the sellers will
lend their supporting hands in getting the said flat mutated in the name
of the purchaser.

10. That save and except the right to hold and own the said flat and to use,
enjoy the common area in the said residential complex, the purchaser
shall have no right, title, interest, claim or demand whatsoever or
howsoever in respect of the other parts or portions of the said complex
or the land excepting the use of common passage, parts and staircase as
herein provided.

11. That the provisions of The U.P.Flat Act, 1975 are applicable on the flat
hereby sold.

12. That purchaser shall remain the absolute owner of the flat hereby sold
and he had no right or title or interest of any kind in respect of the open
land, land underneath of the said flat. However, the purshaser shall
have right to use all the common facilities available in the building by
virtue of the present Sale Deed.

13. That the purchaser hereby assures that he will never encroach upon any
common facilities available in the building.
14. That the purchaser hereby is authorized to use the terrace, stair and
common passage of the building without making any encroachment or
creating any nuisance in the building.

15. That the purchaser shall have right to use the lift installed in the said
building in ordanary course of his movement.

16. That the purchaser will be responsible for maintenance and repairs of
the said residential portion hereby sold with belongings and
appurtenances threto in all respects and will keep the same in order.

17. That the purchaser shall not store any goods of hazardous nature in the
flat hereby sold or any material which are so heavy as to affect the
construction of the structure or the said portion/building.

18. That the purchaser shall keep and maintain the sewer line including the
water pipe and the sewer pipe running through her portion in proper
condition and would not allow them to be choked up and damage,
thereby causing inconveinence to the other flat owners or the other
portion.

19. Valuation- That the flat hereby sold is situated in Colvin College ward
measuring 111.524 Sq.mts. The circle rate as fixed by the District
Magistrate for the locality where the flat hereby sold is situated is
`22,000/-(Rupees Twenty Two Thousand only) per Sq. Mt.. So,
calculating the super area for the flat hereby sold as per the rule, the
20% of the total covered area of the flat hereby sold comes to 22.305
Sq. mts. Now as per the formula prescribed for the calculation of
valuation of the flat (covered area + 20% super area x circle rate) i.e.
{(111.524+ 22.305) x 22000} comes to `29,44,260/-(Rupees Twenty
Nine Lac Forty Four Thousand Two Hundred Sixty only) over
which the prescribed stamp duty is paid herewith.

20. That the flat hereby sold is situated beyond 100 Mts. limit from the
Mukhya Marg i.e. Faizabad Road as listed in parishisht-ka.

21. That the flat hereby sold does not have wooden flooring, modular
kitchen, Jacuzzi or wooden wardrobe.

22. That the building in which the flat hereby sold is situated does not have
swimming pool or club.

23. That the building in which the flat hereby sold does not have any
commercial facility/establishment.

24. That in accordance to G.O. of U.P. Govt. passed on 30-06-2008 by the


Institutional Finance, Tax and Registration Section-5 vide bearing no.
Sa.Vi.Ka.Ni. 5-2756/11-2008-500(165)/2007he stamp duty is
admissible to pay 6% upto Rupees Ten Lacs and therafter 7% for the
female purchaser.

25. That the cost of stamp duty and the registration fee and whatsoever is
the responsibility of the purchaser and it has been borne by the
purchaser.

26. That the valuation of the flat hereby sold is higher than its sale
consideration amount, so the stamp duty is being paid hereby
accordingly.
SCHEDULE OF PAYMENT

1) `1,00,000/- (Rupees One Lac only) through online account transfer.

2) `1,00,000/- (Rupees One Lac only) through cheque no.391476 dated


13/05/2011 drawn at HDFC Bank, Hazaratganj Branch, Lucknow.

3) `14,00,000/- (Rupees Fourteen Lac only) through draft no.360555 dated


09/11/2011 drawn at Punjab National Bank, G.B. Marg Branch, Lucknow.

4) `3,00,000/- (Rupees Three Lac only) through different cheques has already
been paid by the purchaser to the said sellers.

The above mentioned consideration amount has been paid hereby by the said
purchaser to the said sellers as a consideration amount of the flat hereby sold, the
receipt of which is acknowledged hereby by the said sellers.

The draft of the present deed is done on the basis of facts and documents
provided by the parties mentioned above who are hereby identified by the
witnesses of the present deed.

IN WITNESSES WHEREOF, we the above named sellers and


purchaser have executed this SALE DEED OF FLAT in the presence of following
witnesses on the date, month and year mentioned below.
