Statement of Scope of Work

The offer shall be based on an EPC basis for all necessary components to construct a lSOMWp (DC)
Solar Plant located in Duhok Governorate of the Kurdistan Regional Government of Iraq, but not
limited to the following:

Please offer your most optimum design that can ensure the best Techno-Econ operation for 25
years.
1. The Capacity of the Solar Power Plant is 150 MW DC (total capacity of the installed
photovoltaic panels in MWp).
2. The Project is based on the BOOM (Build, Own, Operate and Maintain) contract and legal
foundations. The project shall be under the Investment Law of KRG, the last version is available at
the Investment Board website or office.
3. The contract (PPA) shall be for the duration of 15 years only. Extension of the contract is
possible if the off taker (energy purchaser) will have the intention to extend the contract and after
renegotiation of the financial and legal terms and conditions.
4. The Energy Purchase Price (Contract Price) shall be fixed for the complete duration of the 15
years' contract.
5. The Technical Specifications of the Solar Power Plant is up to the contractor to choose, but
the contractor shall present and submit its technical specification alongside the complete design of
the solar power plant with the submitted offer to prove his technical capacity.
6. The amount of the produced (generated) Energy shall be calculated at the energy meters at
the AC output of the power plant.
7. The Investor shall provide the power plant will all the required equipment and the technical
conditions to connect the power plant to the KRG-SCADA system.
8. The contractor Shall provide the Land for the Solar Power Plant, the Bidder shall Pay all the
costs, fees and expenses of all preparations of the Land located for the Solar Power Plant and also
pay all the compensations due to this land to the owners, land users or land claimers. the location
of the provided Land by the Bidder can be chosen by the bidder, and it should be suitable for the
power plant and close to a 132 KV Transmission Line.
9. The provided Land for the Power Plant can be in any legal form, it can be owned, leased,
rented or any other legal arrangement made by the investor for the purpose of build, own and
operate this project.

10. the contractor shall Pay all the costs and expenses of all preparations needed to connect the
Solar Power Plant to the KRG-Grid inside the boundary of the Power Plant, including the Step-up
Transformers, Switch Yard, Powerhouse and all Protection Equipment according to the instructions
of the MOE.
11. The contractor shall submit a legally certified letter of intent confirming that the Bidder shall
Pay all the costs and expenses of all preparations needed to connect the Solar Power Plant to the
nearest KRG-Grid connecting point
12. outside the Power Plant boundary including the Transmission line, Towers and connections
to the grid, the connection shall be made only to the closest 132KV Transmission line, the type of
the connection shall be an (In and Out) connection from the Power Plant to the closest 132KV TL, a
T-connection type to the transmission line is not acceptable.
13. The Ministry of Electricity of the KRG shall provide the contractor/investor with the approval
of the Council of Ministers and the Ministry of Finance as a guaranty of payments.
14. The Contract shall be named the Power Purchase Agreement (PPA) and shall be the only
legal and official source to describe and present all of the terms and conditions of this Agreement,
any document(s) not included in this Agreement is (are) void and ineffective, unless this Agreement
is amended mutely by both Parties.
